CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE made and entered in the City of


Zamboanga, Philippines by and between:

JOCELYN M. WEE, MARUJANE M. SAKAGAMI, JESSEBEL R.


MENDOZA, JENNIFER M. CHAVEZ, MAE FELICIA D. RUIZ, STEVAN D.
RUIZ and ANNALIZA D. RUIZ, all of legal age, Filipino and with residence
and postal address at Fr. Ramon Barua St., Tetuan, Zamboanga City;
hereinafter called as the LESSORS;

-and-

EUGENE A. PERALTA, of legal age, Filipino, married to


___________________, with residence and postal address at Natividad
Street, Tetuan, Zamboanga City, hereinafter referred to as the LESSEE.

-witnesseth-

WHEREAS, the LESSORS are the surviving owner of a portion of lot no.
1399-B with an area of approximately ____ square meters more or less
situated at Natividad Street, Tetuan, Zamboanga City.

WHEREAS, the LESSEE has formally intended to lease the above-said


portion of lot under the following terms and conditions:

1. SUBJECT OF LEASE. Portion of Lot No. 1399-B with an area of


____ square meters more or less located at Natividad Street,
Barangay Tetuan, Zamboanga City. The portion leased is the
premise being occupied by the LESSEE known as Algene Store;

2. TERM OF LEASE. The term of this lease contract commences on


______________ and ends on ______________;

3. RENEWAL. Within thirty (30) days prior to the expiration of this


contract of lease, the LESSEE will make a formal notice of its
intention to renew the lease with the LESSOR for another year and
for such any or all other terms and conditions as may then be
mutually agreed upon;

4. RENT/LEASE RATE. The monthly rent/ lease rate is TWELVE


THOUSAND PESOS ONLY (Php 12,000.00) per month to be
paid on or before the fifth (5th) day of the succeeding month upon
presentation of a billing or notice of payment by the LESSOR or its
duly authorized representative. The withholding tax shall be paid
by the LESSEE who shall provide the LESSOR with the withholding
tax certificate;

5. ANNUAL INCREASE. For residential and commercial purposes, the


lease stipulated herein shall be subject to annual increase of TWO
THOUSAND PESOS (Php 2,000.00);
6. SECURITY AND ADVANCE DEPOSIT. The LESSEE shall, upon
signing of this contract of lease, pay an amount equivalent to
three (3) months rent as security and advance rent deposit. The
one (1) month deposit shall pay for the unpaid electric, water and
other utility bills, and other liquidated damages in case the
LESSEE fail to settle the said utilities and bills. The remaining two
(2) months deposit shall be returned to the LESSEE within ten
(10) days at the end of the term or shall be applied as two (2)
months rent to the premises occupied;

7. DEFAULT IN PAYMENT. This lease shall be deemed terminated/


rescinded upon non-payment of three (3) months rent by the
LESSEE or any breach of terms incurred by the LESSEE. The
LESSEE hereby gives permission to the LESSOR to cordon or
padlock the leased premises for non-payment of three (3) months
rent and may forfeit whatever security and advance rent deposit
given by the LESSEE;

8. SUBLEASE, TRANSFER OR RIGHTS. The LESSEE is expressly


prohibited to sublet the leased premises or assign its rights in
whole or in part to any person or entity, form or corporation,
without the prior and written consent of the lessors. Any violation
of this condition will serve as basis for the termination of the
contract;

9. UTILITIES. All charges for electric, water and other utility bills
used during the term of lease shall be at the sole account of the
LESSEE;

10. ADDITIONAL SERVICE FACILITIES. Ordinary repairs including


the installation of additional electric, water, pipes, CCTV and cable
facilities in the leased premises shall be for the account and
expenses of the LESSEE, without right to reimbursement;

11. CARE OF LEASED PREMISES. The LESSEE shall be responsible


for the observance of sanitary regulations required or imposed by
the Local Government Unit regarding the use and habitation of the
leased premises. The LESSEE shall, at his/her own expense,
maintain the leased premises in a clean and sanitized condition,
free from dangerous materials, noxious fumes or odors and other
nuisances;

12. FORCE MAJEURE. If any part of the leased premises is destroyed


or damaged due to the occurrence of fire or explosions, flood,
lightning, typhoon/ storm, earthquake, riot, or any unforeseen
events caused by acts of God, immediate repair or restoration
shall be undertaken by the LESSOR granting moratorium or waiver
of rental for the period of time needed for such repair or
restoration. Moratorium or waiver of rental shall be also granted
to the LESSEE by the LESSOR in case of mandatory business
closure due to epidemic or pandemic surge.

13. INSPECTION OF PREMISES. The LESSOR and/or its authorized


representative, with proper notice to the LESSEE and at a
reasonable hour of any working day, shall be allowed entry to the
leased premises to conduct inspection for improvements or
repairs. Subsequent access to the leased premises shall be given
to the authorized person/s who will undertake the improvement or
repair in order to lessen inconvenience to the employee and/or
clients, or to exhibit the leased premises to prospective lessee, or
for any other lawful purpose/s deemed necessary;

14. ALTERATIONS, ADDITIONS, IMPROVEMENT, ETC. All


permanent improvements, additions or alterations to the existing
structure in the leased property introduced by the LESSEE shall
form part of the leased premises, and shall not and/or cannot be
removed by the LESSEE should they decide to vacate the
premises after expiration of the contract or should any party to
this contract decide to terminate the same, without right to
reimbursement.

15. TERMINATION OF LEASE. The cost of clearing, hauling and


cleaning to bring back the leased premises to its rentable
condition, if advanced by the LESSOR, shall be reimbursed by the
LESSEE. In case the LESSEE decides to terminate and vacate the
leased premises, the LESSEE shall notify the LESSOR at least two
(2) to three (3) months in advance. Non-compliance with the
terms of this clause by the LESSEE will give the LESSOR the right
to refuse to accept the return of the premises and compel the
LESSEE to pay rent therefrom at the same rate with additional
twenty five (25) percent as penalty until the LESSEE shall
complied with the terms hereof. Same penalty shall be imposed in
case the LESSEE fails to leave the premises after the expiration of
this contract of lease;

16. LITIGATION AND VENUE. Should any one of the parties herein
be compelled to seek judicial relief against the other, the losing
party shall pay an amount of one hundred percent (100%) of the
amount claimed in the complaint as attorney’s fees which shall in
no case be less than Php50,000 pesos in addition to other cost
and damages which the said party may be entitled to under the
law;

17. SEPARABILITY CLAUSE. lf any paragraph, sub-paragraph or


part of this contract is declared invalid, such shall not affect the
other paragraph, sub-paragraphs or parts of this contract;

18. SUPERSEDING CLAUSE. This contract of lease supersedes and


renders void any and all agreements and undertakings, oral or
written, which may have been entered into by and between the
parties, the same being considered as having been merged herein.
Any changes or alterations in this contract shall be valid if made in
writing and duly signed by the parties.

IN WITNESS WHEREOF, the parties hereto have signed this contract


of lease this ____ day of April 2021, at the City of Zamboanga, Philippines.
