VOLUNTEER

RELEASE, WAIVER AND CONFIDENTIALITY AGREEMENT

(This is a legal document. Please read it carefully and be sure you understand it before
signing.)

THIS VOLUNTEER, RELEASE, WAIVER AND CONFIDENTIALITY AGREEMENT


(hereinafter called the "Agreement") is entered, by and between:

HUMANE SOCIETY INTERNATIONAL:INDIA, a not-for-profit company registered


under the Companies Act 1956, having its registered office at Shop No:39, Shreeji Shopping
Arcade, Sheth Gopalji, Hemraj High School Compound, M.G. Road, Borivali (E) Mumbai -
400066, represented by its Managing Director (hereinafter referred to as "HSI:INDIA", which
expression shall, whenever the context so permits, mean and include its successors in interest
and assigns) of the ONE PART,

And:

SMITI VERMA, aged about 22 years, daughter of Rajiv Verma, residing at A-133 Ground
Floor, Inderpuri, opposite PUSA Institute, IARI Road, New Delhi -110012 (hereinafter referred
to as “Volunteer”, which expression shall, whenever the context so permits, mean and include
his heirs, legal representatives, successors in interest and assigns) of the OTHER PART.

WHEREAS, the Volunteer desires to engage in certain activities of the Humane Society.
International: INDIA and/or its affiliates, (collectively referred to herein as “HSI:INDIA”) as
a volunteer on an unpaid basis. The Volunteer does hereby freely and voluntarily agree to the
following terms:

1. Waiver and Release:

The Volunteer releases and forever discharges and holds harmless HSI:INDIA from any and
all liability, claims and demands of whatever kind or nature either in law or equity which the
Volunteer may have against HSI:INDIA arising from or in connection with the Volunteer’s
participation in any HSI:INDIA activities. The Volunteer understands and acknowledges that
this Agreement discharges HSI:INDIA from any liability or claim that the Volunteer may have
against HSI:INDIA with respect to, among other things, bodily injury, personal injury, illness,
death or property damage.

2. Assumption of Risk:

The Volunteer understands that the Volunteer’s activities with HSI:INDIA may include
activities that may be hazardous to the Volunteer including, but not limited to bites including

snake bites (both venomous and non-venomous), scratches, parasites, zoonotic diseases, lifting
injuries, slips, trips, falls, loss of personal property, damage to apparel or personal property,
and exposure to chemical cleaning products. The Volunteer expressly assumes the risk of
injury or harm in these activities and releases HSI:INDIA from any and all liability for injury,
illness, death or property damage or loss resulting from the Volunteer’s activities as an
volunteer with HSI:INDIA.

3. Relationship with HSI:INDIA:

The Volunteer hereby acknowledges that the Volunteer does not have any employment
relationship with HSI:INDIA and that the Volunteer does not expect to receive any offer of
employment, entitlement, benefits or compensation for the Volunteer’s work as a volunteer
with HSI:INDIA. The Volunteer acknowledges that the Volunteer may be asked by
HSI:INDIA, at any time and for any reason, to cease the Volunteer’s activities with HSI:INDIA
with or without notice.

4. Individual Responsibility:

The Volunteer agrees to use the Volunteer’s best judgment in undertaking the volunteer
activities. The Volunteer also agrees to follow the rules and safety instructions as given by
HSI:INDIA employees, consultants and volunteers, authorized to act in a supervisory capacity.
The Volunteer recognizes that it is the Volunteer’s personal responsibility to comply with all
applicable laws during the Volunteer’s tenure as an volunteer with HSI:INDIA. The Volunteer
also acknowledges and understands that it is the Volunteer’s responsibility to be familiar with
and adhere to all relevant HSI:INDIA policies, procedures and relevant documentation.

5. Insurance:

The Volunteer understands that HSI:INDIA does not assume any responsibility or obligation
to provide the Volunteer with financial or other assistance, including but not limited to medical,
health, disability or workmen’s compensation benefits or insurance of any nature in the event
of injury, illness, death, property damage or any other casualty of whatsoever form. The
Volunteer expressly waives any such claim for compensation or liability on the part of
HSI:INDIA.

6. Medical Treatment:

The Volunteer releases and forever discharges HSI:INDIA from any claim whatsoever which
arises or may hereafter arise as a result of any first-aid treatment or other medical activities
rendered in connection with an emergency during the Volunteer’s tenure as an volunteer with
HSI:INDIA.

7. Photographic Release:

By signing this Agreement, the Volunteer hereby grants, conveys and transfers to HSI:INDIA
all right, title and interest in any and all photographic images and video and audio recordings
and research materials/reports made by HSI:INDIA and/or a third party or by the volunteer,
during his tenure as an volunteer with HSI:INDIA. The Volunteer waives any rights of privacy
and/or publicity that the Volunteer may have in connection with any use of such materials by
HSI:INDIA. This clause shall survive the cessation or tenure of the Volunteer, as applicable.

8. Confidentiality:

The Volunteer acknowledges that, in the course of the Volunteer’s activities with HSI:INDIA,
the Volunteer may be granted access to information not generally known to the public
concerning the activities, affairs and work of HSI:INDIA (“Confidential Information”). The
Volunteer does hereby agree that during the Volunteer’s tenure as a volunteer with HSI:INDIA
and at all times thereafter, the Volunteer will hold the Confidential Information strictly
confidential and will not use or disclose such information outside the scope of what is necessary
for the volunteer activities with HSI:INDIA or without HSI:INDIA’s prior written consent. For
purposes of this Agreement, Confidential Information includes, but is not limited to,
information regarding activities, projects and potential projects, organizational practices,
donors and potential donors, methodologies, management philosophy, and information
concerning HSI:INDIA employees and volunteers. The Volunteer further acknowledges and
agrees that the Volunteer will immediately return all HSI:INDIA Confidential Information at
the end of the Volunteer’s tenure as a volunteer. This clause shall survive the cessation or tenure
of the Volunteer, as applicable.

9. Intellectual Property:

The Volunteer hereby grants, transfers and assigns all intellectual property rights, including
without limitation, any copyright for material and any/all other work product created, produced
or prepared by the Volunteer during the provision of activities to HSI:INDIA. The Volunteer
agrees to execute any additional documents as may be necessary to confirm this grant, transfer
and assignment. The Volunteer acknowledges that HSI:INDIA reserves the right to republish
material produced by the Volunteer for any purpose without consent or the payment of
compensation. This clause shall survive the cessation or tenure of the Volunteer, as applicable.

10. Successors in Interest:

The Volunteer agrees that the rights the Volunteer is giving up and the agreements the
Volunteer is making in this Agreement apply equally to the Volunteers successors, assigns,

guardians and legal representatives. The Volunteer agrees that none of these may make any
claim or take any action that the Volunteer could not make or take.

11. Third-party Beneficiaries:

The Volunteer agrees that this Agreement protects and is for the benefit of the Humane Society
International: India and/or its affiliates and their respective employees, officer, directors,
consultants, licensees, other volunteers and all others acting on their behalf. The Volunteer
further agrees that the Volunteer will not make any claim or take any action against any of
those affiliates or individuals that the Volunteer could not make or take against HSI:INDIA
itself. This clause shall survive the cessation or tenure of the Volunteer, as applicable.

12. Consideration:

The Volunteer intends to fully and voluntarily waive any rights described in this Agreement.
To the extent that legal consideration is required for this Agreement to be effective, the
Volunteer hereby agrees that the Volunteer has received good, valuable and sufficient
consideration by being permitted by HSI:INDIA to voluntarily participate in HSI:INDIA
activities.

13. Age Limitation:

The Volunteer certifies that he is at least eighteen (18) years of age.

14. Miscellaneous:

The Volunteer expressly agrees that this Agreement is governed by and construed in
accordance with the laws of India, without regard to its conflict-of-interest provisions. Any and
all legal proceedings that may arise from this volunteer agreement shall remain in the
jurisdiction of Mumbai. The Volunteer agrees that in the instance of legal proceedings he will
cooperate with HSI:INDIA and as well as its agents. The Volunteer further agrees that the
invalidity, unenforceability or illegality of any provision (or part of a provision) of this
agreement shall in no way affect the validity, enforceability or legality of the other provisions.

15. Duration:

The volunteer shall carry out the services for a period of 12 months unless otherwise indicated
to the volunteer in writing by HSI/India.
