SUBSCRIPTION AGREEMENT

KNOW ALL PERSONS BY THESE PRESENTS:

This Subscription Agreement (“Agreement”) is made and entered this ________ by and

“Subscriber”;

WITNESSETH: THAT-

WHEREAS, the Corporation has an authorized capital stock (“ACS”) of

WHEREAS, the Subscriber intends to subscribe shares out of the unissued shares of the
Corporation;

NOW THEREFORE, in consideration of the foregoing and the subscription price indicated
hereunder, the parties agree as follows:
