2. The Agreement, together with this letter agreement shall, as of


the Effective Date, be read and construed as a single integrated
document, incorporating the amendments thereto as set forth in

3. All the provisions, covenants, warranties, representations and

extent as may be inconsistent with and/or as may have been
modified by this letter agreement, shall remain in full force and
effect and shall continue to bind the Parties.

4. This letter agreement shall be governed by and construed under


the laws of the Republic of the Philippines.
5. Should you be amenable to the terms of this letter agreement,
please indicate your approval and conformity thereto by signing
on the space provided below. Thereupon, the Agreement,
together with this letter agreement, shall on the Effective Date
be considered our valid and binding agreement, enforceable in
accordance with their collective terms.
