DEED OF ASSIGNMENT

THIS ASSIGNMENT is made the day of 201

BETWEEN

WOON CHOI LING (NRIC NO. 791113-06-5446) of No. 79, Sungai Ruan, 27500 Raub,
Pahang (hereinafter referred to as “the Assignor”) of the one part;

AND

LAU AH CHING (NRIC NO: 890621-14-5462) of A-7-11, Mutiara Fadason, Jalan 2/17, Off
Jalan Kepong, 52000 Kuala Lumpur (hereinafter referred to as "the Assignee") of the other
part.

WHEREAS:

(a) By a Sale and Purchase Agreement dated 17 August 2005 (hereinafter referred to as
“the Principal Sale and Purchase Agreement") made between MAGNA PARK
SDN BHD (Company No. 227337-X), a company incorporated in Malaysia with its
registered office at Lot No. C-G-11 & 12, Block C, Jalan Persiaran Surian, Palm
Spring @ Damansara, 47810 Kota Damansara, Selangor (hereinafter referred to as
“the Developer") of the first part, DATUK BANDAR KUALA LUMPUR a corporation
sole established under Section 5 of the Federal Capital Act 1960 of Bangunan Dewan
Bandaraya Kuala Lumpur, Jalan Raja Laut, 50350 Kuala Lumpur (hereinafter referred
to as “the Proprietor”) of the second part, and SON YEOU JYE (NRIC NO. 781231-
04-5113) and LIM KIM GEIK (NRIC NO. 840321-14-5246) (hereinafter collectively
referred to as “the First Purchaser”) of the other part, the Developer with the consent
of the Proprietor sold and the First Purchaser purchased from the Developer all that
parcel of condominium distinguished as Parcel No. CP11-06, measuring
approximately 1,150 square feet in area within Storey No. 11 of Building No.
CP, Type C, together with one (1) unit of car park No. B4-14 in the housing
development known as Phase 3AII and bearing the postal address at 11-9, Casa
Prima, No. 25 Jalan Metro 2, Metro Prima Kepong, 52100 Kuala Lumpur
(hereinafter referred to as “the said Property”) and erected upon part of the land held
under Master Title PN 46237, Lot No. 63336 (previously known as PN32192, Lot
No. 58482) in the Mukim of Batu, District Kuala Lumpur and State of Wilayah
Persekutuan KL (hereinafter referred to as “the said Land”) for the consideration and
upon the terms and conditions therein contained.

(b) By a Loan Agreement, Deed of Assignment and Power of Attorney all dated 23
February 2006 entered in to between HONG LEONG BANK BERHAD (hereinafter
referred to as “the First Purchaser’s Financier”) of the one part and the First
Purchaser of the other part, the First Purchaser assigned to the First Purchaser’s
Financier all their rights, title and interest in and to the said Property and under the
Principal Sale and Purchase Agreement and the full benefit granted thereby and all
stipulations therein contained and all remedies for enforcing the same to the First
Purchaser’s Financier absolutely.

(c) By a Deed of Receipt and Reassignment made between the First Purchaser of the
one part and the First Purchaser’s Financier of the other part, the First Purchaser’s
Financier has released and reassigned all the rights, title and benefit in the said
assignment of the said Property to the First Purchaser and upon the terms and
conditions therein contained.

(d) By a further Sale and Purchase Agreement dated the 20 December 2010 entered
into between the First Purchaser of the one part and the Assignor of the other part,
the First Purchaser sold and the Assignor purchased the said Property for the
consideration and upon the terms and conditions therein contained.

(e) By a Deed of Assignment made between the First Purchaser of the one part and the
Assignor of the other part, the First Purchaser assigned to the Assignor absolutely all
their rights title and interest in and to the said Property and under the Principal Sale
and Purchase Agreement upon the terms and conditions therein contained.

(f) By a Facility Agreement, Deed of Assignment and Power of Attorney made between
the Assignor of the one part and HONG LEONG BANK BERHAD (hereinafter
referred to as “the Bank”) of the other part, the Assignor had obtained from the Bank
a loan and in consideration of the loan, the Assignor had assigned all their rights, title
and interest in and to the said Property and under the Principal Sale and Purchase
Agreement and the full benefit granted thereby and all stipulations therein contained
and all remedies for enforcing the same to the Bank absolutely.

(g) The purchase price pursuant to the Principal Sale and Purchase Agreement has been
fully paid to the Developer.

(h) A separate sub-divided issue document of strata title in respect of the said Property
has yet been issued by the relevant authorities.

(i) The Certificate of Fitness for Occupation / Certificate of Completion and Compliance
of the said Property has been issued.

(j) By a Sale and Purchase Agreement dated made between the


Assignor of the one part and the Assignee of the other part, the Assignor agreed to
sell and the Assignee agreed to purchase the said Property for the consideration and
on the terms and conditions therein contained.

(k) By a Receipt and Reassignment dated made between the


Assignor of the one part and the Bank of the other part, the Bank RELEASED AND
REASSIGNED all the rights, title and benefit in the said assignment of the said
Property to the Assignor and upon the terms and conditions therein contained.

(l) The Assignor have agreed to transfer and assign the said Property and the Assignee
has agreed to accept all the rights titles and interests of the Assignor in the said
Property acquired under the Principal Sale and Purchase Agreement and has
undertaken to perform and observe all the other stipulations covenants and conditions
on the part of the Assignor to be performed and observed under the Principal Sale
and Purchase Agreement in lieu of the Assignor for the consideration and on the
terms and conditions hereinafter appearing.

NOW THIS DEED WITNESSETH as follows:-

1. In consideration of the sum of RINGGIT MALAYSIA FOUR HUNDRED AND


TWENTY THOUSAND (RM420,000.00) only paid by the Assignee to the Assignor
and in consideration of the aforesaid premises, the Assignor hereby ASSIGNS
absolutely unto the Assignee all its rights, title and interest together with all liabilities
and obligations in and to the said Property and under the Principal Sale and Purchase
Agreement and the full benefit thereof to HOLD unto the Assignee absolutely.

2. The Assignee hereby covenant with the Assignor that the Assignee will perform, fulfill
and observe all and every stipulations, provisions and conditions on the part of the
Assignor mentioned or contained in the Principal Sale and Purchase Agreement and
will further at all times keep the Assignor indemnified against all actions, proceedings,
claims and costs in respect of or incurring out of the Principal Sale and Purchase

Agreement except for all actions, proceedings, claims and costs in respect of or
incurred by the Assignor prior to the date hereof which the Assignor shall continue to
be liable.

3. This Assignment shall be deemed completed upon the signing hereof and henceforth
the Assignee shall be governed by all the terms and conditions, stipulations,
agreements and covenants contained in the Principal Sale and Purchase Agreement
as if it was the Assignee itself mutatis mutandis.

4. The Assignee shall bear all costs and expenses of and incidental to the Assignment
including the solicitors' fee and attestation of this Assignment and the administrative
charges shall be payable by the Assignor to the Developer.

5. This Assignment shall be binding upon the successors in title and permitted assigns
of the parties hereto.
