On this day of February, 10.2022-, an agreement has been drawn between on the one
hand Mr SONG SONG Daniel Brice known as the representative of the groups
of facilitators, and on the other hand
--------------------------------------------------------------------- known as Paymaster; for
the transmission of ten ( 10%) percen… of Two Hundred Seventy Five Millions
( 275,000,000 ) Euros the transport of which was entrusted to it by the owner
according to the agreement contract between the owner and the paymaster.

ARTICLES
1. The owner has Five Hundred Millions (500,000,000 ) Euros in cash
in HSBC BANK PLC & CANADA SQUARE,CANARY WHARF, LONDON,
E14, 5HQ, UNITED KINGDOM and wishes to convey it to Cameroon, and for this
needs a Paymaster.

2. The Paymaster is willing and able to Receive this funds and Convey them to
Cameroon for the Owner.

3. The facilitators enabled the Paymaster to obtain this transaction

4. The Paymaster has placed a price tag of 55% (Fourthy Five percent ) total
amount for his effort which represents Two Hundred seventy five Millions
( 275,000,000) Euros.

5. The owner willingly agrees to pay the price of 50%. This price which is equal to
One Hundred Thirty Seven Millions Five Hundred Thousands(137 500 000)
Euros according to the memorandum of understanding between the owner and the
paymaster.

6. The terms of deductions and delivery will be detailed in the agreement contract
between the owner and the paymaster.

7. The Paymaster also pledges to pay a comissions of Ten percent of initial total
amount( 10% ) mentioned in article four which represents Twenty-seven
Millions Five Hundred Thousands (27 500 000) Euros to facilitators treat have
enabled him to get this transaction.

8. The commisions of 10% which goes to the facilitators shall be paid as follows:
35% to Paymaster’s group1 represented by Monsieur MBELLA Thierry , 25%
to Paymaster’s group2 represented by Monsieur SONG SONG Daniel and 40% to
Paymaster’s group3 represented by Monsieur MBINDZI Bernard).
The Paymaster will use a Carrier to pay the commissions, the commissions shall be
paid by the Carrier himself on his arrived in Cameroon.

9. The facilitators group decide to give mandate to Mr SONG to receive their

respective par and to redistribute as described in the memorandum of understanding
between the facilitators.

10. Trust, good faith and integrity shall be the givings factors throughout this
transaction, any litigation that arises from the execution of this agreement shall be
resolved amically between owner, Paymaster and the facilitators.
