Introduction
Bank Limited was established as FIRST bank of Nepal on Kartik 30, 1994 (November 15, 1937
A.D.) under Nepal Bank Act 1937. The bank was established with an authorized capital of
Rs.10 million, issued capital of Rs.2.5 million and paid up capital of Rs.0.842 million. The
share held by government and private sector was 60% and 40% respectively.
Nepal Bank Limited was inaugurated by King Tribhuvan with supportive vision of Prime
Minister Juddha Shumsher Jung Bahadur Rana to institutionalize formal banking system in
Nepal. Before the establishment of NBL, all monetary transactions were carried out by private
dealers and trading centers. It was the time when there was no trust for such formal banking
system.

• प्रचशलत कानून तथा बैंकको प्रबन्िपत्र र ननयमािली अनुसार गिन भएको यस बैंकको सञ्चालक
सशमनतले बैंक तथा वित्तीय संस्था सम्बन्िी ऐन, २०७३ नेपाल राष्ट्र बैंकको ननर्दे शन लगायत अन्य
प्रचशलत कानूनमा व्यिस्था भए बमोजिम आफ्नो काम, कतडव्य, अधिकारको पालना गने गरे को ।
सञ्चालक सशमनतबाट स्िीकृत सञ्चालक सशमनत सञ्चालन कायडविधि बमोजिम सञ्चालक सशमनतको
बैिकलाई व्यिजस्थत गररएको ।
• आचारसंठहता पालनामा यस बैंकको सञ्चालक सशमनत पूणरु
ड पमा सिग रहे को िसलाई व्यिजस्थत
गनड सञ्चालक सशमनतको आचारसंठहता स्िीकृत भई कायाडन्ियनमा रहे को साथै, कम्पनी ऐन, २०६३
तथा बैंक तथा वित्तीय संस्था सम्बन्िी ऐन, २०७३ बमोजिम सञ्चालक सशमनतको बैिक समय
समयमा बस्ने गरे को ।
• सञ्चालक सशमनतको बैिकमा उपजस्थत सञ्चालकहरु, छलफल भएको विषय र तत ् सम्बन्िमा
भएको ननणडयको वििरण (माईन्यट
ू ) को छुटै अशभलेख राख्ने गररएको।सञ्चालक सशमनतका अध्यक्ष
तथा सर्दस्यहरुलाई िावषडक सािारण सभाबाट पाररत भई बैंकको ननयमािलीमा तोककएको सीमाशभत्र
रही बैैैिक भत्ता तथा अन्य सवु ििा उपभोग गराउने गररएको ।
• त्यसैगरी, सञ्चालक सशमनतको काम कारबाहीलाई प्रभािकारीरुपले सञ्चालन गनड बैंक तथा वित्तीय
संस्था सम्बन्िी ऐन, २०७३ तथा नेपाल राष्ट्र बैंकको ननर्दे शन बमोजिम सञ्चालक सशमनत मातहत
लेखापरीक्षण सशमत, िोखखम व्यिस्थापन सशमनत, कमडचारी सेिा सवु ििा सशमनत र सम्पवत्त
शद्
ु िीकरण ननिारण सम्बन्िी सशमनत रहे को साथै, सञ्चालक सशमनतले आिश्यकताको आिारमा
समय समयमा उद्र्दे श्य तोकी अल्प अिधिका अन्य सशमनत/उप सशमनत गिन गरी कायडलाई
व्यिजस्थत गने गरे को ।
नीनत/ननयम/विननयम/कायडविधि :
• बैकमा कमडचारीको सेिा शतडलाई व्यिजस्थत गनड नेपाल बैंक शलशमटे र्, कमडचारी सेिा
विननयमािली, २०६८ कायाडन्ियनमा रहे को ।
• किाड लगानी र सो सँग सम्बजन्ित प्रकृया र कायडलाई व्यिजस्थत गनड नेपाल राष्ट्र बैंकको
ननर्दे शनको सीमाशभत्र रही तिम
ुड ा गररएको किाड नीनत ननर्दे शशका, २०१७ र कायड सञ्चालन
ननर्दे शशका (किाड) भाग २ कायाडन्ियनमा रहे को ।
• त्यसैगरी, बैंकको र्दै ननक कायड सञ्चालन र व्यिस्थापनसँग सम्बजन्ित विशभन्न अन्य आन्तररक
नीनत/ननयम/विननयम/ कायडविधिहरु तिम
ुड ा गरी सम्बजन्ित ननकायबाट स्िीकृनत शलनु पनेको

हकमा स्िीकृनत समेत शलई कायाडन्ियनमा ल्याउने गररएको र आिश्यकता अनुसार समयानूकुल
संशोिन/पररमािडन गने गररएको ।
• बैंकको समग्र लक्ष्यको ननिाडरण तथा कायड सम्पार्दनको समीक्षा र मापनका लाधग ५ बषे
रणनीनतक योिना, सञ्चालक सशमनतबाट स्िीकृत गरी कायाडन्ियनमा ल्याउने गररएको ।
• त्यसैगरी, रणनीनतक योिनाका उद्र्दे श्य प्राजप्तमा सहयोग पुग्ने गरी हरे क बषड िावषडक योिना,
कायडक्रम तथा बिेट ननमाडण गरी लागू गने क्रममा प्रत्येक विभाग, डर्शभिन तथा शाखाको लक्ष्य
ननिाडरण गने गररएको साथै त्रयमाशसक रुपमा लक्ष्य अनुरुप कायड सम्पार्दन भए/नभएको समीक्षा
समेत गने गररएको ।
• बैकबाट हुने सेिा प्रिाह र अन्य र्दै ननक कायड सञ्चालन र व्यिस्थापनसँग सम्बजन्ित ननणडयहरु
प्रचशलत कानून, ननयमनकारी ननकायको ननर्दे शन तथा बैंकका आन्तररक नीनत/ननयम/कायडविधि
शभत्र रही व्यिसानयकता, पारर्दशशडता तथा र्दरू गामी प्रभाि समेतको आिारमा यथासम्भि शीघ्रताका
साथ गने गररएको ।
• बैकको आन्तररक ननणडयको िानकारी इन्रानेट, इमेल र आश्यकता अनुसार अन्य माध्यमबाट
ठर्दने गररएको । शेयरिनी/ननक्षेपकताड/किाड ग्राहकसँग सम्बजन्ित सच
ू नाहरु बैकको िेभसाइट तथा
राजष्ट्रय र्दै ननकमा समेत प्रकाशशत गने गररएको ।
• सािडिननक चासो र सरोकारका विषयमा सूचना प्रेवषत गनड सूचना अधिकारी तथा प्रिक्ता
तोककएको । ननणडय कायाडन्ियनको अिस्थाको अनुगमन समेत गने गररएको ।
• नेपाल बैंक शलशमटे र् कमडचारी सेिा विननयमािली, २०६८ मा बैकमा कायडरत कमडचारीको अनुशासन
र आचरण सम्बन्िी व्यिस्था रहे को ।
• अनुशासन उल्लङ्घन गने र कमडचारीहरुले पालना गनप
ुड ने आचरण पालना नगने कमडचारीहरुलाई
कमडचारी सेिा विननयमािली, २०६८ मा भएको व्यिस्था अनरु
ु प अनुशासनको कारबाही गने
गररएको ।

भएका ननर्दे शन, राजष्ट्रय तथा अन्तराजष्ट्रय मापर्दण्र्हरुको समेत पररपालना हुने गरी िोखखम
व्यिस्थापन सम्बन्िी नीनत, ननर्दे शशका तिम
ुड ा गरी कायाडन्ियनमा ल्याइएको । प्र
• मुख िोखखम अधिकृतले नेतत्ृ ि गरे को िोखखम व्यिस्थापन विभागले िोखखमको अिस्थाका
सम्बन्िमा बैंकको उच्च व्यिस्थापन, िोखखम व्यिस्थापन सशमनत तथा बैंक सञ्चालक
सशमनतलाई ननयशमत रुपमा िानकारी गराउने गरे को । ननयामक ननकायबाट िारी ननर्दे शनको
पररपालना गने गररएको ।
• अनुपालना िोखखम (Compliance Risk) अथिा ननयम, कानूनको Non-Compliance का
कारणबाट आउन सक्ने सम्भावित िोखखम न्यनू नकरणका लागी बैंकमा प्रमख
ु अनुपालना
अधिकृतको नेतत्ृ िमा अलग्गै कम्प्लायन्स विभाग गिन गररएको ।
• सम्पवत्त शुद्िीकरण र आतंकिार्दी कक्रयाकलापमा वित्तीय लगानीको पठहचान गने र सो को
ननिारणका लागी विशभन्न तहमा छलफल गरी सञ्चालक सशमनतलाई िानकारी गराउने
जिम्मेिारी समेत अनुपालना अधिकृतलाई ठर्दइएको ।

Transformation Stage - Obstacles and Challenges
• After declaration of liberalization policy in Nepalese trade and business sector that
allowed new entrants, private sector and joint venture banks delivering technology
based financial services,
• NBL has to face cutthroat competition in banking business. Especially, when the private
banks were more focused on profitable ventures and better customer service NBL had
to provide services to the remote areas all around the nation to serve the rural people
and community as well.
• Nepal Bank was established with the corporate vision "Pioneer Bank with complete
banking solution" however it was difficult for NBL to sustain the technological
developments with the implementation of Total Branch Automation (TBA) in
standalone mode.
• The main disadvantage of TBA was that no data centre was established and therefore
customers’ data were available only at the branch where the customers have account.
Moreover, each branch needed to take back up of their data and send it to head office
in storage device for safe keeping.
• While Nepal Bank was on parallel operation with two CBSs, NEWTON and PUMORI,
information technology revolution in Nepalese banking industry gained momentum
with private banks opted to have a single centralized database with the emergence of
self service banking technologies such as ATM, Online Banking and Mobile Banking.
• This situation has conveyed a factual confront for Nepal Bank to cope up with
technological challenges like synchronization, interoperability, data exchange, data
transfer, data security and at the same time providing contemporary banking services.
• It has been an uphill task for Public Sector Bank like NBL to join the technology band
wagon. For transformation of the bank it was extremely essential to lay down solid and
sound technology platform.
• NBL started exploring possibilities of deploying centralized CBS to address ever
increasing customer demand, technology based products and services at par with the
industry, integrated MIS and robust yet secure system.
• However data migration, implementation, deployment, testing and training were huge
challenge as all 125+ branches spread over different geographic location were in
distributed database. The task would have taken not less than couple of years. Owing
to the fact, NBL sought mid way, an interim solution whereby one of the existing CBSs
to be upgraded and rolled out to all branches in a centralize database completely
migrating the other one.
• Though it was interim arrangement, yet it has managed to harness technology
reallocating multiple database servers to single centralized database in the year 2072
B.S.
• NBL has leapfrogged into the era of innovation in banking adopting latest technologies
on PUMORI IV platform (both desktop and web-based) in centralized mode.
• Now NBL has been providing IT enabled services and delivery channels such as ATMs,
Online Banking, Debit Cards, Mobile Banking, NFC enabled e-ticketing system for
local transportation, ECC, ASBA and more. This new adoption has also facilitated NBL
to implement a centralized Management Information System (MIS) and reporting
arrangements. Centralized payroll system, centralized Trade Finance operation and

centralized Credit Administration are few of the outcomes of the technology
integration.
• Recently, NBL IT team has developed a centralized web based MIS and Pension
system. These all growth fueled by innovative initiatives has been possible only because
of technology transformation and utilization of right resources at the right place.
Future Opportunities
• Technologies facilitate banks to introduce new products and services, reach close to the
customer, and narrow down the digital divide thereby supporting financial inclusion.
• The emergence of self service banking technologies such as ATM, Online Banking and
Mobile Banking has usher the concept of anytime and anywhere banking. With the
advancement in these technologies new products are gaining more attention amongst
customers’ reasons being lower cost of operation and easily accessible services.
• For a public sector bank like Nepal Bank in order to achieve targeted goal with two
mission statements "Network for inclusion" and "Enhancing the Value" should be able
to facilitate its customers with high-tech services.
• It also needs to re-imagine tech-enabled services continuously and be ready to face
innovative technological challenges such as,
• Security and compliance to the security mandates of all forms of electronic products,
services and transactions.
• Implementation of open standards for banking functionalities.
• Growing customer awareness and need of transparency.
• Close integration of bank services with web based e-commerce or even
disintermediation of services through direct electronic payments (e-Cash).

• NBL technology adaptation will definitely help to reshape itself in Nepalese banking
industry in recent future
