Associate Agreement

PARTIES

(1) The Party referred as Indman Recruitment known as (the "Company"); and

(2) The Party referred under Associate Offer known as (the "Associate").

RECITALS.

A. The Company conducts consultancy services.


B. The Associate has agreed to provide services to the Company on the terms and conditions set out in this Agreement.
C. This Agreement comprises the terms and conditions contained in the body of this Agreement and Associate Offer and Schedule A
(country specific terms & conditions).
D. Should there be any inconsistency between the terms and conditions contained in the body of this Agreement and those specifically
contained under Associate Offer and Schedule A, then Schedule A, shall take precedence over the body of this Agreement; and
Associate Offer shall take precedence over Schedule A.
E. This Agreement has been entered into and executed in Abu Dhabi, United Arab Emirates.

OPERATIVE PROVISIONS:

1. DEFINITIONS
The following definitions apply in this Agreement:

"Agreement" means this agreement as numbered for the purposes of identification in under “Associate Offer”
"Business Days" means a day on which banks are open for general banking business in Abu Dhabi, United Arab Emirates.
"Client" means the Client specified under “Associate Offer”
"Commencement Date" means the date specified under “Associate Offer”.
"Confidential Information" means information of a confidential nature relating to the business or affairs of the Company or the Client which the
Associate may learn or may have learned in the performance of the services, including, but not limited to:

(a) Business methods;


(b) Marketing strategies;
(c) Financial affairs and accounting methods;
(d) Supplier and customer lists;
(e) Intellectual property of the Company or the Client;
(f) Products, components of products, pricing policies and costing; or (g) Research and development or future plans, of the Company
or the Client.

"Country of Operation" means the country as specified under “Associate Offer”


"Dangerous Pursuits" means but is not limited to: illegal activities of any kind, travelling on a motor cycle, scooter or quad bicycle, without a
valid driving license or by violating the local road laws, participating in skydiving or racing activities.
"Fee" means the fee specified under “Associate Offer” or such other rate as may be agreed in writing between the Company and the Associate.
'Insurance Policies" mean the insurance policies that are purchased by the Company for the purpose of this Agreement and are subject to the
terms, conditions and limitations attached thereto.
"Intellectual Property" means all industrial and intellectual property whether protectable by statute, at common law or in equity, including, but
not limited to, copyright, design rights, inventions, patents, technology, trade secrets, know-how and all other rights and interests of a like nature
and shall, for the purposes of this Agreement, include software.
"Jurisdiction" means the United Arab Emirates.

"Location" means the location specified under “Associate Offer”

"Pay Period" is defined under “Associate Offer”


"Personnel" mean employees, officers, directors, Associates, agents or any of them.
"Point of Origin" means the United Arab Emirates.
"Services" means the services specified under “Associate Offer” referred to in clause 7.
"Time sheet" means a time sheet in the form approved by the Client, referred to in clause 6.
"Working Hours and Overtime" is as defined in clause 9.

“R&R Leave Cycle” means leave approved by the Client as per scheduled leave cycle specified under “Associate Offer”

2. TERM
2.1 Subject to this clause and the agreement of the Client, the term commences on the commencement date and, and shall continue for an
unlimited period until terminated according to clause 10 (the "Term").

2.2 The term shall not commence if, at the commencement date, the Associate does not have the necessary licenses, permits or visas
required to enable the Associate to provide the services.

3. SERVICES
The Associate will provide the services specified under “Associate Offer” (the "Services") for the Client at the location specified under “Associate
Offer” (the "Location") or such other location as may be agreed between the Client, the Company and the Associate.

4. FEES
4.1 In consideration of the Associate providing the Services in accordance with the terms of this Agreement and upon the submission of a
time sheet in accordance with clause 6, the Company will pay the Associate the fee specified under “Associate Offer” or such other
rate as may be agreed in writing between the Company and the Associate (the "Fee").
4.2 For payments made by Company any bank charges incurred by the Associate's own bank or intermediate banks are to the Associate’s
account.
4.3 The Associate will at no stage throughout the duration of the contract, make disclosure of his remuneration or of any other terms and
conditions of the contract unless legally required.

5. WORKING HOURS & OVERTIME

5.1. The Associate is required to work the standard amount of working hours, as specified under “Associate Offer” or otherwise directed as
per Client's request.
5.2. Payment for any overtime is subject to prior approval from the Client or its authorized personnel.

6. TIMESHEETS
The Associate must submit to the Company a time sheet approved by the Client ("Time sheet") and such other documents relating to the
provision of the services as requested by the Company by 5 pm on the last working day of the pay period, specified under “Associate Offer”
(the "Pay Period"), for the services provided during that pay period or other such time as agreed between the parties.

7. EXPENSES
The Company shall reimburse the Associate expenses reasonably and properly incurred in providing the services which are approved in
advance by the authorized personnel of the Client and supported by original receipts.

8. ASSOCIATE'S OBLIGATIONS
The Associate agrees and warrants that:

(a) It will provide the services with all necessary professional skill and diligence to the reasonable satisfaction of the Company in Accordance
with the terms of the Agreement.
(b) It is skilled, trained, qualified and competent to provide the services and that the information provided to the Company by the Associate
about its work experience and qualifications is true and correct. (c) It will provide the services:
(i) Safely and in accordance with the Company's and the Client's occupational Health, Safety and Environmental Requirements;
(ii) In accordance with any directions given by the Client or the Company or its authorized personnel, or any procedures Manual provided
by the Client or the Company;
(iii) In compliance with all relevant laws, regulations, rules, orders, and technical codes.
(d) It will hold, with the reasonable assistance from the Company, all licenses, permits and visas, required to perform the work Required in
providing the services at all times.

9. RELATIONSHIP OF PARTIES
9.1. The relationship between the Company and the Associate is that of a principal and an independent Associate. Nothing in this
Agreement will constitute or deem the Associate to be a permanent employee of the Company nor will anything in this Agreement Be
construed as creating an employment relationship between the Company and the Associate.
9.2. The Associate shall not incur any liability on behalf of the Company or in any way pledge or purport to pledge the credit of the
Company or make any contract binding on the Company without the Company first approving its terms.

10. TERMINATION
10.1. The Company may terminate this Agreement immediately and without notice
if: (a) The Client terminates this Agreement without notice to the Company;
(b) The Associate:

(i) Commits a serious or persistent breach of the provisions of this Agreement and fails to redress the same within 7 days from
receiving a notice to do so from the Company;
(ii) Fails to provide the services in a manner acceptable to the Company or the Client Agreement and fails to redress the same
within7 days from receiving a notice to do so from the Company;;
(iii) Is guilty of serious misconduct which, in the reasonable opinion of the Company, may injure the reputation of the Company or the
Client;
(iv) The Associate has a conflict of interest which cannot be resolved to the satisfaction of the Company or the Client;
(v) Ceases to hold any license, permit or visa required to provide the Services;
(VI) Engages in any dangerous pursuit, illegal activity or culturally inappropriate behavior.

In the event of termination under provisions of clauses 10.1 (b) the cost of mobilization / demobilization will be to the Associate's personal cost

10.2. The Company may at any time terminate this Agreement by giving the Associate the amount of notice in writing as specified under
Associate Offer as Termination / Notice Period. The Company may not be obliged to pay the fee during the notice period unless the
Services are required by the Client and are actually provided.

10.3. The Associate may at any time terminate this Agreement by giving the Company the amount of notice in writing as specified under
“Associate Offer”. The Company will not be obliged to pay the fee or any other compensation during the notice period unless the Services
are actually provided.
10.4. For termination for cause in accordance with clause 10.1 (b) no further entitlements shall be payable.
10.5. The termination of this Agreement shall not release the Associate from its obligations under clause 9, 11, 13 and 14 of this Agreement,
which shall remain binding on the Associate.

11. CONFIDENTIALITY AND INTELLECTUAL PROPERTY ETC.


11.1. Confidentiality

(a) The Associate must not at any time use or divulge to any third party any confidential Information nor permit any third part to
examine or make Copies of any confidential information without the prior consent in writing of the Company and or tile Client.
(b) The Associate must upon termination of this Agreement immediately deliver to the Company all confidential information and all
other property Of the Company or the Client which may be in its possession or under its control.
(c) The Associate acknowledges that all confidential information made or received by the Associate in respect of any of the services
shall be the Property of the Company or the Client.

11.2. Intellectual Property

a. The Associate shall retain ownership of all intellectual property rights of whatever nature including but not limited to
inventions, original works Of authorship, developments, concepts, improvements, designs, discoveries, ideas and trade
secrets -whether registered or not in all Documents, material, data, information, devices, processes which were conceived,
developed or made by the Associate prior to the Commencement of the provision of Services under this Agreement
("collectively referred to as "Pre-Agreement Intellectual Property Rights").

b. Upon request, the Associate shall assign to the Client all its right, title and interest in and to any and all inventions, original
works of
Authorship, developments, concepts, improvements, designs, discoveries, ideas and trade secrets, whether or not
patentable or register able, which may be solely or jointly conceived or developed during the term of this Agreement and/or
the provision of services. The Associate acknowledges that the Fee payable under this Agreement is considered to include
a fair compensation for the 'missing out' on these rights.

c. For the avoidance of doubt, the Client shall not be deemed to have granted the Associate any license to use documents,
material, data or information other than for the purposes of this Agreement.

d. Where appropriate, the Associate shall be deemed to have asserted its moral rights over any documents or other material
provided or created by the Associate in the provision of the specified services.

e. The Associate warrants to Company and the Client that: No documents or other material and data or other information and
devices or processes will be provided by the Associate for use in the provision of the specified services which infringe any
third party intellectual property rights.

Any documents or other materials created by the Associate during the provision of the specified services for use by the Client will be
original and created specifically for the Client.

12. INSURANCE POLICIES


At all times during the Term, the Company shall maintain the insurance policies in connection with the provision of the Services including:
(a) Workers' compensation or employers' liability insurance where available in the United Arab Emirates in a form prescribed or approved
under any workers' compensation or employers liability legislation applicable to the Associate for periods when the Associate is providing the
services under this Agreement.

(b) Coverage under insurance policies referred to in this Agreement is subject to the Associate (and his or her family where appropriate)
refraining from participating in activities which are illegal or to a reasonable person would be considered hazardous or dangerous "Dangerous
Pursuits".

The Associate acknowledges that in addition to the exclusions existing in the insurance policies themselves , engaging in dangerous pursuits may
result in the applicable insurance entitlement being void.

13. INDEMNITY
The Associate indemnifies the Company against any claim, loss, liability and expense that may be incurred or sustained by the Associate as a direct or
indirect consequence of the services and against all associated claims, demands, actions, suits or proceedings, costs and expenses..

14. DISPUTES
14.1. Despite the existence of a dispute, the Associate shall at all times continue to fulfil all its obligations and comply with all directions
given to the Associate by the Company in accordance with the provisions of this Agreement.
14.2. The Company may, pending resolution of any dispute, withhold payment of the fee or any disbursement or expense for any of the
Services which is in dispute.
14.3. Any dispute arising from a claim in contractor at law which may arise in connection with the Agreement, or in the Interpretation,
validity, breach, or termination of the Agreement or any provision thereof shall be exclusively referred to the exclusive jurisdiction of
Abu Dhabi Courts.

15. AMENDMENT AND WAIVER


No amendment or variation of, or waiver of a right created under, this Agreement is valid or binding on a party unless made in writing
executed by the party or parties to be bound.

16. SEVERABILITY
If a court decides that a provision of this Agreement is invalid or unenforceable that provision shall be modified (if possible) so that it is
enforceable. If the provision cannot be modified it will be severed and the rest of the Agreement will continue to operate.

17. ENTIRE AGREEMENT AND VARIATION


This Agreement constitutes the entire agreement between the parties in relation to the provision of the services and replaces any prior
arrangements, agreements, representations or undertakings between the parties in connection with it. Alteration(s) in the terms and
conditions of this agreement due to an alteration of the service Agreement in between the Client and Company in light of the subject
position will be advised to the Associate by Company and will be reflected in an alteration of the Agreement.

18. GOVERNING LAW EXECUTED

As an Agreement This Agreement is entered into and is governed and construed by the law of United Arab Emirates.

19. COUNTERPARTS

This Agreement may be executed in any number of counterparts. All counterparts together will be taken to constitute one instrument.

20. ASSIGNMENT
The Company may assign the benefit of the Agreement to any associated company or related body corporate or to any transferee of the
whole or any part of the business of the Company and upon such assignee undertaking to the Associate to observe and perform all
obligations of the Company under the Agreement, the Company shall be released from any further liability under
this Agreement.

We are pleased to offer you an Associate Assignment based on the following terms and conditions:-

4. Commencement Date The effective date you commence your work with Client on the project / date of the joining the project
5. Expiry Date The expiry date will be subject to termination at client discretion
6. Contract Duration The duration of contract will be minimum 1 year which automatically renews unless one month notice or
salary in lieu of notice is given from both employee and employer.
7. Services JOB PERFOMER – MECHANICAL / PIPING
8. Probationary Period As per UAE Labour Law.
9. Working Hours/days Working hours will be 260 hours/26 days/ month as per Client discretion.
10. Overtime Additional hours apart from fixed overtime will be paid as per UAE labour law.
11. Work Location The exact work location of the assignment will be at the Client
12. Annual Leave / Rotation 30 Days Paid Annual Leave on Completion of 365 Days
Leave Leave cycle application should be pre-approved by immediate Supervisor / Manager and submitted by giving
10 working days’ notice for necessary arrangements.
13. Air Ticket By the Company from Point of Origin economy class air ticket i.e. for Joining, Demob, R&R if any.

14. Basic Monthly Fees AED 2820 /- (AED Two Thousand Eight Hundred Twenty Only) Per Month for normal 8 hours per day,
6 days a week
15. Other allowance/ Fixed AED 880 /- (AED Eight Hundred Eighty Only) FOT per month for 2 hours per day, 6 days a week
Overtime i.e. FOT
16. Gross Fees AED 3700 /- (AED Three Thousand Seven Hundred Only) Per Month for 10 hours per day, 6 days a
week
17. Fees Pay Period Payment of fees, allowances and expenses shall be on a monthly basis on receipt of duly approved timesheets and
preapproved expenses report with required supporting documents. This is to be submitted to the office by end of each
working cycle which is by 30th / 31st of every month or latest by the second working day of the next month.

Eligibility of Fees during rotational leave cycle will be for basic 8 hrs. and will be paid along with the previous month fees once
you rejoin the project.

All payments for the month shall be effected by electronic transfer to your designated bank account within 7 – 10 working
days of the following month, after receipt of the approved timesheet and expense report with proper supporting document,
company is not liable for banking delays or public holidays. All bank transfer charges other than company transfer charges
are to Associate’s account (including correspondent bank charges).

All approved time sheets need to be submitted On/OR before 5 th of each month in order for the salary to be paid before the
10th of the preceding month in case delay of submission of time sheet the salary payment will get delayed.
18. Working Hours: 8+2 as covered in salary as mentioned in point no. 14 & 15 above.

Additional Overtime Rates:


An uplift of 25% of Gross salary for additional overtime hours AED 16.94/- Per Hour
worked on regular week days i.e. after 10 hours.
An uplift of 50% of Gross salary for overtime hours worked on AED 20.33/- Per Hour
Fridays.
Working Hours, Overtime &
Leave Salary An uplift of 100% of Basic salary for overtime hours worked on AED 27.11/-Per Hour
Public Holidays.
R&R / Annual Leave rate ( calculated on basic Monthly AED 92.46/- Per Day
fees)

Additional Hours: Subject to Client’s / Project’s approval as per local labor laws
(For all additional hours of services i.e. more than Ten (10) Hours will be considered and paid to the
Associate within the fees of the month that comes after.)
Deductions:
All unapproved Absenteeism salary will be deducted as AED 135.53/- Per Day
per given rate
19. Absenteeism
In case of absenteeism for more than 2 days in a month all costs towards your Food and Accommodation
will also be deducted on pro-rata basis if the same is under Company / Client Costs in addition to your Per
Day Deductions as given above.
20. Accommodation, Food Bachelor Accommodation, Food and Transportation will be provided by Company / Client / Allowance.

21. End of Service Benefits As per UAE Labour Law
22. Termination/Notice Period Either party shall have the right to terminate this contract with thirty (30) days’ notice to the other party as per
UAE labour law
23. Employment Visa Will be provided by the company
24. Workmen’s compensation Will be provided as per UAE Labour Law
25. Health Insurance Card Will be provided by the company
26. Other benefits & No other benefits, rights, or entitlements other than what is expressly stated herein.

2. Indman Recruitment may assign you to any other joint project within UAE upon completion of this assignment as
desired / specified by Client OR INDMAN subject to availability

3. Documentation: Your Associate offer is subject to the following:

• Satisfactorily completion of your visa formalities.


• Successful completion of medical examination.
• The review and scrutiny of your original eligible certificates.

By accepting this offer, the Associate represents that all the personal information and documents provided to the
company are true, accurate and complete.

4. Privacy: You are required to observe and uphold all of the Company’s privacy policies and procedures as
implemented or varied from time to time. Collection, storage, access to and dissemination of Associate personal
information will be in accordance with privacy legislation.

5. Breach of any of your obligations or of the provisions of the UAE Labour Laws shall entitle the Company to
terminate your services immediately without any compensation, notice or benefits and without prejudice to the
Company's rights for damages.

6. You are liable to abide all customs and regulations in UAE and abstain from any drugs, unprofessional conduct,
personal misbehaviour or indulgence in political or religious controversies.

7. You are liable to abide all the company rules and regulations and bound to follow the laws of the United Arab
Emirates.

SCHEDULE A
SPECIFIC TERMS AND CONDITIONS OF THE UNITED ARAB EMIRATES

1 Visa requirements By accepting this employment the Associate warrants that the Associate has disclosed to the
Company the Associate current visa, work permit or residency status in United Arab Emirates
and to the best of Associate knowledge the Associate is not prohibited from entering, residing
or working in United Arab Emirates.

Unless the Associate is otherwise legally permitted to reside and work for the Company in
United Arab Emirates, the Company will sponsor and obtain the necessary residence visa and
work permit for the Associate to enter, reside and work with the Company in United Arab
Emirates under this Agreement.

In the event Company's application to obtain such visa and work permit has been rejected by
United Arab Emirates government then this Agreement shall terminate forthwith and neither

party shall have any claim against the other in respect of this Agreement.

To enable arranging the required Residence Visa and Work Permit, the Contract or agrees to
provide the Company with the educational certificates duly attested by the United Arab
Emirates Embassy in the country of issue and the country of assignment. Clear passport copy
and passport size photograph with white background_ Also, a Non-Objection Certificate (NOC)
from the previous employer (if previously worked in United Arab Emirates). This is mandatory
for arranging Residence Visa and no payments will be made until these attested Certificates
are received by the Company.
Associate will pay for any and all taxes if any or applicable on income or benefits derived from
the Assignment hereunder. The Associate is liable for any and all taxes on such income due in
PIT (Personal Income any foreign countries, states or subdivisions thereof, or in the Associate's state of residence or

Tax) & VAT citizenship.
Personal Income Tax is currently not applicable in United Arab Emirates. All kinds of taxes
related to Value Added Tax (VAT) will be borne by the Associate.
3 Emergency We wish to advise that Company operates 24 hours a day, 365 days per year a dedicated
answering service for the reporting of life-threatening medical emergencies or other non-
medical emergencies whilst providing services to Company clients. This service is provided
specifically for our Associate Personnel.

Upon receiving the call the emergency Centre operator will contact Company Management
and assistance will be arranged immediately. We wish to reiterate that this number is for
