Employee Non-Disclosure, Non-solicitation and No-Hire Agreement

This Employee Non-Disclosure, Non-Compete and Non-solicitation/No-Hire Agreement (“Exit NDA”)

is in addition to the Offer Letter/Appointment Letter dated……… including company Code of
Conduct policy and Letter of Undertaking if any (collectively “Employment Contract”). If there is or
becomes an inconsistency between this Agreement and Employment Contract, terms and
conditions under Employment Contract shall prevail.

Restrictive Covenant

1. I agree that during my notice period while in employment with L&T Technology Services Limited
(“LTTS”) and at any time thereafter, I will not disclose any Confidential Information to any person,
including any competitor of LTTS or my future employer, I will not use the confidential information for
any purpose other than those permitted by LTTS.

2. I agree that during my notice period while in employment with LTTS or at any time thereafter, I will
comply with all security precautions and measures of LTTS that are intended to maintain the
confidentiality of its Confidential Information and to limit its distribution to instances of a legitimate
need-to-know basis that are intended to promote the best interests of the company.

3. I agree that for a period of two (2) years after separation and/or termination of my employment with
the LTTS for whatever reason, I will not directly or indirectly request, take up employment or transact
any sort of business directly or indirectly, with any person, company, firm or corporation who is or
was; (i) a customer of the LTTS during a period of two years prior to the termination of your
employment on whose assignment you worked directly or indirectly during your employment with the
LTTS, (ii) who is in competitive business with the LTTS (Third Party) which requires you to carry out
your functions by using any Trade Secrets and Confidential Information, intellectual property rights
belonging to the LTTS or Third Party information available to the LTTS.

4. I agree that for a period of two (2) years after separation and/or termination of my employment with
the LTTS for whatever reason, I will not solicit or be solicited directly or indirectly, in any way, to
accept or attempt to induce any employee, advisor, consultant of the LTTS to take up employment
or transact any sort of business directly or indirectly with such customers or competitors of the LTTS
or to terminate his or her relationship with the LTTS for myself or for any other person, firm, company
or corporation.
