EXTRAJUDICIAL SETTLEMENT OF ESTATE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Extrajudicial Settlement of Estate, made and entered into by and
between:

MARLON S. TOLOSA, of legal age, resident of ________________;

MA. MELIZA S. TOLOSA, of legal age, resident of ______________, herein

represented by her Attorney-in-Fact ______________, copy of the Special Power
of Attorney is hereto attached as Annex “A”;

MARK S. TOLOSA, of legal age, resident of __________________; and

MICHAEL S. TOLOSA, of legal age, resident of ________________;

WITNESSETH, that:

The above-named parties are the only surviving and lawful heirs of LIBBY R.
TOLOSA, who died intestate on 20 June 1998, copy of his death certificate is hereto
attached as Annex B;

The deceased at the time of his death left a half portion of a parcel of residential
lot identified as Lot 227 with a total area of 582 square meters situated at Centro
Oriental, Polangui, Albay, Philippines;

Said property was bought by our father to Matea Tolosa on 31 August 1988 as
evidenced by a Deed of Absolute Sale hereto attached as Annex C. The portion of said
property is now covered by Tax Declaration No. _____________ in the name of our
deceased father, as evidenced by Tax Declaration hereto attached as Annex D.

There are no known debts or obligations due against the estate of the said
decedent;

It is to the very best interest of the parties hereto to adjudicate unto themselves
the entire estate extrajudicially in the form and manner hereinafter set forth;

NOW THEREFORE, for and in consideration of the foregoing premises and

invoking the provisions of Section 1, Rule 74 of the Revised Rules of Court, the said
HEIRS above named have agreed to settle the estate extrajudicially and to this effect do
hereby adjudicate the same unto themselves in equal/legal pro indiviso shares.
