This agreement is agreed and entered into between MakeMyTrip (India) Pvt. Ltd. with its corporate office at 103, Udyog
Vihar, Phase –I, Gurgaon 122016 (hereinafter referred to as ‘MMT’) including its assignees thereof

BACK GROUND
MMT & the hotel have been dealing with each other for selling the Hotel’s inventory through MMT’s online and offline
channels. This non- exclusive agreement is now being formally agreed & signed by the parties to bind themselves with their
mutual obligations with respect to the bookings. Both MMT & the Hotel are referred to as Party (ies) as the case may be.

NOW THEREFORE THE PARTIES HERETO AGREE TO THIS AGREEMENT TERMS AS FOLLOWS:
1. The hotel will provide inventory to MMT on a direct connection (API linking) or Extranet or on request or on allocation
basis as the case may be. This will enable MMT to host the availability of the Hotel’s inventory on MMT’s websites.
Bookings of the hotel rooms will be purely at the choice of the customers.
2. The inventory rates, the blocking and releasing time lines, the commission payable to MMT for bookings done and
other commercial details will be as mutually agreed by the parties on case to case basis by email or in writing.
3. Cancellation charges and the rules will be as per the Hotel’s cancellation policy given to MMT by email or in writing. No
cancellation retention to be paid to the hotel in case of force majeure events.
4. The hotel will honour all MMT bookings without fail. In the extreme cases where accommodating the customer in the
hotel is not possible for any reason what so ever, then the Hotel will provide the customer with an alternate similar
accommodation in same category hotel in the same or nearest locality at no extra cost, including transfers.
5. The validity of the contract would hold perpetuity unless either party gives one month termination notice to the other
party in writing/ email. However the accrued obligations of the parties prior to the cancellation will continue to be
fulfilled post cancellation.
6. This Agreement is governed by the laws of INDIA and the jurisdiction is exclusively of New Delhi courts. The parties
agree that, before initiating any litigation, they will attempt to resolve their dispute through arbitration. The arbitration
panel comprises of 3 arbitrators, of whom two are appointed by each of the parties and the third person being
appointed by the former two arbitrators.
7. The bookings of MMT will as per the user agreement at http://www.makemytrip.com/legal/user_agreement.html and
the parties agree to deliver their obligations accordingly. The parties will settle the payment obligations including the
commissions within 30 days of booking.
8. The information about the facilities available at the hotel, the vicinity details, star rating, extra adult/ child policy etc
shall be as mentioned on the hotel website or as informed by email to MMT from time to time.
9. For the standalone hotel bookings (and not the fixed departure, group or event based bookings) this Agreement
constitutes the complete and exclusive statement of the agreement between the parties, and supersedes all other
communications.

• Location Description :

MMT will provide the HTL with the following.

- An administrator tool by which Hotel can view/change prices.

- An administrator tool by which room allocations can be altered.
- The above administrator tool will be managed by MMT/HTL.
- The Hotel will inform MMT or update its inventory through the admin tool if rooms are sold out
before the cut off date (check in date minus ____). Once it informs MMT or updates through the
admin tool, HTL will not make the rooms available to MMT on those dates.
- MMT will host the website and bear the cost of providing the admin tools/updating the inventory
upon receiving a written request from the Hotel. The written request could be sent by Fax, Email
or SMS (text through mobile). The Hotel will give MMT one business hour (9.30 AM to 6 PM on a
business day) to execute the request.
- MMT will display the Hotel rates as mentioned above (if on commission basis) or net rate plus any
mark up it deems fit (for net rates).

SPECIAL NOTE: The Hotel will honour all bookings made as per the above agreement. In case of
confirmed bookings for overbooked dates, the Hotel will provide the customer with an alternate
hotel in same category at no extra cost.
PAYMENT TERM: MMT takes the responsibility of the payment of all the reservations (confirmed
by both HTL and MMT) for services specified in the voucher. Payments will be made against the
reservation voucher send. Hotel will not be charging the payment directly from the customer for
the services mentioned in the hotel voucher send by MMT.
The validity of the contract would hold perpetuity unless notified by the Hotel or MMT to the other
party, one month in advance from the date of cancellation of the contract. The notification may be
in form of Email or letter signed by competent authority.
