2020 - 2023 Funding Deed

between the Minister for Environment and Water and the RSPCA {SA) Inc.

FUNDING DEED

DATED DAY OF 2020

FUNDING DEED between Minister for Environment and Water ("Minister") and Royal Society for the Prevention of
Cruelty to Animals (South Australia) Incorporated (ABN 60 740 135 753) ("RSPCA")

1. FUNDING

1.1 Subject to the conditions of this deed, the Minister will pay an amount of money specified in the Schedule
('Funding') to the RSPCA.

1.2 The Funding is payable in the manner set out in the Schedule.

2. APPLICATION OF FUNDING

The RSPCA must only use the Funding for the purposes of providing those services set out in the Schedule
('Purpose') and the RSPCA undertakes that, to the best of its ability, it will provide those services in a professional,
timely, efficient and skilful manner.

3. FUNDING ONLY A CONTRIBUTION TO THE COST OF THE PURPOSE

The parties acknowledge that the Funding is a financial contribution to assist the RSPCA in providing those services
set out in the Schedule and that the RSPCA will itself contribute funding for the purpose of providing those services.

4. UNEXPENDED MONEYS

4.1 For the purposes of this deed, the funding period ('Funding Period') is the period commencing on 1 July 2019
and, subject to funding being available, will continue until 30 June 2023.

4.2 Not later that one calendar month after the end of each financial year within the Funding Period, the RSPCA
must provide a report on the level of any unexpended Funding and the RSPCA must repay any part of the
Funding which is unexpended at the end of the Funding Period to the Minister, unless the Minister gives
written approval for the RSPCA to retain the money.

S.GST

5.1 The parties acknowledge that compliance with obligations or the grant of rights under this deed by the
RSPCA will be a Taxable Supply as defined in the GST Law and the RSPCA will be liable to pay GST on the
Taxable Supply.

5.2 In addition to the Funding the Minister will pay an amount calculated by multiplying the Funding by the rate
at which GST is levied at the time of this deed ('GST payment').

5.3 If the Funding is payable in instalments, the GST payment will be payable in proportionate instalments.

5.4 The Minister is not liable to pay the GST payment unless the RSPCA has delivered to the Minister a valid Tax
Invoice under GST Law, referable to the Funding (or instalment of the Funding) and associated GST payment.

5.5 For the purpose of this clause, GST Law has the meaning attributed to it ibn the A New Tax System (Gaads
and Services Tax) Act 1999 (Cth).

6. ADMINISTRATION OF DEED

Any power or discretion exercisable by the Minister under this deed may be exercised by the person for the time
being in the position of Director responsible for the Animal Welfare Unit in the Department of Environment, and
Water ('Department').

7. PROVISION OF FINANCIAL AND OTHER INFORMATION

7.1 Not later than one calendar month after the end of each quarter of every financial year within the Funding
Period, or as the Minister may otherwise request from time to time, the RSPCA must provide the Minister
with appropriate information, records and reports about:

7.1.1 The administration and financial affairs of the RSPCA, including but not limited to:

(a) Detailed (quarterly, or for other such period specified by the Minister) consolidated accounts for
all RSPCA operations relating to the Purpose; and

(b) A (quarterly, or for other such period specified by the Minister) statement offunds expended
for the Purpose;

with appropriate evidence in support of the application of grant moneys by the RSPCA;

7.1.2 The progress of and any change to the authorised scope of the Purpose,

7.1.3 Any significant changes to the nature and scope of the activities conducted by the RSPCA

7.1.4 Any other matter relevant to the granting of assistance;

7.1.5 The contribution of funds by the RSPCA to the Purpose under clause 3 of this deed;

7.1.6 The RSPCA's management of the Funding, including, but not limited to, the economic and efficient
use of resources to achieve the outcomes of the Purpose; and

7.1. 7 The performance of the RSPCA's undertakings and obligations under this deed including, but not
limited to, the Reporting Requirements set out in the Schedule

7.2 The information provided by the RSPCA must be sufficient for the Minister to make an informed judgement
about:

7.2 .1 The RSPCA's ongoing financial position and its resources and expertise in relation to the Purpose;

7.2.2 The RSPCA's performance in managing public moneys, acquiring and using resources economically
and efficiently and in achieving specified objectives in relation to the Purpose;

7.2.3 The overall effectiveness of the Funding throughout the Funding Period;

7.2.4 Compliance with legislation and generally accepting accounting principles; and

7.2.5 Compliance with the RSPCA's constitution and the conditions of this deed.

7.3 The RSPCA must permit any officer authorised by the Minister, with the provision of notice of at least 5 clear
business days:

7.3.1 To enter the RSPCA's premises and to have access to all accounting records, equipment, documents
and information in possession of the RSPCA; and

7.3.2 To interview employees (past and present) of the RSPCA on matters pertaining to the operations of
the.RSPCA.

7.4 The parties agree that the RSPCA's obligations under clause 7.3 shall survive the termination or expiry of this
deed.

8. OBLIGATIONS OF THE RSPCA

8.1 The RSPCA must:

8.1.1 Use the Funding only for the purpose for which the Funding was made;

8.1.2 Maintain accounting records of the Funding in accordance with generally accepted accounting
principles;

8.1.3 Ensure that any activity carried out by the RSPCA in connection with the RSPCA's use of the Funding
complies with the laws from time to time in force in South Australia;

8.1.4 Provide for costs of training and equipment to maintain competence of inspectors and their ability to
achieve specified objectives in relation to the Purpose

8.1.5 Abide by all routine protocols for the inspection of industries and premises without suspicion of an
offence as they are developed, amended and agreed by officers of the RSPCA, PIRSA and the
Department;

8.1.6 Comply with its constitution

8.1.7 Comply with the special conditions in the Schedule

8.1.8 Comply with the reporting requirements in the Schedule.

8.1.9 Comply with the Contracting and Official Records Standard and Personal Information Obligations in
Annexure D

8.1.10 Prepare financial statements in the nature of General Purpose Financial Statements in accordance
with the Australian Accounting Standards and submit those, signed by the RSPCA's Chief Executive,
to the Minister within the period specified at clause 7.1; and

8.1.11 Where requested by the Minister, provide information or documents relevant to the conduct of the
RSPCA's operations which information or documents shall include but not be limited to:

(a) management accounts;

(b) Annual reports;

(c financial statements; and

(d) Information or documents (including of a non-financial nature) relating to RSPCA's operations


under this or previous deeds.

8.1.12 Abide by the contracting and Official Records Standard and Personal Information Obligations (PXPIO
11/01/2013) (Annexure E)

8.2 The parties agree that the RSPCA's obligations under clause 8.1.11 shall survive the termination or expiry of
this deed.

9. TERMINATION

9.1 If the RSPCA fails to comply with this deed, the Minister may:

9.1.1 Require the RSPCA to repay either the whole or a portion of the Funding (whether expended or not);

9.1.2 Withhold all future funding from the RSPCA;

9.1.3 Pursue any legal rights or remedies which may be available to the Minister; and

9.1.4 Terminate or curtail any program or project conducted by the Minister of which the Purpose
conducted by the RSPCA is part.

9.2 The Minister's rights under clause 9.1 are in addition to and do not denigrate from special condition (f) of the
Schedule.

9.3 The Minister may review any decision made pursuant to this clause ifthe RSPCA is able to satisfy the
Minister that the RSPCA has complied with the conditions of this deed.

9.4 Nothing in this deed is to be taken to limit the Minister's discretion to determine whether or how any
program or project of the Minister is to be conducted, except if and to the extent that the Minister give an
express undertaking in that regard.

9.5 The Minister may withhold all future funding from the RSPCA if the Minister is made aware that the RSPCA
failed to comply with any other deed (whether current or not) between the RSPCA and the Minister or any
other State agency or instrumentality.

10. INSURANCE

The RSPCA must comply with the insurance obligations specified in the Schedule.

11. AUDIT

11.1 The Minister may direct the RSPCA to arrange for the financial accounts relating to the Funding to be audited
at the RSPCA's expense.

11.2 The Minister may specify the minimum qualifications to be held by a person appointed to conduct the audit.

12. ASSIGNMENT

The RSPCA must not assign, novate or encumber any of its rights or obligations under this deed.

13. PUBLICITY

13.1 Subject to clause 13.2, the RSPCA must not make or permit a public announcement or media release to be
made about any aspect of this deed, except the quantum and proportion of Government funding of the
inspectorate, without first obtaining the Minister's consent.

13.2 Nothing in clause 13.1 derogates from the operation of the Not-for-Profit Sector Freedom to Advocate Act
2013 or operates to restrict the RSPCA from engaging in political or policy advocacy.

14. CONSENT

If the RSPCA requires the Minister's consent under this deed, the Minister may, in his absolute discretion, give or
withhold consent (subject to any provision in this deed to the contrary) and if giving consent, the Minister may
impose any condition on that consent that he considers appropriate. The Minister's consent will not be effective
unless it is in writing and signed.

15. ENTIRE DEED

15.1 This deed incorporates any schedules and annexures.

15.2 This deed contains the entire deed between the parties with respect to its subject matter and supersedes
any prior deed, understanding or representation of the parties on the subject matter.

16. PROPER LAW

The laws in force in South Australia apply to this deed.

17. JURISDICTION OF THE COURTS

17.l The courts of South Australia will have exclusive jurisdiction to determine any proceeding in relation to this
deed.

17.2 Any proceeding brought in a Federal court must be instituted in the Adelaide Registry of that Federal court.

18. COMPLIANCE WITH LAWS

The RSPCA must comply with the laws in force in South Australia in the course of performing its obligations under
this deed and without limitation its attention is drawn in particular to those laws relating to animal management
and welfare including; the Animal Welfare Act 1985; the Livestock Act 1997; the Natural Resource Management Act
2004; the Landscapes Act 2019, the National Parks and Wildlife Act 1972; and the Dog and Cat Management Act
1995.

19. NOTICES

19.1 A "notice" means a consent, approval or other communication required to be in writing under this deed.

19.2 Addresses for notices are set out in the Schedule.

19.3 A notice must be signed by or on behalf of the sender addressed to the recipient and:

19.3.1 Delivered to the recipient's address;

19.3.2 Sent by pre-paid mail to the recipient's address; or

19.3.3 Transmitted by electronic mail ("email").

19.4 A notice given to a person in accordance with this clause is treated as having been given and received:

19.4.1 On the day of delivery if delivered before 5:00 pm on a business day, otherwise on the next business
day;

19.4.2 If sent by pre-paid mail, on the third business day after posting; e-F

19.4.3 If sent by email, at the time a notification is received by the sender that the message has been
delivered or read or a response received.

19.5 A party may from time to time notify its change of address or email address by written notice to the other
party.

20. WAIVER

20.1 Any waiver of any provision of this deed is ineffective unless it is in writing and signed by the party waiving
its rights.

20.2 A waiver by either party in respect to a breach of a provision of this deed by the other party is not a waiver in
respect of any other breach of that or any other provision.

20.3 The failure of either party to enforce any of the provisions of this deed at any time must not be interpreted
as a waiver of that provision.

21. MODIFICATION

Any modification of this deed must be in writing and signed by each party.

22. SEVERANCE

22.1 Each word, phrase, sentence, paragraph and clause of this deed is severable.

22.2 If a court determines that a part of this deed is unenforceable, invalid, illegal or void, that part may be
severed.

22.3 Severance of a part of this deed will not affect any other part of it.

23. READING DOWN

Where a word, phrase, sentence, paragraph, clause or other provision of this deed would otherwise be
unenforceable, illegal or void, the effect of that provision will, so far as possible, be limited and read down so that it
is not unenforceable, illegal or void.

24. AUDITOR GENERAL

24.1 Nothing in this deed derogates from the powers of the Auditor-General under the Public Finance and Audit
Act 1987 (SA)

24.2 Without limiting the previous clause, the RSPCA acknowledges that Auditor-General's obligations and
powers under section 32 and 34 of the Public Finance and Audit Act 1987 (SA)

25. PUBLIC DISCLOSURE

25.l The Minister may disclose this deed and/or information relating to this deed in either printed or electronic
form and either general ly to the public or to a particular person as a result of a specific request, with the
exception of those annexures to the deed which relate solely to RSPCA Policy.

25.2 Nothing in this clause derogates from :

25.2.1 The RSPCA' s obl igations under any provision of this deed; or

25.2.2 Th e provisions of the Freedom of Information Act 1991 {SA);

26. REFERENCES TO STATUTES

A reference in this deed to a statute includes all statutes amend ing, consolidating or replacing the statute referred
to and also includes any statutory instruments issued under t he statute (including regulation s, proclamations, ru les,
by-laws, orders, notices and codes or standards approved or adopted under the statute).

SCHEDULE

Purpose

(a) The RSPCA is to use the Funding solely to assist it in meeting the costs of the following in relation to
administration of the Animal Welfare Act 1985 SA {"Act")

(a)(i) Providing advice to the Minister on an imal welfare issues

(a)(ii) Subject to clause (b), salaries and associated costs of staff whose duties include :

(A) respond ing to, and investigating, alleged breaches of the Act;

(B) exercising special powers relating to anima ls under s31A of the Act;

(C) taking appropriate action in relation to breach of the Act, including provision of oral and
written warnings, giving anima l welfare notices, giving expiation notices and institution of
prosecutions, in accordance with Part 5 of the Act;

(D) conducting routine inspections as agreed with the Min ister and in accordance with Part 5 of
the Act;

(E) assisting with or assuming the conduct of any investigation initiated by the South Australian
Police ("SAPOL")

(together paragraphs A to E are referred to as "enforcement of the Act")

(b) In relation to each of the items specified in the Table below, the Funding may be expended for items in
Column 1 but so lely for the approved purposes in Column 2. The Funding must not be expended for the
prohibited purposes in Co lumn 3.

If there is more than one purpose for the item in Column 1 then the Funding may be expended for that
proportion of the item which is directly re lated to the approved purpose in Column 2.

Funding

The Funding will be paid in instalments in accordance w ith the Table of Insta lments below, and w ithin one ca lendar

satisfied that such information, records and reports comply w ith clause 7.2 of this deed

(c) The reports required under clause 8.1.10 of this deed

(d) The reports required under the Reporting Requirements of this Schedule

(e) In relation to item (A) of the Table below, all reports required under clauses 4.2, 7, 8.1.8, and 8.1.10 of the
Funding Deed between the parties dated 24 Ja nuary 2017.

Insurance

The RSPCA is required to assess and consider the scope of insurance required for the purposes of fulfilling its
obligations under this deed and is responsible for effecting and maintaining policies of insurance appropriate to
cover its members, officers, employees, assets and members of the public in relation to these obligations.

Special conditions

(a) Investigations and Enforcement of the Act to be in Accordance with Agreed Policy

The RSPCA and staff employed by the RSPCA in administration of the Act are to undertake administration,
investigation and enforcement of the Act in accordance with Part 5 of the Act, and the following policies
and protocols as may be amended from time to time with the express written consent of the Minister,
namely the RSPCA's Investigation and Enforcement Prosecution Policy (attached hereto as "Annexure A"),
the RSPCA's Investigation and Prosecution Policy Manual ("Annexure B") and the RSPCA's "Serious and
Complex Case Protoco l" (Annexure C).

(b) All alleged breaches managed appropriately

All reports of alleged breaches are to be dea lt with appropriately and efficiently.

(c) All alleged breaches managed appropriately

Any person making a report of an alleged breach of the Act is to be treated in a respectful, courteous and
honest manner and is entitled to be informed of the procedures the RSPCA intends to take to address the
alleged breach.

(d) Reasonable direction from the Minister

In undertaking its re sponsibilities under this deed and in relation to enforcement of the Act, the RSPCA is to
take reasonable direction from the Minister.

(e) Confidentiality

All information which the RSPCA obtains in the course of undertaking its respons ibilities under this deed is
confidentia l and must not be di sclosed to any third party or used by the RSPCA without the Minister's
consent, except for the purpose of undertaking those responsibilities.

(f) Termination

Notwithstanding clause 9 of this deed, and the RSPCA's compliance with this deed, either party may
terminate the Funding and the RSPCA will repay the unexpended portion of the Funding. Both parties agree
to give six months prior written notice of their intention to do so.

(g) No employment relationship

This deed creates no contract of employment between the parties.

(h) Model litigant

Despite any amendment to the RSPCA Investigations and Prosecution Policy, the RSPCA will at all times
conduct itself as a model litigant and abide by the Director of Public Prosecutions Guidelines for
Investigation and Prosecution (including as amended from time to time) to the extent tha t such guidelines
are relevant.

(i) Compliance with the Code of Conduct

The RSPCA must ensure that, in undertaking its responsibilities under this deed, its Board members must
comply with it Code of Conduct- Board members) attached hereto as "Annexure D").

(j) Code of Ethics for the South Australian Public Sector

The RSPCA must ensure that insofar as may be relevant (for example in relation to inspectors) employees
are familiar with and abide by the Code of Ethics for the South Australian Public Sector (attached hereto at
"An nexure C") and complete the Code of Ethics Training Awareness Program available at:
https://www.publicsector.sa.gov.au/hr-and -policy-support/ethical-codes/code-of-ethics/code-of-ethics-
training

(k) Relationship with SAPOL

The RSPCA sha ll maintain during the Funding Period, a comprehensive working relationship with SAPOL, by
abiding by the formal Memorandum of Understanding between the RSPCA and SAPOL which addresses,
among other matters, formal contact and liaison processes between the parties.

(I) Crown Solicitor's Liaison

Subject to the approval of the Attorney-Genera l, the RSPCA may establish and maintain a liaison
relationship with the so li citor of the Crown Solicitor's Office nominated by the Minister upon the advice of
the Crown So li citor, to enab le the RSPCA's lega l officer to obtain assistance and support in the discharge of
his or her duties re gard ing enforcement of the Act.

(m) Engaging the Crown Solicitor's Office

(m)(i) The Minister may direct the RSPCA to engage the Crown Solicitor's Officer in relation to any matter
associated with the enforcement of the Act, in which case the Minister will pay for such services.

(m)(ii)The engagement of the Crown Solicitor's Office by the RSPCA will be subject to the approval of the
Attorney-General and, subj ect to special condition (n)(i) and payment of fees will be determined by
agreement between the Minister and the RSPCA, at the relevant hourly rate published on the CSO
web page, for all work done.

(n) Undertaking to employ staff

The RSPCA undertakes to employ staff to undertake the duties set out in paragraph (a)(ii) of the Purpose.

(o) Livestock facility inspections

Livestock facility inspections, if undertaken by the RSPCA, wi ll be in acco rd ance with the agreed protocol at
Annexure F.

During the term of this Deed, the Minister and the RSPCA will jointly develop a paper outlining the options
for investigation and litigation of alleged animal welfa re offences involving commercial livestock.

(p) Recovery of costs

Where the Act provides that reasonable costs and expenses may be recovered (for example in relation to
seizing, treating or caring for an anima l, or causing the living conditions of an anima l to be modified under
s31A of the Act), the RSPCA must make all reasonable endeavours to do so, and account for those costs
and expenses in the reports to the Minister under clause 7 of this deed.

(q) Seizure of animals:

(A) Where an animal has been seized under section 30(1)(f) Act, the RSPCA must ensure that inspectors
act without delay in collecting the evidence that may be required to establish a breach of the Act or
providing treatment and care, as the circumstances of the case may require.

(B) Where an animal or object has been seized in accordance with s30(1)(f) and the RSPCA consequently
decides not to prosecute the owner, the animal or object will be immediately returned to the owner
and costs will be borne by the RSPCA.

(r) Additional provisions relating to seizure for the care and welfare of animals

(A) An inspector will not seize an animal under section 31A of the Act unless satisfied that an Animal
Welfare Notice is insufficient to address the needs of the animal.

(B) The owner of an animal seized under section 31A of the Act, should be given the option of disposal
of the animal by sale, gifting or euthanasia.

(C) The RSPCA may not seek reimbursement of costs for the seizure of an animal under section 31A
unless it has first provided the owner of the animal with an itemised breakdown of costs. Costs must
not exceed normal commercial rates for those services if sourced by the general public.

(D) An inspector, in the course of an investigation, may not coerce a person to surrender animals. Rather
the inspector will advise the owner of all the options available to them.

Reporting requirements

As part of its reporting obligations under this deed, the RSPCA must:

(a) Maintain a record of all reports it receives during the Funding Period alleging a breach of the Act, all
action taken (or not taken) in response to those allegations, any complaints the RSPCA receives
regarding its actions (or inaction) and its response to those complaints.

(b) At the time it submits its first invoice for funding under this deed, and thereafter in association with
the matters required under clause 7.1, provide a report to the Minister on those aspects of the
RSPCA's operations which relate to the Purpose, such reports to include (but not limited to)
information relating to those functions outlined in the Table to the Purpose and information about:

(i) The financial status of these operations, in particular:

(A) veterinary expenses;

(B) food and boarding expenses;

(C) court expenses;

(D) monies derived from the sale of seized animals and objects;

(E) monies received which have been awarded by the courts.

(ii) Human resources, in particular;

(A) number of full time equivalent inspectors dedicated to enforcement of the Act

(B) number of full time equivalent legal officers dedicated to enforcement of the Act

(C) number of full time equivalent administrative officers dedicated to enforcement of the
Act

(iii) the investigations and prosecutions undertaken by the RSPCA, in particular:

(A) any livestock inspections undertaken;

(B) reports of alleged ill-treatment or other alleged breaches of the Act received;

(C) such reports investigated;

(D) verbal warnings issued;

(E) written warnings issued;

(F) expiation notices issued;

(G) directions issued;

(H) orders issued;

(I) prosecutions (those initiated, w ithdrawn and completed (and whether upon a guilty plea,
contested hearing or other order) and prosecution results (conviction or no conviction,
penalty or other orders imposed and costs ordered)

(J) cases and species of animals involved in the actions;

(K) animals seized by inspectors pursuant to cruelty reports;

(L) anim als surrendered to inspectors pursuant to cruelty reports.

(iiii) Current issues and challenges faced by the RSPCA in these operations; and

(iv) Such other information as the Minister may reasonably request.
