DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale, made and entered into this __ day of February 2019,
at ________________, by and between:

________________________, of legal age, Filipino, with postal address at

_____________________________________,hereinafter called the SELLER.

– and –

________________________________________, Filipino, of legal age, with

postal address at _________________________________________,
hereinafter called the BUYER.

WITNESSETH that:

WHEREAS, the SELLER is the absolute and lawful owner of four (4) parcels of
land with building located at _____________________________ City, and registered
under their name as evidenced by Transfer Certificate of Title No.
______________________, which is more particularly bounded and described as follows:

WHEREAS, the SELLER has offered to sell to the BUYER and the latter agreed
and bound themselves to buy from the former said parcel of land mentioned and
described herein, together with all the improvements therein, for the sum of
_____________________________________ Pesos (P_________.00) (the “Purchase Price”),
free from and clear of whatsoever liens, charges, encumbrances and restrictions.

NOW THEREFORE, for and in consideration of the sum of of

_____________________________________ Pesos (P_________.00) Philippine Currency,
receipt of which in full is hereby acknowledged by the SELLER from the BUYER to her
entire and complete satisfaction, by these presents, the SELLER hereby SELLS, CEDES,
TRANSFERS, CONVEYS and DELIVERS freely and voluntarily, absolutely and
irrevocably, with full warranty of a legal and valid title unto the BUYER, its successors,
administrators, executors and assigns, the parcel of land mentioned and described
herein, together with all the improvements therein.

The SELLER hereby agrees and understands that it shall be solely liable for the
payment of the capital gains tax/withholding tax.

The BUYER hereby agrees and understands that it shall be solely liable for the
payment of the documentary stamp tax, transfer tax and registration fees due on this
document.
 Should any provision of this Contract be declared by the courts to be null and
void, the nullity shall not affect the validity of this transaction or any other provisions
herein which shall be considered as valid and binding between the parties.

the date and at the place above mentioned.
