telecommunications company previously known as
Videsh Sanchar Nigam Limited (VSNL). It was
previously a government owned telecommunications
service provider. Presently the company is part of
the Tata Group. It provides network services and
software-defined network platforms, such as
Ethernet, SD-WAN, content delivery networks
(CDNs), the internet, Multiprotocol Label Switching
(MPLS), and private lines.

● The name of the Company is TATA COMMUNICATIONS LIMITED -
Name Clause.
● The registered office of the Company will be situated in the State
of Maharashtra - Registered office clause.
● There are 58 objects provided in the Memorandum of Association
of TATA Communications Ltd - Objective clause.
● The liability of the members is limited and this liability is limited to
the amount unpaid, if any, on the shares held by them - Liability
clause.

● The authorised Share Capital of the Company is Rs.400,00,00,000/-
(Rupees Four Hundred Crore) divided into 40,00,00,000 (Forty
Crore) Equity Shares of Rs.10/-(Rupees Ten) each with the rights,

Articles of Association
● No part of the funds of the Company shall be employed directly or
indirectly in the purchase of or in loans upon the security of the
Company's shares. (Article 4)
● The Board may, from time to time, with the sanction of the
Company in a general meeting, increase the share capital by such
sum to be divided into shares of such amounts as the resolution
shall prescribe. (Article 6)
● New shares shall be issued upon such terms and conditions and
with such rights and privileges annexed thereto as the general
meeting resolving upon the creation thereof shall direct and if no
direction be given as the Board shall determine. (Article 8)

CSR Activities of TATACOMM
Corporate Social Responsibility Policy is prepared pursuant to the
requirements of Section 135 of the Companies Act,2013. Tata
Communications identifies Education, Sustainable Livelihoods,
Healthcare and Environment as priority areas for its CSR work.

“Every company having net worth of rupees five hundred crore or more, or
turnover of rupees one thousand crore or more or a net profit of rupees five
crore or more during any financial year shall constitute a Corporate Social
Responsibility Committee of the Board consisting of three or more directors,
out of which at least one director shall be an independent director and
ensure that the activities as are included in Corporate Social Responsibility
Policy of the company are undertaken by the company.”
CSR Activities of TATACOMM
● Education - Transforming the education system through digital
enablement, educators’ training and empowerment, and youth
engagement to create exponential social, economic and
environmental impact.

● Sustainable Livelihoods - Empowering youth and rural


communities (especially women) economically and socially through
vocational, entrepreneurship and life skills training which enhance
access to resources, new technology and financial services thereby
supporting them in becoming active contributors to the economy.
CSR Activities of TATACOMM
● Healthcare: Ensuring access to quality healthcare services amongst
underserved communities (especially women) and equipping local
communities with necessary infrastructure, knowledge and skills to
promote well-being for all.

● Environment: Integrating action on Climate Change, biodiversity,


water, and energy into community initiatives and creating
partnerships which promote environment restoration and
regeneration.
