Settlement Agreement

This Mutual and Amicable Termination of Employment Contract and Final Settlement
Agreement (“Agreement”) is made this ………….., between:

(“Employer” and “Employee” shall be collectively referred to as “Parties”).

The Parties agree to mutually and amicably terminate the employment Contract dated
…./…../….. with reference ……….. and any employment relationship between both
Parties, effective from …./…../….. at the request of the employee and as per Article
No. 113 (clause 1) of the UAE Federal Labour Law No. 8 of 1980, as amended
(“Labour Law”) which states:-

“An employment contract shall terminate in any of the following cases: 1. By


mutual agreement of the Parties, provided that the worker's consent is given in
writing”

and as per the Ministerial Resolution No. 765 of the Labour Law at the request of the
employee. The last working day of the Employee with the Employer is on …/…/….

2. Employer has made final payment to the Employee of AED XXXX as detailed
on the attached final settlement schedule including all salaries, the pay of
notice period/payment in lieu of notice, balance of annual leave, compensation,
End of Service Gratuity, flight ticket, and all other labour entitlements.

3. Employer has provided the employee with an experience letter.


4. The terms of this Agreement are confidential and will not be disclosed to any
third party.

5. Employee may not have any contact with the employees of the Employer under
any circumstances with effect from last working day at ../…/…

6. All conditions of employment contract that survive termination of employment


remain in effect such as non-disclosure, confidentiality, intellectual property,
non-compete, etc. If any provision of this Agreement shall be otherwise
unlawful, void, or for any reason unenforceable, then that provision shall be
enforced to the maximum extent permissible, and the remainder of this
Agreement shall continue in full force and effect.

7. The Employee fully and irrevocably discharge and waive any rights, demands
or claims against the Employer and acknowledge that the final payment
received as per the attached final settlement is in full and final settlement of all
Labour entitlements and acknowledge that he no longer have any rights,
demands or claims towards the Employer including without limitation all
salaries, the pay of notice period/payment in lieu of notice, balance of annual
leave, bonuses, commission, flight ticket, compensation, End of Service
Gratuity and all other labour entitlements.

8. The Employee hereby confirm and acknowledge irrevocably, fully, finally and
unconditionally that he will not initiate any kind of legal actions and/or claims
against the Employer before any court of law in any jurisdiction whether now
or in the future against the Employer. Also, the Employee undertake that he
shall not file any labour complaint and shall not have any further claims of any
sort whatsoever against the Employer arising out of the Employee's
employment whether previous to the date of signing this Agreement or
subsequent to it and/or arising out of this Mutual and Amicable Termination of
the Employment Agreement dated …./…../….. .
