LDC User Agreement for Non-Members

This User Agreement is provided by the Linguistic Data Consortium as a condition of accepting the databases named
or described herein.
In the remainder of this document the term User refers to _______________ _______________ (Individual name) of
______________________________ (Affiliation),
and the term User's research group refers to: _______________ (Specific department or area within company, if
appropriate, or University, Institute or Company name).

The terms of this Agreement supersede any previous Membership Agreement for the Corpora Received in Exhibit A.
Under this agreement, User will receive media (CD-ROM, DVD, hard drive, electronic files, web download or other
media as appropriate) named below in Exhibit A under "CORPORA RECEIVED" containing images, speech, video and/or
text data (the “LDC Databases”). User agrees to use the LDC Databases received under this Agreement only for non-
commercial linguistic education, research and technology development. In the event that User’s use of the LDC
Databases results in the development of a commercial product, User must join LDC as a For-Profit Member and pay
all applicable fees prior to release of said commercial product. User and User’s Research Group may include limited
excerpts from the LDC Databases in articles, reports and other documents describing the results of User’s non-
commercial linguistic education, research and technology development. Unless explicitly permitted herein, User shall
not otherwise publish, retransmit, disclose, display, copy, reproduce or redistribute the LDC Databases to others
outside of User’s Research Group. User shall have no right to copy, redistribute, transmit, publish or otherwise use the
LDC Databases for any other purpose.

User shall give appropriate reference to the LDC Databases in scholarly publications whenever they are mentioned.
The following citation formats are suggested:

ALL LDC DATABASES ARE PROVIDED “AS IS” AND NEITHER THE LINGUISTIC DATA CONSORTIUM, ITS HOST
INSTITUTION THE UNIVERSITY OF PENNSYLVANIA, ITS DATA PROVIDERS NOR ITS CORPUS AUTHORS WARRANT THE
ACCURACY, COMPLETENESS, CURRENTNESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE
LDC DATABASES. IN NO EVENT WILL THE LINGUISTIC DATA CONSORTIUM, ITS HOST INSTITUTION THE UNIVERSITY OF
PENNSYLVANIA, ITS DATA PROVIDERS AND ITS CORPUS AUTHORS BE LIABLE FOR ANY LOSS OR INJURY CAUSED IN
WHOLE OR IN PART BY ITS NEGLIGENCE OR CONTINGENCIES BEYOND ITS CONTROL IN PROCURING, COMPILING,
INTERPRETING, EDITING, WRITING, REPORTING OR DELIVERING THE LDC DATABASES, OR FOR ANY ERRORS, OMISSIONS
OR INACCURANCIES IN THE LDC DATABASES, REGARDLESS OF HOW CAUSED. IN NO EVENT WILL THE LINGUISTIC
DATA CONSORTIUM, ITS HOST INSTITUTION THE UNIVERSITY OF PENNSYLVANIA, ITS DATA PROVIDERS AND ITS
CORPUS AUTHORS BE LIABLE TO USER, USER’S RESEARCH GROUP, OR TO ANY OTHER INDIVIDUAL OR ORGANIZATION
FOR ANY DECISION MADE OR ACTION TAKEN IN RELIANCE UPON ANY PART OF THE LDC DATABASES OR FOR ANY
CONSEQUENTIAL, DIRECT, SPECIAL OR SIMILAR DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

User shall send a signed copy of this agreement by facsimile to LDC, fax number (+1) 215 573-2175. Alternately,
User shall email an electronic version of the signed agreement to LDC at ldc@ldc.upenn.edu
