EMPLOYEE UNDERTAKING I, Indra Nath Mishra, S/o Mr Daya Nath Mishra aged 47 years, residing at S-57, 3 Floor, Sunder Block, Shakarpur, Delhi ~ 110 092. Aadhar Card No : 2064 6819 1963, PAN : AKCPM0324M, do hereby state as under: L. Vide Appointment Letter Ref No : DAR/MTHL/Staff/IN17144-0100R/322 dated February 01, 2019 issued by Dar Consultants (India) Pvt. Ltd. (the “Company”), I was appointed as the ‘Chief Material Specialist ~ Steel Fabrication’ for the Mumbai Trans Harbour Link Project, Mumbai (the “Project”) on the terms and conditions set out in the said letter (the “Employment Contract”). On July 11, 2020, I posted certain content (along with a letter issued by L&T & IHI consortium Contractor) pertaining to the Project on the social media platform “Twitter” through my personal Twitter handle. As a consequence of this, the Company issued a letter of termination dated 30th July 2020, inter alia, terminating my employment in terms of the Employment Contract (the “Termination Letter”). As per the Termination Letter, my employment with the Company will come to an end with effect from 30th July 2020 (the “Relieving Date”. On and from the date of issuance of the Termination Letter, I represent and undertake as follows: a. I accept and acknowledge that the content posted by me on my Twitter handle is factually inaccurate and the letter posted by me is confidential in nature and that I have posted the content on my Twitter handle on my own volition, without any authority and in breach of the terms of my Employment Contract. b. I further accept and acknowledge that in view of the breach of the tems of the Employment Contract, the Company has terminated my Employment Contract and [ have accepted the Termination Letter without any demur or protest. [shall not make any claims against the Company for termination of my employment or challenge the same before any Court /Tribunal in any manner whatsoever. ©. I shall not retain any documents or copies thereof, whether physical or electronic, of any drawing, designs, reports, data, tables, information, emails, communications, calculations, letters o any other confidential information of any nature whatsoever, pertaining to the business of the Company (including the confidential information in respect of the Project) or any of its affiliates or subsidiaries. All matters pertaining to the Company and its business and all Company related information including but not limited to business development strategies, know-how, proprietary information, processes, work systems ete. and communication and all business deals, clients identities, vendor identities & any other matters/information of the Company which are considered to be Confidential Information under the Employment Contract, shall be kept confidential by me and nothing shall be divulged/disclosed/utilized by me to any person/body/company/media/social media in any manner whatsoever. This obligation of non-disclosure of information ete. shall also be binding on me post termination of my employment from the Company. Further to the above, I expressly undertake that all material / information / documents. pertaining to the Project have been handed over by me to the Company and as on the date of this undertaking, I do not have any material / information / document pertaining to the Project in my possession. | further expressly undertake that I will not disclose any ‘material / information / document pertaining to the Project of whatsoever nature to any third party, even post termination of my employment. ‘After the termination of my employment, I shall not make statements or representations, or otherwise communicate, directly or indirectly, in writing, orally, or otherwise, or take any action which may, directly or indirectly, disparage the Company or any of its affiliates or their respective officers, directors, employees, advisors, businesses or reputations, whether in connection with the Project or otherwise. L will not convey or represent to any third party, directly or indirectly, or induce any third party to believe that I am employed with or in any way associated with the name of the Company or the Project. Notwithstanding anything contained herein, in the event any obligations under the Employment Contract and/or connected with my employment with the Company are outstanding, I acknowledge that I am required to perform and comply with such obligations as per the terms agreed between me and the Company including obligations under Clause 9, Clause 11 and the data protection policy of the Company, which clauses / terms of policy shall continue to survive the termination of the Employment Contract. 2 Indra Nath Mishra, $-7, 3rd Floor, Sunder Block, Shakarpur, Delhi ~ 11 0092i, Post termination of my employment, I shall indemnify and keep indemnified the Company or any of its affiliates in respect of any claims made against them for ‘compensation or damages or for breach of contract on account of the content posted by me on my Twitter handle. 4. This undertaking shall be governed and interpreted by and construed exclusively in accordance with Indian laws and any dispute arising out of or in relation to this letter shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra, 5.
