Super Agency agreement.


This agreement ‘AGREEMENT’ contains the complete terms and conditions between
Alphagram West Africa Limited of 20C Akin Ogunlewe Road, off Ligali Ayorinde, Victoria
Island, Lagos, Nigeria trading as LuckyBet of the one part;
And
Mr. […] of
[…]
(hereafter referred to as “SUPER AGENT”) of the second part.
A Super-Agent is a businessman and Leader that is a partner to the company, they
should grow the LuckyBet brand whilst growing themselves.
They are an extension of the company and are expected to have detailed knowledge of
all aspects of the business.

Qualifying Criteria of a Super-Agent


• A Super-Agent must have at least 1 (one) of their OWN shops within their
network. The Shop must be a standard shop that can host training,
• Build a network of Agents and have a minimum of 5 existing and trading agents
within 2 months of signature of the contract,
• All Agents must be trading on Sports & Virtual,
• 50% of his Agent network must do a minimum handle in accordance to appendix
1, which can be subject to change,
• Financial Capacity to invest to grow the Business in their area,

Role of a Super-Agent
Super-Agents must inform agents of which locations are suitable for the business and
that the location that represents LuckyBet well. No agent location can be allocated
without LuckyBet approval.
• Super-Agents must provide training to the Agents and their cashiers in
accordance with LuckyBet training manual, product training, training in how to
run the business in a profitable way and how to behave in accordance with the
LuckyBet guidelines for customer engagement and LuckyBet corporate
governance regulations,
• All shops staff need to conduct themselves in accordance with the behavior
guidelines and in accordance with the corporate governance rules, set by
LuckyBet.
• Guiding Agents on identifying a suitable shop,
• Continue to inspect the shops to ensure they are keeping the set standards for
shop quality set by LuckyBet,
• Ensure that all locations are well branded,
• Ensure that all locations do not violate proximity guidelines; 0,5 meter / 10 min
walking distance between the shops,
• Ensure agents are trading at least 6 days per week,

• Act in the best interest of LuckyBet and growing the Brand,
• Resolve Agent queries and Escalate Agent complaints and needs to the company,
• Promote the LuckyBet Brand in your allocated area,
• To grow Agents that have potential to become a Super-Agent and recommend
them to LuckyBet management,
• Administration skills and Management skills.

Commission.
A Super-Agent commission paid based on shops directly managed by the Super-
Agent of 6% of the network profit, calculated as;
(sum of network shop GGR – sum of paid commission to the network of shops) * 6%
The Super-Agent will be paid in addition to the commission a flat fee of 10 000 ngn for
each trading shop he/she activates, the 10 000 ngn will be paid when the shop is fully
branded and has commenced trading.

LuckyBet’s Commitment
It is LuckyBet’s obligation to do marketing of the brand in each states and jurisdiction
i.e Road show, Radio Jingle, Billboard Advert etc.
This above stated commission is subjected to review at any time as the case may
warrant either upward or downward on the organization discretion.
Disputes that cannot be resolved by the Super-Agent within 7 days must be escalated to
LuckyBet Head Quarter.

Appendix 1 (Targets)
The targets are STAKES set as an average for each shop size. LUCKYBET retain the rights
to negotiate individual targets with the individual shops based on shop particulars; area
density, competitor density etc.
