Full & Final Declaration & Agreement

I, ____________________, s/o ________________________, declare and agree on this _______ Day

of __________ 2020 with my employer, iBoss Tech Solutions Private Limited (“iBoss”) on the
following points:

1. Non-Disclosure & Maintenance of Confidentiality

I acknowledge that during my employment with iBoss, I gained knowledge and access, directly
or indirectly, of certain trade secrets of the Company, associate Companies, clients and their
business transactions. Said trade secrets consisted, but not necessarily limited to, the following:

a) Technical information: Methods, processes, formulae, compositions, systems, techniques,

inventions, machines, computer programs and research projects.
b) Business information: Customer lists, pricing data, sources of supply, financial data and
marketing, production, or merchandising systems or plans.
c) Confidential information: All oral information and all electronic and written data, reports,
interpretations, forecasts and records and other written information and documents that are
furnished or otherwise disclosed to the me, whether furnished or otherwise disclosed and
regardless of the manner in which it is furnished, together with all analyses, compilations,
studies or documents, records or data prepared by the Company or any of its
Representatives and their clients that contain or otherwise reflect or are generated from
such information and documents.

In this regard, I agree that I shall not, after my employment with iBoss, use for myself or others,
or disclose or temper or divulge to others, including future employees/employers, any trade
secrets, confidential information, or any other proprietary data of the Company in violation of
this agreement. Failing to follow the above mentioned, iBoss has the full right to take Civil and
Criminal legal action against me under IT ACT 2000 and other relevant acts and laws.

2. Non-Solicitation of Customers and Client of iBoss

I agree that I shall not, until the end of Two (2) Years from the date of this declaration &
Agreement, directly or indirectly solicit, call on or provide competing products, solutions, or
services for any of iBoss’ customers or clients or prospective customers or clients to whom I
was assigned by iBoss or had developed a relationship with during my employment with iBoss,
whether the relationship was in development or consummated in an agreement.

3. Non-Solicitation of Employees of iBoss

I agree that I shall not, for a period of Two (2) Years from the date of this agreement, directly or
indirectly, hire the services or induce, as an Individual or otherwise in employment with another
Service Provider, any Employee of iBoss, current or future, to resign or leave job or indulge in
any activities which are otherwise restricted to me in this Agreement.
4. Non-Competition
I agree that I shall not for a period of Two (2) Years from the date of this agreement:
a) Work for any of iBoss’ associates, customers or clients.
b) Without iBoss written permission provide products, solutions, or services directly or
through any third party to any vendors, partners, or clients to whom I was assigned by
iBoss or had developed a relationship with during my employment with iBoss, whether
the relationship was in development or consummated in an agreement.
5 I understand and acknowledge that the breach of the Points 1, 2, 3 & 4 mentioned above in this
Agreement will cause iBoss irreparable damage for which recovery of money damages would be
inadequate. iBoss will, therefore, be entitled to obtain timely injunctive relief to protect its
rights under this Agreement in addition to any and all remedies available at law or in equity. I
hereby irrevocably and unconditionally consent to submit to the exclusive jurisdiction of the
courts of Delhi for any actions, suits or proceedings arising out of or relating to this Agreement
and the transactions contemplated hereby (and agree not to commence any action, suit or
proceeding relating thereto except in such courts), and further agree that service of any
process, summons, notice or document by registered mail or tracked courier service to the
address mentioned at the bottom of this Agreement shall be effective service of process for any
action, suit or proceeding brought against me in any such court.

6 Post-employment from iBoss:

a) I shall return to iBoss, all its documents and property, including but not necessarily limited
to: drawings, blueprints, reports, manuals, correspondence, customer lists, computer
programs, access codes, passwords, and all other materials and all copies thereof related in
any way to the Company's business, or in any way obtained by me during the course of
employment. I further agree that I shall not retain copies, notes or abstracts of the
foregoing.
b) iBoss may notify any future or prospective employer or third party of the existence of this
agreement and shall be entitled to full injunctive relief for any breach.
c) This declaration shall be binding upon me and my personal representatives and successors in
interest and shall remain enforceable to the benefit of the Company, its successors and
assigns.

7 Social Media/Networking Awareness

7.1 I understand that I should be aware of the effect that my actions may have, on my own as well
as on iBoss’ image, of the content that I post on my Social Media Network, even though I am
leaving iBoss employment now. I further understand that the information that I post or publish
in future may remain public information for a long time.

7.2 On the basis of the above, I undertake that going forward from the date of this agreement, I will
use my best judgment in posting material that is neither inappropriate nor harmful to iBoss, its
employees, or clients/customers, even indirectly. Further, I shall not disclose commercially
sensitive & confidential information on any platform. In case I have a doubt whether a particular
information falls in this category or not, I shall be obligated to discuss it with the management
Team of iBoss, before posting any such material/information.
7.3 I shall not post anything that any current employee of iBoss, iBoss’ customers, clients, business
partners, investors, suppliers or vendors will find offensive, insulting, obscene and/or
discriminatory.
