ATTACHMENT 2 – CONTRACT SIGNING AGREEMENT

WITNESSES that the Minister and the Contractor agree as follows:

1. The Contractor shall furnish all necessary machinery, tools, equipment, materials,
supplies, labour and other means of construction or maintenance to carry out and
complete the work hereinafter described (the “Work”) to the satisfaction of the Minister
or the Minister’s Contract Administrator in accordance with the Contract Documents
incorporated in the Contractor’s Tender for the Work.

2. The Work is described as follows:

DESCRIPTION OF WORK
The work shall consist of operational services such as operated equipment, operated
trucks, traffic control persons or manual labour persons together with such other
works specified, or embraced, or included in the said Contract Documents.The
documents listed below are the Contract Documents which make up the Contract
between the Minister and the Contractor:

3. LIST OF CONTRACT DOCUMENTS
(i) Agreement
(ii) Tender Documents
(iii) Addenda (if any)
(iv) Schedule of Provisions, Plans, Standard Drawings, Specifications and
General Conditions
(v) Maintenance Special Provisions

All of the above collectively referred to as the “Contract Documents”. In the event of
any conflict between the Contract Documents, the Agreement shall prevail over the
Tender Documents and any Addenda thereto, which shall prevail over the Tender.

4. The Contract Documents represent the complete understanding between the Minister
and the Contractor with respect to the Work and no deviation from the requirements
thereof shall be permitted without the consent of both parties evidenced by a written
agreement signed by both parties to the Contract.

5. The Contractor shall perform the Work for the Total Tender Price specified in the
Tender.

6. The Contractor shall complete the Work to the satisfaction of the Minister or its
representative on or before the time specified in the Contract Documents.

7. The Minister shall make periodic payments to the Contractor on account of the Total
Tender Price in accordance with the Contract Documents.

8. The Minister reserves the right to deduct from any portion of the Total Tender Price
otherwise payable to the Contractor any sum the deduction of which is authorized by
the Contract Documents.

9. The Contractor shall indemnify and hold harmless the Ministry and the Contract
Administrator, their agents, officers and employees in accordance with the Contract
Documents.

10. The Contract shall be interpreted in accordance with the laws of Ontario and the
federal laws of Canada.

11. The provisions of this Agreement shall operate for the benefit of and be binding upon
the Minister and the Contractor and their respective heirs, legal representatives,
successors and assign

IN WITNESS WHEREOF the Ministry, acting by its duly delegated employee for the Minister
of Transportation, has hereunto set his or her hand and seal, and the Contractor has
hereunder affixed its Corporate Seal under the hands of its proper officers duly authorized
in that behalf or, if not a corporation, has hereunder set his or her hand and seal under.
