MEMORANDUM OF UNDERSTANDING

THIS MEMORANDUM OF UNDERSTANDING (hereinafter called the “MOU”) made on the


____ day of ______, 2021 between M/s. Greenburg Town Planners (Pvt.) Ltd. registered in
Pakistan under Companies Act 2017 (XIX of 2017) vide Corporate Universal Identification
No.0154723 having office 51, Fatima Jinnah Block, F-8 Markaz, Islamabad, Pakistan (hereafter
called the “Employer”) of the one part and M/s. TUN Dominion Sdn. Bhd., Malaysia having
office at __________________________________________________________________and
their Country Representative in Pakistan, Mr. Tariq Naseem (hereafter called the “Contractor”)
of the other part.
WHEREAS the Employer is desirous that certain Works, viz “Development of Greenburg City
Islamabad” on 5000 acres of land should be executed by the International Contractor for
execution and completion of such Works (fully (or) partially as decided and assigned by the
Employer) and the remedying of any defects therein.
NOW this MOU witnesseth as follows:

1. In this MOU words and expressions shall have the same meanings as are respectively
assigned to them in the Conditions of Contract hereinafter referred to.
2. This MOU will followed by contract agreement where the following documents after
incorporating addendum, if any, except those parts relating to Instructions to Contractor
shall be deemed to form and be read and construed as part of the Contract Agreement
which will be signed later on, viz:

(a) The Contract Agreement;


(b) The Letter of Acceptance;
(c) The completed Form of Bid;
(d) Special Stipulations;
(e) The Particular Conditions of Contract – Part II;
(f) The General Conditions – Part I;
(g) The priced Bill of Quantities;
(h) The completed Appendices to Bid;
(i) The Drawings;
(j) The Specifications.
(k) (any other)
3. M/s. TUN Dominion Sdn. Bhd., Malaysia has consented by the Employer to work as
Contractor for construction of infrastructures inclusive of water supply & distribution
system, underground & overhead water tanks, sewage collection & disposal after
treatment, all plumbing works & electrification of the area, boundary wall, security gate,
watch towers & guard rooms. All these facilities will be for the whole area of 5000 acres.

4. In due course, the Contractor will be issued complete set of tender document including all
documents identified in Para 2 of this MOU.

5. Obligation of Contractor

- The Contractor shall perform services as an independent Contractor in accordance


with recognized international standards, applicable laws and regulations.

- The Contractor shall appoint a Project Manager who represent the Contractor for
purpose of this MOU and shall be responsible for the administration of the MOU
including performance of Services thereunder. The Project Manager shall remain in
contact with the representative of the Employer and keep him fully informed on all
matters relating to the provision of Services by the Contractor.

- The Contractor shall carry out the Services with due diligence and efficiency and in
conformity with sound engineering practices.

- The Contractor shall furnish the Employer such information relating to the Services
as the Employer may from time to time reasonably request.

- Except with the prior written approval of the Employer, the Contractor shall not
assign or transfer the MOU of construction work or any part thereof nor engage any
other independent Contractor or sub-contractor to perform any part of the work.

6. Obligation of the Employer

The Employer shall provide to the Contractor:

- All necessary data / document / reports that may be required by the Contractor for
performing the work within the time schedule develop later on.

- The Employer shall designate a person to act as its representative on all matters
pertaining to this MOU and to fully cooperate with the Project Manager of the
Contractor.

- The Employer shall take all necessary measures to make timely payments to the
Contractor as mutually agreed upon.

7. Remuneration and Schedule of Payment

The remuneration of contractor and mode of payment shall be rendered by the Contractor
and the mode of payment shall be as described in the contract agreement to be signed
later on.

8. The Contractor hereby covenants to pay the Employer 2% of the infrastructure cost (i.e.
2% of Rs.40 Billion) Rs.800 Million equivalent to EURO 4.242 Million @ conversion
rate PKR 188.59 = 1 EURO. This amount in shape of cash transfer in the designated bank
account provided by the Employer M/s. Greenburg Town Planners (Pvt.) Ltd. in
consideration of the execution and completion of work as per provisions of the contract at
the time and in the manner prescribed by the signed Contract Agreement.

9. Contract Amendment

No variation in or mediations to the agreed terms of the MOU shall be made, except by a
written amendment signed by parties hereto.
10. At this early stage the project cost mentioned herewith is only budgetary amount and will
be adjustable on the basis of detailed design.

11. Applicable Laws

This MOU shall, in all respects, be read and construed shall operate in conformity with
the laws & courts of Pakistan.

IN WITNESS WHEREOF the parties hereto have caused this Agreement to be executed on the
day, month and year first before written in accordance with their respective laws.
