PROJECT CONSTRUCTION CONTRACT

This AGREEMENT entered into this _____ day of__________________, 20_______, by and between:

__________________, a domestic corporation duly organized and existing under the laws of the
Philippines, with office address at _____________________ and represented herein by
__________________, hereinafter referred to as the CONTRACTOR;

__________________,., a domestic corporation duly organized and existing under the laws of the
Philippines, with office address at __________________, and represented herein by
__________________,, hereinafter referred to as the OWNER/DEVELOPER.

WITNESSETH, that the CONTRACTOR and the OWNER/DEVELOPER for the consideration named
herein agree as follows:

ARTICLE 1.
SCOPE OF THE WORK

The CONTRACTOR undertakes to furnish all the materials and perform all of the works necessary to
accomplish the following deliverables to the OWNER/DEVELOPER, as it pertains to work to be performed on
property specifically identified as Orchard Lane I Subdivision located at Brgy. Dinginan, Roxas City, Capiz:

1. Remaining Rock Breaking & Disposal


2. Remaining Road Backfilling
3. Remaining Pavement
4. Sidewalk
5. Curb & Gutter
6. Electrical Supply
7. Pavilion
8. Tree Planting
9. Perimeter Fence
10. Hardscape & Landscape

ARTICLE 2.
TIME OF COMPLETION

The work to be performed under this Contract shall commence upon the execution of this contract and
shall be completed within ____(__) months/years thereafter, which shall be due on or before ____________.

ARTICLE 3.
THE CONTRACT PRICE

The OWNER/DEVELOPER shall pay the CONTRACTOR for the materials and all agreed project
construction works to be performed under the Contract the sum of _________________________________
Pesos (Php ___________), subject to additions and deductions pursuant to authorized change orders, inclusive
of all pertaining taxes which shall be for the account of the CONTRACTOR.

ARTICLE 4.
PAYMENT TERMS AND CONDITIONS

The agreed contract price shall be paid in the following manner:

1. P __________ - representing the amount shall be paid within the duration stipulated as per Article 2 of
this contract. Fee will be based on the progress percentage of completion on site.
2. P __________ – representing 10% retention fee shall be paid after six (6) months from completion of the
project works upon the expiration of the warranty period.

ARTICLE 5.
DELAYS

1. Delivery of the project shall be made by the CONTRACTOR in accordance with the time schedule agreed by
both PARTIES as indicated in Article 2: TIME OF COMPLETION, of this Project Construction Contract.

2. If at any time during the performance of this contract, the CONTRACTOR should encounter conditions
impeding timely delivery of the project, the CONTRACTOR shall promptly notify the OWNER/DEVELOPER
in writing of the fact of the delay, its likely duration and its cause(s).

3. Except as provided under Article 6: DELAYS DUE TO FORTUITOUS EVENT AND SIMILAR CAUSES, a
delay by the CONTRACTOR in the performance of its obligations shall render the CONTRACTOR liable to
the imposition of liquidated damages pursuant to Article 7: LIQUIDATED DAMAGES of this contract,
unless an extension of time is agreed without the application of liquidated damages.

ARTICLE 6.
DELAYS DUE TO FORTUITOUS EVENT AND SIMILAR CAUSES

The CONTRACTOR shall not be liable for any delay due to circumstances beyond its control including
fortuitous events, adverse economic conditions, casualty or general unavailability of materials, and other factors
beyond its control.

ARTICLE 7.
LIQUIDATED DAMAGES

In the event, the CONTRACTOR fails to deliver the project within the period of time specified in this
Project Construction Contract inclusive of duly granted time extensions if any, the OWNER/DEVELOPER shall,
deduct from the agreed Contract Price, the amount equivalent to ONE (1%) percent of the TEN (10 %) percent
of the total contract price as liquidated damages for each day of delay incurred therein.

ARTICLE 8.
GENERAL PROVISIONS

1. All work shall be completed in the most acceptable workmanship like manner and in compliance with all
building codes and other applicable laws.

2. The CONTRACTOR may at its discretion engage subcontractors to perform work hereunder, provided it
shall fully pay said subcontractor and in all instances remain responsible for the proper completion of this
Contract.

3. All change orders shall be in writing and signed by both parties.

4. The CONTRACTOR shall at its own expense obtain all permits necessary for the work to be performed.

5. In the event the OWNER/DEVELOPER shall fail to pay any periodic or installment payment due
hereunder, the CONTRACTOR may cease work without breach pending payment or resolution of any
dispute.

6. The CONTRACTOR warrants all works for a period of six (6) months following completion.

7. This contract constitutes the entire agreement between the parties and may only be modified, altered or
amended with the prior consent of the party or parties against whom such modification, alteration or
amendment shall take effect.
