ATIENZA, SMSST, Inc, President & CEO, HEREAFTER REFFERED TO AS THE PARTY OF THIS PART. -AND- GRACE SANTIAGO TUVERA, M.D, 2 general physician with its clinic at Grace Mission Hospital in Catiningan, Socorro Oriental Mindoro, Philippines HEREAFTER REFERRED TO AS ‘THE PARTY OF THE SECOND PART. The parties wish to work together and in compliance with the following agreement. = WITNESSETH = THAT THE PARTY OF THE SECOND PART shall be the physician of the Contractor in the operation of SMSST Inc. Under the regular on-call service as needed. ‘THAT THE PARTY OF THE SECOND PART be allowed to undergo general checkup of the first party during the training as needed. THAT THE PARTY OF THE SECOND PART visit hours service rendered with the following deliverable: provide check up to students, teachers, staffs and other personnel, submission of reports from the visit/check up conducted and will sign on the required documents of the corporation for the reports that needs a physician . THAT THE PARTY OF THE SECOND PART guarantees that she possesses the required competence, aptitude, habits and skills as well as the requisite educational background and training; ‘THAT THE PARTY OF THE SECOND PART shall not assign, directly or indirectly, this contract to any third party; ‘THAT the parties agree on other services and fees not specified herein shall be subject, to mutual agreement; ‘THAT THE PARTY OF THE SECOND PART shall not entitled to Social Services (SSS, PAGIBIG PHILHEALTH) benefits; ‘THAT the appropriate withholding tax for the PARTY OF THE SECOND PART shall be deducted from the fee. We, in return shall issue the corresponding 2037 for the deduction. Payment will be given two (2) working days for processing‘THAT the parties shall observe non-disclosure of trade secrets obtained in the course of this contract; any actions to the contrary shall be dealt with legally according to law. ‘THIS Memorandum of Agreement may be revised or amended upon mutual consent and agreement of the parties herein; ‘This Memorandum of Agreement shall take effect upon signing by both parties and shall remain in effect on January 20, 2022 to lanuary 20, 2023 for a period of 1 year from the date unless earlier terminated, Neither party may assign on transfer all nor or any portion of this MOA without the prior writer consent of the other party. ‘This Memorandum of Agreement may be renewed at the end of this period by mutual written agreement by both parties. 1* Party 2" party fA ON A.ATI GRACE SANTIAGO TUVERA, MD.
