Notification
Inviting Applications from Eligible Applicants for Empanelment of Engineers /
Firms as Third-Party Services Providers (TPSPs) for TEV (Techno Economic
Viability) Study / Lenders Independent Engineers (LIE)
1) Applications are invited for Empanelment of Engineers / Firms as Third-Party
Services Providers (TPSPs) for TEV (Techno Economic Viability) Study / Lenders
Independent Engineers, subject to fulfilment of Eligibility Criteria as furnished
in Annexure-1.
2) The scope of entrustment for the empanelled Third-Party Services Providers
(TPSPs) will generally be restricted to the eligible accounts financed by the Bank
within the jurisdictional area of Zone of the Bank opted by the Applicant, as the
empanelment will be made zone-wise. The terms of engagement for empanelled
TPSPs for TEV / LIE Study are furnished in Annexure-2.
3) The Third-Party Services Providers (TPSPs) for TEV (Techno Economic Viability)
Study / Lenders Independent Engineers (LIE) already empanelled / earlier
applied with Union Bank of India or e-Andhra Bank, or e-Corporation Bank,
will also have to apply afresh, as new panel will be prepared taking into
consideration the overall requirements of the amalgamated entity.
4) The Application Format can be download from Bank’s Corporate Website at
https://www.unionbankofindia.co.in/english/tender.aspx. Application format
is as per Annexure-3.
5) The duly completed and signed Applications along with Original and Two self-
attested xeroxed sets of all supporting documents and Checklist (Annexure-6)
should be submitted at own cost (during bank’s working hours only) at any
Regional Office within the opted Zone of Union Bank of India between
25.11.2021 & 13.12.2021 (both days inclusive). No application will be
accepted entertained for current empanelment process after 13.12.2021.
6) The applicants will also have to present (at their own cost) the originals of all
supporting documents attached with the Application for verification at the
same Regional Office (with prior appointment), within 3 (three) bank’s working
days of submission of application.

7) The application not supported by the required documents, OR where originals
of all supporting documents attached with the Application are not produced
for verification at the same Regional Office within prescribed time, OR where
the applications with conditional acceptance of terms & conditions, is liable to
be summarily rejected.
8) List of Bank’s Regional Offices under each Zone is available in Annexure-5.
9) The applicants should not submit any application / documents directly to
Bank’s Zonal Office and/or Central Office.
10) The empanelment as TPSPs for TEV Study / LIE (including number of TPSPs) will
be done at the sole discretion of the Bank and the Bank reserves its right of
rejecting any of /all the applications, without assigning any reason there-of. It
is clarified that the empanelment as TPSPs for TEV Study / LIE neither
guarantees any/ regular assignments, nor does it tantamount to Contract of
Employment with the Bank.
11) In case any applicant (firm / company/ individual/ proprietor/ partner/director)
has been found guilty of misconduct in professional capacity in any Bank/
Institution and his/her name has been circulated/ reported by Indian Banks
Association (IBA)/ Reserve Bank of India (RBI)/ Securities and Exchange Board of
India (SEBI) / Governing Institute/ Any Regulatory or Statutory Authority/ Any
Govt. Agency or Body, his/ her application will not be considered for
empanelment as TPSPs for TEV Study / LIE.
12) If the performance of any empanelled TPSPs for TEV Study / LIE is found to be
unsatisfactory or he/she is found involved in any misconduct in professional
capacity/ unwarranted practice/frauds, the Bank can remove such TPSPs for TEV
Study / LIE from the panel at its sole discretion. The name/s of the TPSPs for
TEV Study / LIE depanelled by Bank will be informed to IBA for circulation among
member Banks.

Annexure-1

Eligibility Criteria related to Empanelment of Engineers / Firms as Third-Party


Services Providers (TPSPs) for TEV (Techno Economic Viability) Study /
Lenders Independent Engineers (LIE)
1) Educational Qualifications (Proprietor/Partner/Director):
a) BE [Mechanical, Electrical, Civil, Electronic/Telecom, Textile, Chemical] or
equivalent educational qualification, OR
b) M Tech from a recognized University in India & abroad
Additionally, for TEV, Professional qualifications in finance e.g.CA, CS, ICWA, MBA
etc from a recognized University in India and abroad is required.
2) Membership of Professional Body (Proprietor/Partner/Director):
a) The TPSPs should be members of their respective governing council /
Associations such as Institution of Valuers / Association of Engineers / Institute
of Engineers / The Institute of Electrical and Electronics Engineers, etc.
b) Registration under Companies (Registered Valuers and Valuation) Rules, 2017
(for Land & Building or Plant & Machinery) for which Insolvency and Bankruptcy
Board of India (IBBI) is the responsible authority, will be mandatory for
empanelment.
3) Experience:
a) Minimum 5 years’ experience as TEV / LIE consultants.
b) The Applicant TPSP should be on the approved list of atleast 2 Public Sector
Banks. Bank may waive this condition, provided the applicant individual / firm /
company has adequate experience/ expertise in TEV/ LIE study.
4) Infrastructure:
a) In case of Public Limited Company, minimum 3 Professional Directors with
experience as per Para (3) and Professional Directors should not be less than 50%
of total directors.
b) Adequate support of Trained/Semi Trained Employees
c) Adequate support of Trainees/Apprentices
d) Office space equipped with modern technologies
5) Other Requirements:
a) Adequate knowledge of financial analysis to Proprietor/ Partners/ Directors.
b) In case of proprietorship, the proprietor should have the requisite qualification,
membership and experience prescribed as per Para- 1, 2 and 3 respectively.
c) In case of Partnership Firm / Private Limited Company / LLP, atleast one partner
/ director should have the requisite qualification and experience as Para- 1, 2
and 3 respectively.
d) Entity, Proprietors, Partners and Directors should not have been blacklisted,
caution listed with IBA by Bank (s) / FIs or statutory bodies.

Annexure-2

Terms of Engagement as Third-Party Services Providers (TPSPs) for TEV


(Techno Economic Viability) Study / Lenders Independent Engineers (LIE)

1) Tenure of Empanelment:
a) The tenure of the empanelment shall be for 02 (two) years from the date of
empanelment (date of issue of letter to respective individual / firm / company).
b) Bank shall carry out review exercise at the time of renewal, based on
performance along with necessary information which the Third-Party Service
Provider (TPSP) will have to furnish to the Bank as and when called for.
c) Bank shall also carry out periodic review (generally once in a year or issue of new
lists, whichever is earlier) to deal with additions / deletions to the existing list
of empanelled Third-Party Service Providers (TPSPs).
d) Bank reserves the right to remove any individual / firm / company from the panel
any time after giving 15 days’ notice even before completion of 2 years.
2) Remuneration Structure for Third-Party Services Providers (TPSPs) for TEV
(Techno Economic Viability) Study / Lenders Independent Engineers (LIE):
a) The fee structure will be on mutually acceptable terms between the Client and
TPSPs (TEV /LIE Service Provider) depending on the size of the project and
specific assignment keeping in view number of Man Hours required for execution.
The TPSP shall provide a copy of the mutually agreed fee structure with terms
and conditions (duly signed by the Client and TPSP) to the branch, where the
borrowal accounts are maintained, before commencement of the assignment.
b) Though the payment of fees for the services rendered by TPSP will be borne by
the client for whom the consultancy work will be done, the Bank will directly
pay the fee to TPSP by debiting the account of the borrower in case of sole
banking.
3) Other terms & Conditions:
The applicants selected for empanelment as Third-Party Services Providers
(TPSPs) for TEV (Techno Economic Viability) Study / Lenders Independent
Engineers (LIE) will be required to submit the following documents duly signed
by the Individual/ Firm / Company and Proprietor / Partners/ Directors (as the
case may be) as a part of acceptance of empanelment-
a) Letter of Indemnity as per Annexure-4.
b) Code of Conduct as per Annexure-5.

Techno Economic Viability Report/Financial Appraisal.
I / we solemnly declare that I/we are not debarred / delisted/ caution listed with IBA by any Bank
/ FI / RBI and any other body for any professional misconduct and our services have not been found
deficient by any Bank / FI.
I/we understand that any discrepancy/wrong information/breach of undertaking would lead to

In consideration of Bank (herein after called the “Bank” which expression shall include its
successors and assigns) empaneling me /us on their panel of approved Third-Party Services
Providers (TPSPs) for TEV (Techno Economic Viability) Study / Lenders Independent Engineers (LIE)
for the purpose of assessing/disbursing the credit limits granted or to be granted by the Bank to
its various borrowers, I/We jointly and severally, extend this Letter of Indemnity.
Whereas by the letter of empanelment dated _______, the bank has empanelled me/us on
their panel of approved Third-Party Services Providers (TPSPs) for TEV (Techno Economic Viability)
Study / Lenders Independent Engineers (LIE) for the purpose of assessing/disbursing the credit
limits granted/to be granted by the Bank, I/We jointly and severally agree as follows:-
I/We shall duly and faithfully perform and discharge all the duties in the works entrusted
by the Bank and in relation to the purposes of empanelment, fairly without any favour or
discrimination and I/we hereby undertake and agree you, your successors and assigns at all times
and from time to time from and against all loss, damage and all actions, suits, proceedings,
expenses, costs, charges and demands arising out of any act, lapses, defaults, negligence, errors,
mistakes committed by me/us in performance of my/our professionals obligations and I/we also
hereby undertake and agree to pay to you on demand sums of money, costs, charges and expenses
incurred in respect thereof and also to pay you interest on all such moneys at your ruling rate.
I/We further specifically agree that this Indemnity shall continue to remain in force and
I/We shall continue to be liable there under for all losses, damages, costs, charges and expenses
arising out of any act, lapses, defaults, negligence, errors, mistakes committed by me/us in
performance of my/our professional obligations and shall be binding on me/us and our legal and
personal representatives, successors and assigns.

CODE OF CONDUCT TO BE EXECUTED BY
Third-Party Services Providers (TPSPs) empanelled for TEV (Techno Economic Viability)
Study / Lenders Independent Engineers (LIE)
I/ We hereby undertake to strictly adhere to the following Code of Conduct:
A. Integrity and Fairness
1) A TEV Consultant / LIE shall, in the conduct of his/its business, follow high standards of
integrity and fairness in all his/its dealings with his/its clients.
2) A TEV Consultant / LIE shall maintain integrity by being honest, straightforward, and forthright
in all professional relationships.
3) A TEV Consultant / LIE shall endeavour to ensure that he/she/it/they provides true and
adequate information and shall not misrepresent any facts or situations.
4) A TEV Consultant / LIE shall refrain from being involved in any action that would bring
disrepute to the profession.
5) A TEV Consultant / LIE shall keep public interest foremost while delivering his services.

B. Professional Competence and Due Care


6) A TEV Consultant / LIE shall always render high standards of service, exercise due diligence,
ensure proper care and exercise independent professional judgment.
7) A TEV Consultant / LIE shall carry out professional services in accordance with the relevant
technical and professional standards that may be specified from time to time.
8) A TEV Consultant / LIE shall continuously maintain professional knowledge and skill to provide
competent professional service based on up-to-date developments in practice, prevailing
regulations/guidelines, and techniques.
9) In the preparation of a TEV/LIE report, the TEV Consultant / LIE shall not disclaim liability for
his/its expertise or deny his/its duty of care, except to the extent that the assumptions are
based on statements of fact provided by the subject firm (i.e., whose TEV/LIE report is
undertaken) or its auditors or consultants or information available in public domain and not
generated by the TEV Consultant / LIE.
10) A TEV Consultant / LIE shall not carry out any instruction of the subject firm in so far as they
are incompatible with the requirements of integrity, objectivity, & independence.
C. Independence and Disclosure of Interest
11) A TEV Consultant / LIE shall act with objectivity in his/its professional dealings by ensuring
that his/its decisions are made without the presence of any bias, conflict of interest, coercion,
or undue influence of any party, whether directly connected to the assignment or not.
12) A TEV Consultant / LIE shall not take up an assignment, if he/it or any of his/its relatives or
associates is not independent in terms of association to the subject client.
13) A TEV Consultant / LIE shall maintain complete independence in his/its professional
relationships and shall conduct the assigned work independent of external influences.
14) A TEV Consultant / LIE shall, wherever necessary, disclose to the Bank, possible sources of
conflicts of duties and interests, while providing unbiased services.
15) TEV Consultant / LIE shall not indulge in “mandate snatching (to undertake assignments for
TEV / LIE inspection of a particular site / unit using unscrupulous means)” or offering
“Convenience Report” in order to cater to a client’s needs.

16) As an independent entity, TEV Consultant / LIE shall not charge success fee (Success fees may
be defined as a compensation / incentive paid to any third party for successful closure of
transaction. In this case, favorable TEV / LIE report).
D. Confidentiality
17) A TEV Consultant / LIE shall not use or divulge to any other party any confidential information
about the subject client for whom TEV/LIE study is conducted , which has come to his/its
knowledge without proper and specific authority or unless there is a legal or professional right
or duty to disclose.
E. Information Management
18) A TEV consultant / LIE shall ensure that he/ it maintains written contemporaneous records for
any decision taken, the reasons for taking the decision, and the information and evidence in
support of such decision. This shall be maintained so as to sufficiently enable a reasonable
person to take a view on the appropriateness of his/its decisions and actions.
19) A TEV consultant / LIE shall appear, co-operate and will provide all information and records
in case of any need or legal or statutory or professional requirement.
F. Gifts and hospitality:
20) A TEV consultant / LIE or his/its relative shall not accept gifts or hospitality which undermines
or affects his independence as a TEV consultant / LIE.
Explanation: For the purposes of this code the term ‘relative’ shall have the same meaning as
defined in clause (77) of Section 2 of the Companies Act, 2013 (18 of 2013).
21) A TEV consultant / LIE shall not offer gifts or hospitality or a financial or any other advantage
to a public servant or any other person with a view to obtain or retain work for himself/ itself,
or to obtain or retain an advantage in the conduct of profession for himself/ itself.
G. Remuneration and Costs
22) A TEV consultant / LIE shall provide services for remuneration which is charged in a transparent
manner, is a reasonable reflection of the work necessarily and properly undertaken, and is not
inconsistent with the applicable rules.
23) A TEV consultant / LIE shall not accept any fees or charges other than those which are disclosed
in a written contract with the person to whom he would be rendering service.
H. Occupation, employability and restrictions
24) A TEV consultant / LIE shall refrain from accepting too many assignments, if he/it is unlikely
to be able to devote adequate time to each of his/ its assignments.
25) A TEV consultant / LIE shall not conduct business which discredits the profession.
