Background
• SEBI (Venture Capital Funds) Regulations, 1996
• This route was being used by several other
categories of funds such as private equity funds,
real estate funds etc
• Registration as a venture capital fund (VCF) was
not mandatory under the VCF Regulations
• SEBI notified the Alternative Investment Fund
(AIF) Regulations to govern unregulated entities
ALTERNATIVE INVESTMENT FUNDS
Exemptions:
• Family trusts
• ESOP trusts
• Employee welfare trusts
• Holding companies
• Securitization trusts
ALTERNATIVE INVESTMENT FUNDS
Registration of AIF
• No entity or person shall act as - AIF unless -obtained a
certificate of registration from the Board
• MOA permits - to carry the activity of an AIF
• the applicant is prohibited - the public subscription its
securities
• applicant is a Trust – Trust deed – Registered
• applicant is a limited liability partnership –
incorporated &Partnership deed – registered
• applicant is a body corporate – permitted to AIF
ALTERNATIVE INVESTMENT FUNDS
• at least one key personnel having not less than five
years experience
• the applicant has clearly described at the time of
registration the investment objective, the targeted
investors, proposed corpus, investment style or strategy
and proposed tenure of the fund or scheme
• AIF shall not carry on any other activity other than
permitted activities
• AIF granted registration under a particular category
cannot change its category subsequent to registration
• the fund shall not solicit or collect funds except by way
of private placement.
ALTERNATIVE INVESTMENT FUNDS
Placement Memorandum
• AIF shall raise funds through private
placement by issue of information
memorandum or placement memorandum
• This document shall contain all material
information about the AIF

Schemes
• The AIF Fund may launch schemes after it
files its placement memorandum with SEBI -
atleast 30 days prior to the launch of the
scheme – Fees

LISTING
• The SEBI (AIF) Regulations, 2012, allow the
listing of the units of closed- ended AIFs on a
stock exchange
