invite you to join our organization, the details of the offer are as mentioned below:
On behalf of the company we are pleased to appoint you as Relationship Manager in Grade M1A . This letter outlines the
details of our employment offer with Future Generali India Life Insurance Company Limited (The Company).

1. Commencement Date and Location:


Your starting date of employment with the Company shall be on or before 13/01/2022 at Lucknow . You can be posted or
transferred to any other location in India or any other Generali Group companies, subsidiaries or affiliates currently existing or which may get
incorporated in the future in India or abroad, as may be required from time to time to meet the Company’s priorities and business.

2. Reporting:
You will be reporting to Senior Business Manager within the Direct Sales of the Company. However, the
Company reserves the right to change your assignments and reporting line according to the business requirements.

3. Remuneration:
Fixed Compensation:
Your annual fixed compensation shall be of 275,000 (as per annexure) inclusive of all applicable taxes. This shall include the basic salary,
monthly and annual allowances, perquisites and retiral benefits as annexed to this offer letter. The Compensation package shall be governed
by the policies and guidelines of the Company presently applicable and may be modified from time to time as per the compensation policy and
regulatory guidelines.
Variable Compensation / Incentives & Bonuses:
In addition to the fixed compensation, you shall be eligible for performance linked bonuses / Performance Incentives / Other
Bonuses as may be decided by the Company from time to time. All such bonuses / incentives will be processed at the sole discretion of the company
and shall be paid post deduction of applicable one-time tax at source as per Income tax guidelines and shall be abiding in ac-cordance
with company’s applicable plans and policies amended from time to time. Any performance linked bonuses /
Performance Incentives / Other Bonuses shall only be payable to you if your employment with the company has not been terminated or notice of
termination of such employment has not been served by you or the Company.

4. Taxation:
Any amount payable by the Company to you towards compensation, allowances and/or any other payment shall be subject to deduction of
withholding taxes and/or any other taxes under applicable law. The compensation amount stated above is inclusive of such applicable
withholding tax. All requirements under the applicable tax laws in India, including tax compliance and filing of tax returns, assessment etc. of your
personal income, shall be fulfilled by you.

5. Probation:
You shall be employed on probationary terms as per the confirmation policy of the business channel from the date of your employment.
However, the period of probationary be extended further, if necessary. You may be confirmed early based on your performance review.
Your employment confirmation would depend on your satisfactory performance and it shall be confirmed in writing.

6. Working Hours:
Office timings are 9.30am to 6pm with a 30 minute lunch break. The schedule for working days is Monday to Friday and last Saturday of the
month. Branch location employees who belong to Agency, Direct Sales, Operations and SMART shall work on all Saturdays excluding first
Saturday of the month. Company reserves the right to direct its employees to work beyond working hours, Saturdays and on holidays as per
business exigencies. Employees shall be however entitled to apply a compensatory leave against such off days worked for the company.

7. Holidays / Leave:
The Company publishes a list of Holidays at the beginning of the calendar year which will be applicable to you on annual calendar basis. In
addition you will be eligible for the following leave on financial year basis (April 01 to March 31).
• 6 days of Casual Leave prorated from your date of joining.

• 10 days of Sick Leave prorated from the date of your joining.
• 22 days of Privilege Leave prorated from date of joining and may be availed after confirmation.
• 2 days of Flexi Holidays could be availed during the financial year or 1 day if joining date is after September.
• 2 days of Optional Holidays could be availed during the calendar year limited to days as listed in holiday calendar.

8. Retirement Age:
The retirement age is the last day of calendar month in which you attain the age of Sixty years. Your date of birth as per official records
is .

9. Performance & Compensation Review:


Your performance shall be assessed at regular pre-determined intervals. Performance and compensation reviews are based on various
parameters, including but not limited to, performance of the Company, the individual, industry benchmarks and affordability. Hence
automatic salary increases are not guaranteed. Participation in the review exercise will be determined by the Company and can be reviewed by
the Company from time to time.
Post confirmation of the employee, if the employee fails to perform as per the Company Policies, the employee shall be brought under a Performance
Enhancement Program (hereinafter referred to as “PEP”) in which case the Company shall provide sufficient support to the employee to help the
employee perform as per the policy within the stipulated period. If, the employee fails to perform as per the company policy within PEP period, no
further intimation shall be issued to the employee as the notice period is included in the PEP period.

10. Exclusivity of Employment:


You shall not, without the Company’s written permission, carry on any business, or enter for any part of your time, in any capacity the
services of, or be employed by, any other firm, company or person. You shall devote your whole time and attention to your duties to promote
the interest of the Company. Any changes in the Human Resources Policies shall supersede the terms of appointment.

11. Code of Conduct:


You shall not, at any time, make any untrue or misleading statements in relation to the Company nor in particular after the termination of your
employment hereunder represent yourself as being employed by or connected with the Company. By signing this letter, you acknowledge that you shall
comply with the Future Generali Code of Conduct and/or any other policies of the Company as in effect from time to time and understand that a viola-
tion of the Code of Conduct may be grounds for disciplinary action.

12. Confidentiality Agreement:


You shall not during the course of your employment with the Company or any time thereafter, use or disclose to any other company, firm or person,
any of the business or affairs of the Company, nor shall you without the consent of the Company, publish any book, booklet, brochure or any other
publication, whether for remuneration or otherwise, relating to the affairs of the Company or to your work in the Company. You shall also not disclose
to any public papers, journals, pamphlets or leaflets, or cause to be disclosed at any time, information or documents, official or otherwise relating to the
Company, except with prior approval.
Removal of any documents, or tangible items which belong to the Company or which contain any confidential information from the Company’s
premises at any time without proper advance authorization is strictly prohibited.

13. Termination of Employment:


The Company or you may terminate this employment contract by giving an appropriate notice in writing or paying the equivalent of the Basic Salary
amount in lieu thereof. Any adjustments to be made in lieu of the notice period at the time of exit (such as notice pay) shall be the sole discretion of
the Company and would thereof need prior approval of the Managing Director or Function Head and/or CHRO or all, as applicable and as governed by
the prevailing exit policy of the Company. Further, the Company reserves the right to terminate your service without any compensation or notice
period thereof, if you are found to be in breach of your responsibilities and/or following a code of conduct, not in line with the Company’s guidelines
and values.
Should you be guilty of misconduct or negligence in your duties, or found undertaking outside employment for remuneration without prior
permission of the Company, or in case you remain on unauthorized absence / absconding for more than seven (7) days, or in case you are involved in
the act of moral turpitude, the Company reserves the right to terminate your employment without giving any notice or payment in lieu of notice
thereof. Notwithstanding the provisions of this clause, the procedures for termination of employment and any associated payments shall be subject to
Indian laws and government regulations and Company policy.
Any one time payment agreed at the time of your offer and processed to you as per policy guidelines, shall be fully recoverable, in case you leave the
organization within a period of two years from the date of employment or receipt of such value pertaining to Notice Period Buyout / Joining Bonus / Re-
tention Bonus / Guaranteed Bonus / Confirmation Bonus or any other Bonus paid during the prevailing month(s) as agreed at the time of offer and to
the extent of value paid. Any consideration towards waiver/relaxation in the recovery value shall be at the sole discretion of the management”

Notice for FLS:
• The notice period during the first Ninety (90) days of employment from the date of joining of an employee will be One (1) day while the no
tice
period post completion of Ninety (90) days of employment from the date of joining will be Fifteen (15) days. Any change in the notice
period will be at sole discretion of the management and shall be governed by the prevailing policies of the company.
The notice period shall be governed by the company and need to be served, as outlined and in accordance to the exit policy. Any change to the
notice period will be at sole discretion of the management and shall be governed by the prevailing policies of the company.

14. Disclosure:
You shall disclose all the information related to the previous conduct of any person to whom you have recommended/referred in the Company. In an
event, You are found guilty for any such Non-Disclosure to the Company, the Company may take appropriate actions against You including but not
limited to taking any strict disciplinary action leading to termination of your employment without notice. Moreover, You shall also indemnify the
Company for any loss or any damage suffered by the Company due to any Act of Person recommended/referred by You.

Non adherence to the procurement and vendor onboarding policy (e.g. engaging/onbaording a vendor or sharing Company’s information without a valid
contract duly vetted by the legal function etc) shall amount to Misconduct. If found guilty , the Company will take appropriate disciplinary action against
you that may also lead to termination of your employment. Moreover, you shall also indemnify the Company for any loss or any damage suffered by the
Company due to your non adherence to the process laid down by the Company from time to time

15. Post Termination Agreements (No - Solicitation):


You shall not during your employment pursuant to this engagement or thereafter within six months of your last working day with the Company,
without the prior written consent of the Company, either alone or jointly with or on behalf of any person, directly or indirectly, in connection with
the carrying on of any business in competition with the Company, canvass, solicit or approach for orders, in respect of any services provided and/or
goods sold by the Company, any person with whom you have had dealings during the course of employment as a customer or client or Service
provider of the Company, in a manner which is detrimental to the business of the Company. Nor shall you solicit, procure employment for or
otherwise entice away from the Company any individual employed by the Company and who was so employed by the Company at the date of
termination of your employment and with whom you had material contact by virtue of your employment with the Company.

16. Return of Company Property:


You shall promptly upon request by the Company and in an event upon the termination of your employment deliver to the Company all lists of
clients, or customers, correspondence and all other documents, papers and records in whatever form including but not limited to electronically held
data containing or referring to any trade secrets or confidential information concerning the business of the Company which may have been
prepared by you or come into your possession, custody or control in the course of your employment. You shall not keep copies of these items.

17. Intellectual Property:


Subject to any relevant legislation, if at any time in the course of your employment you make or discover or participate in the making or discovery of
any letters, patents, trademarks, service marks, designs, copyrights, inventions, drawings, computer programs, know-how and rights of like nature
however arising and whether registered or unregistered (“intellectual property”) relating to or capable of being used in the Company, you shall
immediately disclose full details thereof to the Company and, at the request and expense of the Company, you shall do all things which may be
necessary or desirable for obtaining appropriate forms of protection for such intellectual property in such parts of the world as may be specified by
the Company and for vesting all rights in the same in the Company or its nominee.
All rights and obligations under this paragraph in respect of intellectual property made or discovered by you during your employment shall continue
in full force and effect after the terminations of your employment and shall be binding upon your personal representation.

18. Compliance Rules:


You shall be subject to compliance rules/ regulations/ circulars/ policies as determined by the Company from time to time or as may be imposed by
any regulatory body. It is your responsibility to ensure that you are aware of the same and that you adhere to them. From time to time the Com-
pany may require that you sign undertakings that you will abide by the then existing rules and regulations.

19. Collection of Premium:


No Employee is entitled to collect premium from the policyholders in cash and shall be under obligation to disclose to the prospect/
policyholder that in the ordinary course of business the payment towards premium shall be accepted by the Company by way of
crossed cheques or demand drafts. The Employee further shall inform and encourage the policyholder to write his/her policy number on
the back side of the instrument paying the premium.

In case the policyholder insists on payment of premium through cash, the Employee in order to facilitate the policyholder shall col-
lect the same, subject to receipt of a due written Authorization from such policyholder, authorizing the Employee to collect the
premium in case and deposit with the Company on behalf of the Policyholder. The Employee shall further make sure that any
premium so collected by him in cash shall be deposited with the Company within a period not exceeding 24 hours from such collec-
tion, failure to which strict action shall be imposed to the employee as governed by the policy leading to termination.

20. Other Terms and Conditions:


During your employment, you shall be subject to the service rules, regulations applicable from time to time. The company shall also, to ensure
smooth operation and conduct of business, authorize you or delegate you to act on behalf of the organization for any decision/activity related to
financial/ non- financial matters. The company shall expect you to operate within the power delegated. You are not expected to enter into any
agreement with third party without prior written approval from the competent authority. The company has the right to take action against you as
per the code of conduct in case of any violation in this regard.

The terms and conditions contained herein shall be read along with the instructions, guidelines, policies, etc. and amendments thereof as presently
applicable to you and as may be amended from time to time and as may be made applicable to you by the Company subsequently during the
course of your employment. You are required to update yourself from time to time with regard to all the policies prevailing at any point of time as
may be applicable to you. Any other terms, conditions, stipulations not specifically mentioned herein shall be governed by employee handbook and
other policies and procedures of the Company as presently applicable and as may be amended from time to time.

We request you to go through the On-boarding Kit attached herewith and send us the documents as mentioned in the check list at the earliest
or at the time of Joining. You have to bring along with you the relieving order from your previous employer on your joining date. Your date of
joining this organization would be the date on which you submit your completed On-boarding kit, or report to the branch, whichever is later.

Your Joining the organization would be subject to you clearing the pre-employment medical examination (applicable only for joiners’ of age 35 and

ON BOARDING CHECKLIST

To implement the joining process effectively, we have provided you with a checklist of documents that one need to procure, comply and complete in
the order as mentioned herein below.
• Pre-Joining documents (Point 1-6 of [A]) are required to be self-attested and submitted by the candidate to their respective RHR/ZHR before joining.
• Point 7-10 of [A] is to be furnished by respective RHR/HRBP to operations team at the time of offer request.
• Immediate Supervisor/HR representative shall verify all joining documents as mentioned in the checklist below & approve your joining formalities.
• Form 11 of ePF shall be mandatory for UAN Generation / mapping.
• Below checklist has to be attached on top of the documents in one docket and has to be couriered to HR­Ops team at HO. Please super scribe

• Salary will be processed only if all the complete documents / information reaches HR Operations team on or before 20th of the month.
