License Letter for Collection and Use of Personal Information Data

This Letter is applied for the Licensor to license Appen Data Technology (Shanghai) Co., Ltd., Appen
(Wuxi) Co., Ltd. and Beijing Appen Technology Co., Ltd. (collectively, the “Appen China”) to collect
and use the Licensor’s personal information data (“Data”) including voices and images, etc.

1. The Licensor (and/or legal guardian if the Licensor under 14 years older, same below) hereby
voluntarily and with full acknowledge, explicitly consents and grants the licenses: (1) Appen China
is empowered to collect, store, annotate, use, share, disclose and transfer the Data, mainly the voices
and images provided by the Licensor (including the name and ID number); (2) Appen China is
empowered to share, disclose, transfer and sub-license the Data to its branches, affiliates, agents,
contractors, partners, law enforcement agencies, courts and other third parties according to the
reasonable needs of its business; (3) Appen China is empowered to conduct cross-border
transmission and transfer of the Data for the purpose of operation; and (4) in the circumstance that
the Data provided contains the portrait of the Licensor, Appen China and the aforesaid third parties
are granted the license of the portrait of the Licensor.
2. The collection of the Data under this Letter is used for commercial purposes, specifically including
artificial intelligence data analysis, machine learning and provision of annotated data, etc.
3. The Licensor (and/or legal guardian) hereby voluntarily and with full acknowledge, explicitly and
separately consents and grants the licenses: (1) [fill in the authorization periodforever] Appen China

(this "Project ”), (2) Appen China and Users are entitled to process the personal information in a
disclosed or undisclosed manner in this Project, and (3) Appen China and Users are entitled to
conduct cross-border transmission and transfer of personal information for the purpose of this
Project.
4. The Licensor (and/or legal guardian) hereby definitely acknowledges that Appen China will provide
security protection of the Data in accordance with China laws and Appen China Privacy Policy.
However, Appen China is unable to guarantee the absolute security of the Data. The Licensor
(and/or legal guardian) has the right to require Appen China to take feasible and necessary measures
to delete his/her Data stored by Appen China.
5. The Licensor (and/or legal guardian) hereby voluntarily and with full acknowledge, explicitly
confirms that all the ideas, concepts, designs, preliminary achievements, scripts, characters, drafts,
revisions, results, proceeds and other intellectual property rights (“Work”) arising from the use of
the Data by Appen China belong to Appen China exclusively.
6. The Licensor (and/or legal guardian) hereby voluntarily and with full acknowledge, waives the right
to claim property interest to Appen China and its directors, shareholders, employees, agents,
representatives, subsidiaries, affiliates, assignors and successors (collectively, the “Appen China
Parties”), and to release Appen China Parties from and against any property damages caused by
this Letter.
7. The Licensor (and/or legal guardian) confirms that Appen China has fully paid up the fees for all
the contents of license under this Letter.
8. This Letter shall take into effect upon the execution of the Licensor (and/or legal guardian). The
term of the license is long-term. If the Licensor (and/or legal guardian) needs to apply to withdraw
the consents, please contact
sawang@appen.com]. For the avoidance of doubt, the Licensor (and/or legal guardian) hereby
acknowledges and agrees in good faith that (1) not to withdraw consent during this Project, (2)
withdrawal of consent does not affect the validity of any personal information processing activity
conducted based on the consent before such withdrawal which means Appen China and Users may
use such personal information processed based on the consent before such withdrawal.
9. The validity and enforcement of this Letter shall be governed by the laws of PRC (excluding Hong
Kong, Macau and Taiwan). The dispute caused by or related to this Letter shall be submitted to
Shanghai International Arbitration Center (SHIAC) for arbitration in Shanghai.
10. This Letter shall come into force upon the confirmation provided by the Licensor (and/or legal
guardian) electronically.
