GENERAL TERMS &CONDITIONS

1. VALIDITY OF OFFER:
Thirty days from the date thereof.

2. DELIVERY
4 – 5 months from the date of Purchase Order along with Advance payment.

A. The delivery of the equipments/machinery is to be taken at the works of the Company. If

however, the equipment/machinery is desired to be delivered at a particular site, the same can
be arranged at the discretion of the Company, at the Buyer’s cost & risk, respective of which the
delivery shall be construed as complete at the works of the Company. The Company shall not
be held liable for any loss or damage of whatsoever nature, if any, caused as a result of delay in
or failure of delivery. It will be incumbent upon the buyer to take the delivery of the
equipment/machinery within 15 days of the date of intimation sent to the buyer at the last known
address.
B. The period of delivery stated in the Terms & Conditions shall recon from the date of receipt from
the company of the order from the buyer along with all the requisite documents e.g. instructions
including licenses, letters of credit, advance payment, technical specifications etc. or from such
other date mutually agreed between the parties. The company shall be at liberty to ignore or
reject the order if it is received in an incomplete form and/or an order unaccompanied with
requisite documents and/or non-payment of specified advance amount to be arranged at the
time of placing the order.
C. The Buyer shall not be entitled to take delivery of the goods unless the entire balance amount is
paid to the Company. In case such payment due and payable by the buyer is not arranged
within 15 days from the date of intimation that the equipment/machinery is kept ready for
delivery, the company shall be at liberty to forfeit all the advance monies received by the
Company from the buyer and in such event the subject transaction shall be construed as
terminated for all purpose. Once the company has intimated to the buyer to take delivery of the
equipment/machinery ordered or the Buyer has reasonably known the readiness of the
equipment/machinery for delivery, the said equipment/machinery covered by the said order shall
remain in custody of the Company duly vested in it, but at the sole risk of the Buyer with or
without insurance. If for any reason, Buyer fails or neglects to take delivery of the equipment/
machinery within 15 days of intimation or opts to take at some later date with the written consent
of the Company obtained therefore in advance, the Buyer shall be liable to pay storage charges
@2% per month on the charged price, for such extended period. The buyer shall be further
liable to take proper precaution for the safety/security of the equipment/machinery from fire,
explosion, tempest, flood or such other Act of God and shall further be held responsible for the
maintenance thereof. The company shall be entitled to be indemnified for expenses incurred by
it due to Buyer’s negligence or also against any depreciation in the value of the
equipment/machinery and damage, if caused during such period until the company has treated

the sale transaction as terminated and accordingly has forfeited the advance payment received
as hereinabove provided.
D. Any delay in delivery shall be attributed to the buyer’s account except when failure to adhere to
the delivery date on the part of the company is caused on account of circumstances beyond the
control of the company more specifically stated hereunder in clause No. 10.
E. The Company shall not in any event be liable for any special or consequential or indirect loss or
damage including any loss of profit or in respect of overheads or any other loss that may be
suffered by the Buyer on account of delay in delivery of equipment/ machinery.

3. PRICE, PAYMENT & TRANSFER OF PROPERTY IN GOODS:

The price quoted herein is for the scope of supply of goods mentioned, and is based on the level
of price prevailing as on date & any escalation in the price of any of the factors of production
shall necessarily cause upward revision of the price quoted and the company shall intimate any
such revision should it become necessary, to the Buyer before the execution of the delivery.
Unless otherwise agreed the quoted price is exclusive of the charges payable on packing,
carriage, freight and insurance. The entire goods will remain the property of the Company until
all due payments are made by the Buyer to the Company.

4. GST and/or Extra if applicable

Extra as applicable at the time of delivery.

5. TERMS OF PAYMENT:
40% of the value of the order as advance. The balance before delivery against proforma invoice
and/or within 15 days of our intimation that the order is ready for delivery. The buyer shall be
entitled to take delivery of the equipment/machinery only after making full payment against the
proforma invoice presented when the equipment/machinery is ready.

6. TRIALS:
The material required for the customer’s trials for plant approval at our works will be supplied by
the company at the Buyer’s cost.

7. DISPATCH:
All the company’s goods are forwarded at the Buyer’s own risk. In case of goods for export or
goods sold/delivered at Company’s works, the Company cannot accept responsibility for
damage or delay during transit unless it has specially agreed in writing to cover such as risk by
insurance. However the company may cover insurance on Buyer’s instructions at extra cost
payable in advance by the Buyer.
If the equipment is desired to be delivered at a place other than the works of the Company and if
specific instructions to that effect are given by the Buyer to the company in advance in writing
the delivery in such case can be arranged only if Company is paid extra cost involved in
transportation and insurance of the equipment/machinery in advance, by the Buyer.

8. ERECTION & COMMISSIONING:
The company shall provide free service of its supervisory or technical personnel for the first
seven days to the Buyer at the time of erection and commissioning of the equipment/machinery,
taken delivery of , by the Buyer. The Buyer shall ensure that the civil work is completed by him
and the technical or supervisory personnel of the company are provided with required raw
material and unskilled labour and other services such as water, power, compressed air, other
utility services lifting equipment, tools, tackles accessories etc. to ensure completion of erection
and commissioning in the minimum time possible as also free lodging, boarding and local
conveyance at the time of erection and commissioning. No service charges other than those
mentioned above would be levied for the first seven days stay of supervisory or technical
personnel. For a period beyond seven days, service charges at the rate of Rs. 10,000/- per day
would be payable by the Buyer.

9. PERFORMANCE, WEIGHT, MEASUREMENTS & POWERS:

Although carefully computed, must be considered approximate only and are not be taken as
final.

10. ILLUSTRATIONS, DRAWINGS, SPECIFICATIONS, ETC.:

The leaflets and drawings brought out by the company, if any, and sent to the Buyer, along with
the question are intended only to present general description of the equipment/machinery and
the same can not be considered as binding on the Company.

11. CLAIMS FOR NON DELIVERY AS PER ORDER:

All claims for non delivery of equipment/machinery or parts and/or accessories thereof, ordered
by the Buyer as per this Order Confirmation, provided off course subject to variations made
therein by the parties, mutually, shall be submitted by the Buyer not later than 7 days after the
date of receipt of the equipment /machinery. In the absence of any such claims put up within the
specified time of 7 days after the date of receipt of the equipment/machinery, the buyer shall be
deemed to have accepted the goods as being in accordance with the order.

12. FORCE MAJURE:

If the company is hindered in or prevented from performing any of its obligations under the
agreement by reason of Act of God, fire, flood, accident, explosion, breakdown or failure of plant
or machinery, war, riot, civil disturbances, strike, labour dispute or any issuance of ordinances,
Acts, Orders or regulations by Government or because of partial or total failure of or storage or
non availability by continuing or apprehended by the company, failure of any supplier or
subcontractor of the company to perform any contract with the Company having direct bearing
on the manufacture of equipment/machinery ordered by the Buyer or by reason of any cause
whether or not of the same nature as the foregoing and beyond the Company’s control. It shall
be under no liability whatsoever to the buyer on account of such resultant non performance/part
performance except that the time schedule prescribed herein shall be extended for such further
period as might have taken by such preventive hindrance or cause.

13. CANCELLATIONS OF ORDERS:
Orders once placed will not be later cancelled by the Buyer for any reason whatsoever. In case
of cancellation of the order, the entire amount of the advance payments received from the Buyer
shall be forfeited. The Company also reserves the right to claim from the Buyer, any additional
losses suffered by the Company in carrying out the manufacturing progress and procurement of
the material for the execution of the equipment /machinery ordered by the Buyer.

14. LIMITATIONS OF LIABILITY UNDER WARRANTIES AND EXCLUSION OF LIABILITY FOR

AND INDEMNITY AGAINST CONSEQUENTIAL LOSS:
A. The company warrants that the equipment/machinery will at the time of delivery be free from
defects attributable to use of faulty material and/or bad workmanship provided, always that any
breach on the part of the Company of such warranty, the responsibility or liability of the
company, shall be limited only to replacement or repairing the defective part or parts free of
charge at its option.
However the applicable duties and taxes will be paid by the Buyer. This warranty clause will be
paid by the Buyer. This warranty clause would be applicable for a period of 12 months from the
date of equipment/machinery is said to be ready for delivery. The defective parts or parts shall
be returned to the Company at it works in exchange of which only the replacement or repair as
the case may be, can be undertaken by the Company.
B. In case of parts of machine/or any ancillary equipment manufactured by other
agencies/companies but used as one of the such guarantee or warranty prescribed by such
agencies /companies and shall be under no obligation to give any independent guarantee or
warranty of its own in respect of such part or parts supplied by other agencies/companies to the
Company and used in the manufacture equipment/machinery supplied to the buyer.
C. Provided always that if the buyer always makes causes or allows any alterations or repairs to
the Company’s machines or ancillary equipments or parts thereof without company’s written
consent or if the defect in the equipment/machinery is due to negligence or improper handling by
the buyer or to any other cause outside the Company’s control then the company shall be
released from any responsibility or liability under sub-clause (A) and (B) above.
D. All other conditions and warranties whether express or implies by statute or custom of the trade
or otherwise and whether as to quality condition performance merchantability fitness for any
purpose or otherwise are expressly excluded and subject only to paragraphs (a), (b),(c) above,
the Company shall be under no liability whatsoever in contract or in tort for or in respect of any
loss or damage (including illness, personal injury or death) whatsoever resulting from or arising
out of the goods or any defect therein or the supply or use thereof whether caused by the
company’s negligence or otherwise and the buyer indemnify the company against all claims and
expenses arising from or incurred by reason of any loss, injury or damage so sustained by the
Buyer or any third party.
E. On no account is the seller liable for consequential damages such as lost profit or additional
retained production cost etc.
F. The quality of PVC as well as of the other components of the formulation must be in conformity
with the agreed specifications, recommendations or provided sample materials on which
guaranteed output data are based.

Virgin material ( standard PVC formulations as dry blend) with Bulk density >= 630 g/l, flow
ability 35 sec. acc. to DIN 53492, test volume 150 g, d=8 mm.
Regrind material from own production <= 10 phr must be added in with virgin material.
Calcium carbonate has to be added in heating mixer. Calcium Carbonate must be coated and
wet-ground. <= 10 phr
Particle average size < 3 micron Top cut of filler must be less than 10 phr of max. size of 10
micron Silicium dioxide <= 1% If more than 10 phr Calcium Carbonate are used in the
formulation the CaCO³ must be tested and accepted in writing by Theysohn Extrusionstechnik
GmbH.
If the Calcium Carbonate type or the rate is changed without approval from
Theysohn Extrusionstechnik GmbH, the warranty shall no longer valid. In case the raw material
preparation will be provided by the customer or is already existing at the factory, a heating-
cooling mixing plant must be available to allow hot mixing up to 115 - 120°C and cold mixing
down to 40°C.
The whole system must guarantee an optimum mixing process to obtain uniform mixed material
without fluctuations in bulk density and flow properties.
When claims are made under the warranty, Theysohn Extrusionstechnik GmbH shall decide
whether the processing unit will be refurbished or replaced. The original guarantee period of 12
months or 7200 operating hours (what comes before) shall not be effected by refurbishing or
replacement.
Exchanged parts have to be returned to Theysohn Extrusion GmbH on request.
Warranty period for chromium plated parts: 2 months after start up.
Heater bands are wear parts are not under guarantee.

15. JURISDICTION :

The contract shall be forwarded by the laws of India for the time being in force and shall be
deemed to have been concluded in the State of Maharashtra. All suits actions and proceedings
shall be subject of courts at Pune in the State of Maharashtra, India.
