helping the people or constituents, hence it is deemed necessary
to obtain legal personality to protect its own welfare and
objectives.

◊ A registered organization will enable to exist, notwithstanding

the death of its members.

NON-STOCK CORPORATION
◊ Non- stock corporation may be formed or organized for charitable,
religious, educational, social, and civic service or similar purposes.

◊ A kind of corporation where no part of its income is distributable

as dividends to its members, trustees or officers, subject to the
provision of dissolution.

◊ Provided, that any profit which a non-stock may obtain as an

incident to its operation shall, whenever necessary or proper, be
used for the furtherance of the purpose or purposes for which the
corporation was organized.

STOCK CORPORATION

◊ A kind of corporation whose main

purpose is for business/profit
with capital stock divided into
shares. They are authorized to
distribute dividends or allotments
of the surplus profits to the
holders of such shares or the
basis of the shares.
