Terms and Conditions

Acceptance of this Offer: You will accept this Offer subject to SCA-Partner and you (the “Parties”) executing a mutual non-disclosure and confidentiality agreement (the “Confidentiality Agreement” or MNDA”), it is understood that if you
accept this Offer, the Parties shall in good faith use their best efforts to execute the Agreement as soon as possible.
This project is non-cancelable, and agreed-upon payment terms are due as described. However, you may postpone or delay any part of the work in progress without penalty.
Validity: Because fees may change over time, the quoted Offer fees have a limited 30-day validity.
Payment terms:Upon acceptance of the offer, our fees for providing a partner search & qualification service, will be paid in three installments as follows:

1. Sign up Fees: SCA-Partner will invoice in advance (at the start of the project) 30% of the fees under the fees schedule section of the offer. Our goal is to kick start the project as it will take a lot of hard work in the process of appointing a partner.
2. Additional 30% is payable upon all the company profiles of potential partners reports are submitted to you (the “Parties”) for evaluation and agreed upon for a go ahead for arranging meetings.
3. The remaining 40% is payable upon all the meetings having been concluded.

Your responsibilities: Designate a project leader to act as a liaison and main contact between you and SCA-Partner; timely approve and provide any request of information and documentation; ongoing availability and collaboration to
participate in scheduled meetings and project management activities; facilitate meetings with key personnel and decision-makers.
Delivery times are estimates and may vary. SCA-Partner is not responsible for lack of performance due to major events beyond its control.

Any possible disputes will be tried by the parties in a friendly manner; the dispute will be resolved by the court of the contracting parties.
