Novartis India Limited (“Novartis”) having its office at 6th & 7th Floor, INSPIRE BKC, G Block, Bandra Kurla
Complex, Bandra East, Mumbai – 51 wishes to engage your services as described herein below:

Date: 20th June 2021

You acknowledge that as part of the Event you are under no obligation to promote or prescribe any Novartis
products.

You shall share with the Novartis prior to rendering the Services any presentation/paper/material that would be
used for rendering the Services. You further agree to incorporate any reasonable suggestions of Novartis on the
above referred presentation/paper/material.

Novartis shall not share/part/distribute the presentation provided by you without your prior written consent.

In consideration of the professional services rendered, Novartis will pay you an all-inclusive consideration/
honorarium (only in case of speaker services) of INR 21000/- (Indian Rupees Twenty One Thousand Only),
inclusive of all applicable taxes, which will be subject to deduction of withholding taxes as applicable.

Novartis at its option will pay for only the following expenses incurred by yourself in relation to rendering the
Services - (1) travel assistance to and from the venue of the Event in accordance with Novartis travel policy (2)
reasonable business accommodation (3) reasonable food expenses (4) if required, registration fee for the Event,
if any. All other expenses will have to be borne by you. Reimbursement of pre-approved expenses, if not
directly paid by Novartis, will only be against submission of original invoices. Expenses incurred or reimbursed
will only be expenses pertaining to yourself and not in relation to anyone accompanying you.

1. You must keep confidential all information disclosed to you by Novartis in connection with the Activity
and must return the confidential information to Novartis, unless otherwise permitted by Novartis.

2. You must comply with Novartis P3 guidelines, specifically you confirm that you have read and
understood and will comply the Novartis P3 applicable clauses as mentioned in Annex 1 attached
hereto.

3. You confirm that the provision of the Services by you and receipt of consideration/payments in relation
thereto are in accordance with all applicable guidelines, rules, regulations and laws including those of
the Medical Council of India, as may be in force from time to time and it shall be your responsibility to
ensure compliance therewith.

4. You acknowledge and agree that:


 The Services will be provided free from any undue influence or bias; and
 You have not been retained by Novartis, and are not receiving any benefit or financial
compensation in exchange for any explicit or implicit agreement to purchase, prescribe,
promote or provide favourable status for any of Novartis’ products.
 Any adverse events, if any observed by you will be reported to Novartis at
india.drug_safety@novartis.com or fax to +91-22-50243005

5. You confirm that your acceptance of the above engagement is in accordance with rules and regulations
of your employer /institute/hospital that you may be associated with. You shall obtain approval of your
Employer or Supervisor (as may be required by the Services Rules applicable to you) by taking NOC
from/intimating to a statutory governing body and/or the employer. You agree to obtain such approval or
(as applicable) provide such intimation prior to delivering the said Services. Further, you shall obtain all
requisite approvals after fully disclosing all material terms of this Agreement including the nature and
duration of the Services, the amount of payment received hereunder, as well as information about the
event where Services will be provided including details of any travel, meals and lodging (if any) being
provided herein. You further confirm that you have not been sanctioned for any ethical conduct
violations.

6. You acknowledges and agree that Novartis shall monitor and/ or record the meeting, by video or audio
or any other means, either itself or through a third party, (the “Recording”), and to use, edit, publish,
adapt, translate, broadcast (including through simultaneous web-ex), display, reproduce, share,
disclose, release and/or distribute part or all of such Recording for the following purposes (“Purposes”):
 Scientific or promotional training or educational purposes within Novartis and its affiliates worldwide,
including sharing at Novartis meetings and on Novartis intranet websites;
 Scientific or promotional training or educational purposes that will be conducted in private or public
settings with healthcare professionals or the general public, by or for Novartis and/or its affiliates
worldwide, such as advisory boards, seminars, congresses, meetings, trainings, or websites;
 Dissemination or knowledge sharing purposes, which may include websites owned, maintained, or
hosted by Novartis, and/or its affiliates, or on Novartis or its Affiliates’ behalf, worldwide;
You understand and agree that the Recording may contain your full name, educational background and
professional affiliations, professional experiences, photographs and/or video footage and consent to the
use of the same. Novartis shall own all copyright in the Recording. The Recording will be kept and used
as described herein for a period of five years and will not be shared nor used for any other Purposes
without prior written consent of Consultant. After that time, Novartis will cease using the Recording.

7. Novartis will collect and process your personal data, including, if applicable, evaluation of performance
as a speaker, for any future interactions. This processing may include the transfer of your personal data
to countries worldwide. By signing you agree to such processing and transfer of your personal data by
Novartis, their affiliates and their authorized agents. Except as otherwise expressly stated, you may not
provide Novartis with Personal Information. You have the right to access, correct, or oppose the use of
your personal data, by contacting Novartis.

8. Parties agree to make all other disclosures and/or notifications as may be required in connection with
entering into, performing, or paying compensation for professional services with decision-making
authorities or bodies (if any).

ANNEXURE 1

PROFESSIONAL PRACTICES POLICY (P3)

Novartis is committed to high standard of ethical business conduct wherever it does business. Novartis
has therefore adopted a single set of ethical principles that should be applied in daily decision-making
by all Novartis Associates in any customer interaction and professional practice-related activity. This
Policy applies to all Novartis Associates as well as all professional practice-related activities conducted
by third parties on behalf of Novartis. All such activities must be conducted in accordance with local
laws, regulations and industry codes, which may be more stringent than the requirements outlined in
this Policy.

Put patients first


All interactions with our customers must ultimately benefit patients by enhancing the standard of care,
raising awareness about diseases and their treatment options, or otherwise contributing to the ethical
delivery of healthcare.
We will treat patient information with respect, protect confidentiality, where required obtain informed
consent, and be transparent with patients at all times.
We must protect patient safety. If an Associate becomes aware of a product-related risk or complaint
(e.g., adverse event, manufacturing defect or product failure) related to Novartis products (approved or
investigated) it must be reported in a timely manner.

Fund responsibly
External funding, including grants, donations and sponsorships, must only be given to legitimate
organizations and provided in a way that protects our reputation, aligns with society’s expectations, and
is consistent with the Novartis Mission to discover new ways to improve and extend people's lives. The
same rules apply for external in kind support.

Act with clear intent


As trusted partners in healthcare, all of our activities must have clear and transparent objectives that are
accurate, truthful, not misleading, and appropriate for their intended context.
Novartis may conduct promotional and non-promotional activities throughout the product lifecycle.
These activities ensure that products are developed to meet the needs of patients, to advance scientific
understanding of disease, including disease management and treatment outcomes, and to discuss the
appropriate use of products.
Non-promotional activities should never be conducted in a way that are intended or perceived to be
promotional.

Engage appropriately
Associates must not offer, approve, or provide anything of value with the intent or consequence of
inappropriately influencing or rewarding our customers for the use of Novartis products.
Novartis may choose to engage healthcare professionals or other customers to provide necessary and
legitimate services to help us research, develop, and/or promote our products. Any compensation must
be for a bona fide service, consistent with fair market value, properly documented and accounted for,
and disclosed where required.
Allowable items of value, when provided to customers, must be modest, reasonable, infrequent, free
from actual and perceived conflicts of interest, and disclosed where required.

Research for the right reason

Research and development must only be conducted to address valid medical or scientific questions
aimed at enhancing patient care. We must always respect and protect the rights, safety and well-being
of patients and animals and safeguard the integrity and validity of the data obtained.
Research and development activities must follow established ethical and scientific standards and be
conducted by qualified investigators.
Research and development activities must never be promotional in nature.
