CONTRACT OF LEASE

This CONTRACT OF LEASE made and entered into by and between:

________________, Filipino, of legal age and a resident of Mabolo Cebu City,


Philippines, hereinafter referred to as the LESSOR;

And

DOK-ALTERNATIBO MACHINERIES AND HERBAL PRODUCTS TRADING represented by


its President/CEO EDELEIN E. DELIBO with office address at Parallel Street, Brgy. Tiguman, Digos
City, Davao del Sur, hereinafter referred as LESSEE;

WITNESSETH THAT:

1. The LESSOR is the owner of a Commercial Lot, situated at #833 C.M. Recto Avenue,
Brgy. 25, Cagayan de Oro City;
2. The LESSOR hereby leases the said premises unto the LESSEE and the LESSEE hereby
accepts and leases the said premises from the LESSOR under the following terms
and conditions:
a. AREA TO BE LEASED.
b. The term of this lease shall be 2 years from February 08, 2022 and shall
expire at midnight of February 08, 2024 and shall be renewable at the option
of both parties;
c. The monthly rental shall be FORTY FIVE THOUSAND PESOS ONLY
(P45,000.00), plus 12% VAT payable every Eight day of each and every period
without need of demand.

Monthly Rental Php 45,000.00


Plus: 12% Vat 5,400.00
Total Monthly Rental Php 50,400.00

Upon execution of this contact, the Lessee shall pay the following amounts:

d. Fifty Thousand Four Hundred Pesos (Php 50,400.00) as SECURITY DEPOSIT


and Fifty Thousand Four Hundred Pesos (Php 50,400.00) as ADVANCE
RENTAL;
e. The Security Deposit shall be refundable without interest at the end of the
term of the contract of lease and after lessee shall have totally vacated the
premises.

The Security deposit shall answer for any destruction or repair that the Lessor
may incur after the term of the lease and after Lessee shall have vacated the
premises or for unpaid utilities of the Lessee. In no instance shall the Security
Deposit be charged for any unpaid rental. Further, should the Lessee pre-
terminate this contract before the end of the one year period for any reason
whatsoever, the Security Deposit shall be forfeited in favor of the Lessor;

f. The leased premises have been inspected and received by the LESSEE in
good and habitable condition;
g. All ordinary repairs and fixtures within the premises that arise in the daily use
of the facilities therein shall be for the sole account and expense of the
LESSEE, without right to reimbursement;
h. The LESSEE shall use the leased premises exclusively for commercial
purposes and in under no circumstances will the lessee be allowed to put up
a retail store;
i. The LESSEE shall not sublease or sublet the leased premises to any party
without the express written consent of the LESSOR;
j. All charges for water, light or telephone and all other utilities used within the
leased premises shall be for sole account of the LESSEE. Failure to pay or the
delay of the same shall be a ground for the termination of the lease without
prejudice to the right of the lessor to collect the unpaid bill(s);
k. The LESSEE shall be responsible for the observance of sanitary and electrical
regulations required or imposed by the City or Government agencies
regarding the use and habitation of the leased premises;
l. The LESSEE shall notify the lessor in writing at least Thirty (30) days in
advance should the LESSEE decides to abandon the leased premises;
m. In the event that the LESSEE abandons or leaves the leased premises for a
period of at least one month without any communication or information with
the LESSOR, the LESSOR shall have the right and the absolute power and
authority to enter the leased premises and have it leased to other interested
parties. All things and equipments of the LESSEE existing and remaining in
the leased premises shall be kept by the LESSOR for safekeeping for a period
of one month from the date LESSOR occupies the premises and the LESSEE
shall be charged a reasonable amount for such safekeeping. After such
period, ownership of things and equipments left shall be transferred to the
LESSOR and the LESSOR at its option sell the same and apply the proceeds
thereof to any unpaid obligation of the LESSEE without prejudice to collect
any deficiency. Any excess shall inure to the benefit of the LESSOR to
compensate him for the acts of the LESSEE;
n. The LESSEE gives unto the LESSOR the right and authority to visit the leased
premises for inspection at anytime during the reasonable hours of the day;
o. The LESSEE shall not bring into or store in the leased premises, any
inflammable or explosive goods or materials nor any article which may
expose the leased premises to fire or increase the fire hazard of the premises
or any illegal substances except those directly connected with the LESSEE’S
business. Lessee is strictly prohibited to use the premises for illegal or
unlawful business or activities;
p. Any improvement made by the LESSEE within the leased premises shall
remain as property of the LESSOR, without right to reimbursement to the
LESSEE of the cost or value thereof;
q. Any violation of any of the above terms and conditions will produce “ipso
facto” the rescission of this contract of lease.
r. The appropriate courts of Cagayan de Oro City shall have exclusive
jurisdiction for any case or controversy that may arise out of this contract of
lease to the exclusion of the other courts;

themselves to have executed the foregoing instrument in my presence, and they acknowledged
to me that the same is their free act and deed.

This instrument, consisting of three (3) pages, including the page on which this
acknowledgment is written, has been signed on the left margin of each and every page thereof
by the parties and their witness, and sealed with my notarial seal.
