CONTRACT NO. 2(PW-111-TM / N) DP-2018

This Contract is made at Nay Pyi Taw on the day of 15th February, 2018
between the Republic of the Union of Myanmar, Office of the Commander-In-
Chief (Army), represented for the purpose of this Contract by Major General
Khin Maung Than, Managing Director, Directorate of Procurement, Office
of the Commander-In-Chief (Army), Nay Pyi Taw (hereinafter called “The
Purchaser”) of the one part and Messrs Trident Marine Co., Ltd, No.25,
Myintzu Street, Yankin Township, Yangon, Myanmar represented for the
purpose of this Contract by U Khin Zaw, Managing Director, Trident
Marine Co., Ltd, No.25, Myintzu Street, Yankin Township, Yangon, Myanmar
(hereinafter referred to as “The Supplier” which expression shall include his/
their legal heirs / representatives and permitted assigns) of the other part.

Whereas the Purchaser is desirous of purchasing Main Propulsion System,


Stern Arrangement and Accessories for Frigate for the use of the Republic of
the Union of Myanmar and whereas the Supplier has agreed to supply of Main
Propulsion System, Stern Arrangement and Accessories for Frigate as
specified in the Appendix-A hereto (hereinafter collectively referred to as " The
Stores" and which shall form part of this Contract) upon the terms and
conditions hereinafter appearing.
Article 1 Definitions

Words, phrases or other expressions used in the Contract shall have


meanings hereby assigned to them except where the context is
otherwise required.

a) “Myanmar” shall mean the Republic of the Union of Myanmar.


b) “Purchaser” shall mean the Directorate of Procurement, Office
of the Commander-In-Chief (Army), and Republic of the Union
of Myanmar.
c) “Supplier” shall mean Trident Marine Co., Ltd, No.25, Myintzu
Street, Yankin Township, Yangon, Myanmar, its
representatives, permitted assigns and successor.
d) “End User” shall mean the Office of the Commander-in-Chief
(Navy).
e) “OEM” (Original Equipment Manufacturer) shall mean State
Company “UKROBORONSERVICE”, P.B.49, 3a, Rossoshan
ska st., Kyiv, 02093 Ukraine
f) “Contract” shall mean this written agreement including all
documents attached to the Contract and all amendments or
addendum to the Contract by mutual consent of the Purchaser
and the Supplier.
g) “Stores” shall mean Main Propulsion System, Stern
Arrangement and Accessories for Frigate as specified in
Appendix-A and Appendix-F to this contract.
h) "CODOG" shall mean Combination of Diesel or Gas Turbine
System for Frigate provided by OEM.
i) “Technical Specification” shall mean full technical
characteristics and specification of the CODOG propulsion
system approved by End User as specified in Appendix-B.
j) “System Design and Work Schedule” shall mean Design of
Propulsion Plant and all related systems drawings as specified
in the Appendix-C.
k) “Test Report” shall mean Self Propulsion Model Testing, Stern
Arrangement Design including CPP Propellers, Shaft, Bracket,
etc. and Shaft Torsional Vibration Analysis report as specified
in the Appendix-D.
l) “Technical Agreement” shall mean the agreement on supply
and installation of the CODOG propulsion system reached
among End User, Supplier and OEM as specified in Appendix-
E.
m) “FAT” shall mean Factory Acceptance Test of CODOG
propulsion system consisting of main engines, gas turbines and
gearboxes jointly carried out by End User, Supplier and OEM at
Ukraine.
n) “SAT” shall mean Sea Acceptance Trial jointly carried out by
End User, Supplier and OEM at Purchase Country.
o) “FAC” shall mean Final Acceptance Certificate issued by End
User in compliance with Technical Agreement in Appendix-E.
p) “Delivery” shall mean the delivery of the Stores on CIF Yangon
by Sea / Air basis.
q) “CIF” shall be given the interpretation of the INCOTERM 2010
(ICC Publication No.715).

NOW IT IS HEREBY AGREED AS FOLLOWS:

Article 2 Subject of Contract

2.1 The Purchaser shall buy and the Supplier shall sell and supply
Main Propulsion System, Stern Arrangement and Accessories
for Frigate (hereinafter collectively called the Stores) as specified
and described in Appendix-A and Appendix-F annexed hereto.

2.2 The Supplier agreed to perform the Design and Analysis of


CODOG propulsion System, related systems and provide the
detailed drawings of these systems (hereinafter referred to as the
System Design and Work Schedule specified in Appendix-C) in
compliance with the technical agreement specified in Appendix- E.

2.3 The Supplier agreed to perform the Self Propulsion Model Testing,
Stern Arrangement Design including Controllable Pitch Propellers,
Shaft, Bracket, etc. and Shaft Torsional Vibration Analysis Report
with necessary drawings (hereinafter referred to as the Test Report
specified in Appendix-D) in compliance with technical
specification as specified in Appendix-B and the technical
agreement as specified in Appendix-E.

2.4 The Purchaser shall provide End User Certificate to the Supplier as
per format specified in Appendix-I to present Contract on the date
of signing contract.

Article 3 Quality, Quantity and Others

3.1 Quality
The stores shall be of the qualities and sorts described in the
Appendix-A and Appendix -B which shall conform to the Original
Equipment Manufacturer's standard specification and which form
part of this Contract, the breach of which shall give the Purchaser
the right to reject the store and treat this Contract as repudiated.
Country of origin of the Stores to be supplied by the Supplier under
this Contract is Ukraine, India and Singapore.

3.2 Quantities
The quantities of the Stores shall be such as are mentioned in the
Appendix-A and the Purchaser does not bind himself to receive
any quantities other than those shown therein.

3.3 Shipment and Delivery


(a) The Supplier shall effect shipments of the Stores within 24
months after signing of the Contract and all shipping
arrangement are to be made by the Supplier.

(b) Any delay in fixed delivery date mentioned above due to the
causes solely attributable to the Supplier, penalty shall be
paid by the Supplier to the Purchaser as per Article (13) of
this Contract and the Purchaser will reserve the right of
cancellation and refusal of delivery. In these circumstances,
the Purchaser shall put the Supplier and its business firm into
Black List record.
3.4 Packing & Marking
(a) The Stores shall be supplied and delivered in strong and
durable package suitable for overseas shipment or in 20ft/
40ft containers as to protect them any damage during
shipment and to secure the safe arrival at destination duly
covering overseas shipping hazards as rough handling and
possible corrosion from exposure to salt atmospheres, salt
spray or open storage. The Supplier shall be liable for any
damage to the Stores on account of improper packing and for
any rust damage attributable to inadequate or improper
protective measures taken by the Supplier and in such cases
all loss and/ or expense incurred in consequence thereof shall
be borne by the Supplier. The Supplier shall issue and send
Packing list showing the following particulars, to the
Purchaser, before shipment of the Stores -
(aa) Type of Stores.
(bb) Package Number
(cc) Package Dimension and Weight

(b) The following shipping marks shall be properly made on


both sides of the package -
(aa) Contract No.
(bb) Description of Items
(cc) Package Number
(dd) Package Dimension and Weight
(ee) Country of Origin
Other appropriate marking internationally recognized or
related to nature of Stores.

(c) Consignee: Directorate of Procurement, Republic of the


Union of Myanmar
3.5 Clearance

The Stores shall be cleared on arrival by the Assistant General


Manager (Clearance Department) of the Directorate of
Procurement, Office of the Commander-in-Chief (Army).
3.6 Receiving Depot

The Stores shall be accepted at the Yangon Central Naval Store


Depot, Thanlyin, Yangon (hereinafter referred to as the “Receiving
Depot”.

3.7 Information of Delivery

The Supplier shall inform the Purchaser by FAX to FAX No.95-


032-30241 and by Email dp@mptmail.net.mm the date of
shipment, the name of Vessel and approximate date of arrival in
Yangon, and also send copies of Bill of Lading, Invoice and
Packing list at least 10(Ten) days in advance in order to facilitate
clearance on arrival.

Article 4 Inspection and Rejection

4.1 The Stores shall be inspected and/ or tested within 10 days by the
Purchaser and Original Equipment Manufacturer/Supplier’s
representative(s) after delivery at the Receiving Depot. Any Stores
found damage, or differing in specification, shall be rejected by the
Purchaser. The Stores rejected under this Article shall not be
considered as having been delivered under this Contract, and the
Supplier Shall, within a reasonable period specified by the
Purchaser, deliver satisfactory Stores in place of the same at his
own expense.

4.2 The Stores so rejected after delivery shall be sent back to the
Supplier at his own expense for replacement.

Article 5 Insurance

5.1 The Stores shall be covered under marine insurance for


transportation for all risks including war clause from port of
shipment to Myanmar with an international reputable insurance
company by the Supplier.

5.2 In the event of loss or damage during delivery, the Supplier shall
re-supply the same stores to the Directorate of Procurement on
Supplier’s own expense and arrangement.
Article 6 Warranty

6.1 The Supplier shall guarantee the stores for a period of (1) year
from the date of FAC except for Gas Turbines, Reduction Gear
Boxes and Monitoring and Control System.

6.2 The Supplier shall guarantee the stores of Gas Turbines, Reduction
Gear Boxes and Monitoring and Control System for period of (2)
years from the date of FAC of the Propulsion System.

6.3 If within the period of guarantee specified above, there is


discovered in certain or all the Stores any defect and/ or
deterioration due to faulty Stores or design or workmanship, the
Supplier shall at his own expense and at the option of the Purchaser
to repair or replace such Stores to the entire satisfaction of the
Purchaser or shall refund the full value of the Stores so effected
without any additional charges to the Purchaser.

6.4 In the event of failure to comply the Contract, the Supplier shall be
liable to action in accordance with the conditions contained in
Article 19.

6.5 The warranty shall not cover the defects resulting from normal
wear of parts or negligence in operating, servicing and
maintenance by the End User.

Article 7 Contract Price

7.1 The total Contract Price payable by the Purchaser to the Supplier is
US$ 57,300,000.00 (United States Dollar Fifty Seven Million and
Three Hundred Thousand Only) on CIF Yangon by Sea/ Air Basis.

7.2 The break down Price List of Stores, System Design and Work
Schedule and Test Report is mentioned in Appendix-A and
Appendix-F of this Contract and prices are fixed, firmed and valid
up to the time of completion of the contract as defined in Article
(29).
Article 8 Counter Bank Guarantee for Advance Payment

8.1 As the guarantee to repay the advance payment in the event that
Supplier fails to implement the Contract and to deliver the Stores
as per stipulation of the Contract, the Supplier shall furnish the
Purchaser within (5) days from the date of coming into force of the
Contract as defined in Article (31), Counter Bank Guarantee for
Advance Payment covering 100% value of Advance Payment
issued and confirmed by the Supplier’s Bank through Myanma
Foreign Trade Bank (MFTB) Yangon, Myanmar, in the format
shown in Appendix (G).

8.2 The Counter Bank Guarantee for the Advance Payment shall come
into force on the date it is issued and shall remain valid until the
date of receipt of one of the major systems of the contract.

8.3 Release of the Counter Bank Guarantee for Advance Payment shall
be made by the Purchaser on the following matter and percentage:

(a) 5% of the Counter Bank Guarantee for Advance


Payment shall be released after receipt of Test Report
at the entire satisfaction of End User.

(b) Remaining 5% of the Counter Bank Guarantee for


Advance Payment shall be released after receipt of
one of the major systems of the contract.

Article 9 Performance Bank Guarantee

9.1 The Supplier shall provide the Purchaser an irrevocable


Performance Bank Guarantee in the format shown in Appendix (H)
to this Contract issued by the Supplier’s Bank in favour of the
Purchaser, through the Myanma Foreign Trade Bank (MFTB),
Yangon, Myanmar within (45) days from the date of coming into
force of the Contact as defined in Article (31), covering 10% of
the total price of the Contract amounting to US$ 5,730,000.00
(United States Dollar Five Million Seven Hundred and Thirty
Thousand) as security for due performance and full compliance of
the obligations by the Supplier under this Contract.
9.2 The Performance Bank Guarantee furnished by the Supplier under
this Contract shall come into force on the date of issue by the
Supplier’s Bank and shall remain valid until the completion of the
contract.

Article 10 Release of Performance Bank Guarantee

10.1 Release of Performance Bank Guarantee will be made by


Directorate of Procurement, Office of the Commander-In-Chief
(Army), Nay Pyi Taw on the successful completion of the Contract
and Final Acceptance Certificate is issued by the End User as
defined in Article 9.

Article 11 Terms of Payment

11.1 The Purchaser shall effect the payment of the total value of this
Contract to the Supplier by means of Telegraphic Transfer detailed
below for each delivery, System Design and Analysis and Test
Report.

11.2 The Purchaser shall pay US$ 5,730,000.00 (United States Dollars
Five Million Seven Hundred and Thirty Thousand Only) to the
Supplier nominated beneficiary account within twenty five days
after receipt of counter bank guarantee for advanced payment
issued by Supplier’s Bank advised and confirmed through Myanma
Foreign Trade Bank (MFTB) Yangon.

11.3 The Purchaser shall pay US$ 9,741,000.00 (United State Dollars
Nine Million Seven Hundred and Forty One Thousand Only) to the
Supplier's nominated beneficiary by means of Telegraphic Transfer
within Twenty five days and after submission of following
documents.

(a) Commercial Invoice Two Originals

results, Maker Lists and
detailed Master working

11.4 The Purchaser shall pay US$ 3,068,415.00 (United State Dollars
Three Million Sixty Eight Thousand and Four Hundred and Fifteen
Only) to the Supplier's nominated beneficiary by means of
Telegraphic Transfer twenty five days and after submission of
following documents.

(a) Commercial Invoice Two Originals


(b) Self Propulsion Model Testing
Report, Stern Arrangement
Design including CPP
Propellers, Shaft, Bracket
Drawings and Shaft Torsional
Vibration Analysis Report
Signed by the Representative of
End User and Supplier

11.5 The Purchaser shall pay 85% of each stores (total value of each
stores is US$ 35,895,585.00, United States Dollar Thirty Five
Million Eight Hundred Ninety Five Thousand Five Hundred and
Eighty Five Only) specified in Appendix-A and Appendix-F to the
Supplier's nominated beneficiary by means of Telegraphic Transfer
within twenty five days and after presentation of the following
documents for each delivery of stores;
(a) Complete set of Clean Shipped on Board (1) Set
Ocean Bill of Lading (or) Airway Bill/
Air Consignment Note
(Marked Freight Prepaid)
(b) Commercial Invoice (1) Original
(2) Copies
(c) Packing List (1) Original
(2) Copies
(d) Manufacturer’s/Supplier’s Quality

11.7 The Purchaser shall pay 5% of the contract value US$


2,865,000.00 (United States Dollars Two Million Eight Hundred
and Sixty Five Thousand Only) to the Supplier's nominated
beneficiary by means of Telegraphic Transfer after completion of
installation and commissioning of Propulsion System.

11.8 In case of none remittance of US$ currency to the Supplier's


nominated bank and account, the supplier shall open new
appropriate account with Bank as per Purchaser's Bank (M.F.T.B.)
suggestion.

Article 12 Penalty for late submission of Performance Bank Guarantee


12.1 In the event of delay to submit the Performance Bank Guarantee
within the period stipulated in Article 9.1, one of the following
penalty for late submission of Performance Bank Guarantee will be
paid by the Supplier to the Purchaser within (10) days from due
date of Article 9.1:

(a) 1% of Performance Bank Guarantee (OR)


(b) US$ 1,000.00 (OR)
(c) K 1,000,000.00

12.2 The Purchaser shall have the right to determine the appropriate one
of the above mentioned penalty to be imposed to the Supplier.

12.3 Should the Supplier fail to fulfill the contractual obligation


mentioned in Article 9.1 and Article 12.1 the Purchaser shall have
the right to terminate the contract and the Purchaser will treat the
supplier and its business firm as unreliable Supplier. In this option,
the purchaser will cancel the Supplier’s Company registration and
any submission of its proposal and product introduction will not be
allowed for two consecutive years.

Article 13 Late Delivery Penalty

13.1 In the event of delay or failure to deliver the Stores within the
stipulated period of delivery due to causes solely attributable to the
Supplier, penalty shall be paid by the Supplier to the Purchaser as
follows:-

Between (1) month to (2) months - 1% of the CIF Value of the


Stores so from the date of
fixed delivery delayed /
or not delivered.
Between (2) months to (4) months - 3% of the CIF Value of the
Stores so delayed / or not
delivered.
More than (4) months - 5% of the CIF Value of the
Stores so delayed / or not
delivered and Purchaser may
at his option cancel whole or
part of Contracts so delayed
or not delivered.

Article 14 Corrupt gifts to persons in the service of the Union of


Myanmar
14.1 The Supplier warrants that no gift or reward has been made or shall
be made to any official or employee of the Government of the
Union of Myanmar. The Supplier also warrants that no one has
received nor shall receive from or through the Supplier or his
Agent, any kind of gift or reward or share in consideration of the
procurement of Store under this Contract.

13.2 The warranty does not however preclude the remuneration by the
Supplier or any Agent or Representative maintained on a
continuing basis. Breach of the above conditions shall entitle the
Purchaser to recover as damages the value of gift or reward or
share. In addition, the Purchaser shall also be entitled to treat such
a breach as the breach of the Contract by the Supplier.
Article 15 Law governing the Contract
15.1 This Contract shall be construed in all respects according to the
Laws of the Republic of the Union of Myanmar.

Article 16 Arbitration
16.1 In the event of any dispute between the Parties to this Contract in
regard to the performance of this Contract and their rights and
obligations there under which cannot be settled amicably, such
disputes shall be settled by Arbitration through two Arbitrators one
appointed by the Purchaser and another by the Supplier. Should the
Arbitrators fail to reach an Agreement, and then the dispute shall
be referred to an Umpire nominated by the Arbitrators. The
Arbitration proceeding shall, in all respect, conform to and be in
accordance with the provisions of the Arbitration Law 2016 (the
Pyidaungsu Hluttaw Law No.5/2016) and then subsisting statutory
modification thereof and the venue of Arbitration shall be in
Yangon. The Arbitration fees shall be borne by the losing party.

Article 17 Warranty and Representation


17.1 Each party represents and warrants to the other party that it is a
legal person duly authorized under the relevant laws and has the
right, Power, sound financial standing and authority to enter into
this Contract.

17.2 The Supplier warrants and ensures that Messrs TRIDENT


MARINE CO., LTD, Myanmar is fully responsible for the
implementation of its obligations under this Contract.

Article 18 Correspondence

18.1 All notices or information which is necessary to give concerning


the present Contract, by one or the other parties, shall be expressed
in writing and addressed;-

Article 19 Defaults and Liquidated Damages

19.1 The Supplier shall be responsible for any discrepancies in weight,


quantity, quality, size of the Stores and also for the damages if any,
found at the first examination of the content of each intact
packages, as reported by the Officer in charge of the Receiving
Depot, Yangon. It shall be the responsibility of the Suppliers:-

(a) To replace at his own expense the rejected Stores with


the Stores which conform in all respects to the Stores
mentioned in the Contract within a reasonable period
of time to be determine by the Purchaser.

(b) If the Supplier fail to replace the rejected Stores


within such period as may be determined by the
Purchaser, he shall be at liberty to purchase the Stores
of the same or similar description from other sources
to make up such deficiency and the Supplier shall
defray the extra cost and charges attendant upon
purchase and.

(c) To intimate the Purchaser within fourteen days from


the date of receipt of information rejecting his Stores,
the destination to which he would purpose to have his
rejected Stores exported as all Stores imported for
Office of the Commander-in-Chief (Navy) must after
rejection be re-exported, failing which, he shall be
liable to pay demurrage charges as per terms and at
the rates to be determined by the purchaser and

(d) To bear all expenditure incurred in exporting the


rejected Stores to the destination proposed by him,
and approved by the Purchaser.

(e) To recall the Foreign Exchange in respect of the


rejected Stores, in case it has already been remitted.

19.2 In the event of the Supplier being unable to arrange reshipment of


the rejected Stores as specified in sub-Article (a) above, due to
circumstances beyond his control, such rejected Stores shall be
disposed of in such manner as may be determined by the Purchaser
and the proceeds thereof shall be utilized to defray expenses
incurred in connection thereof. The Balance, if any, will be
returned to the Supplier, and deficit amount shall be made good by
the Supplier.

19.3 If the Supplier fails to deliver the Stores of any portion thereof
contracted for within the times specified in any of the Contract
Documents other than Forces Majeure:-
(a) The Supplier shall forfeit the Performance Bank
Guarantee to the Purchaser and

(b) The Supplier shall within seven days of receipt of the


notice rejecting the Stores, refund the full or any
amount that might have paid to him in settlement of
his bill /s.

Article 20 Termination

20.1 The Purchaser may terminate this Contract forthwith if the Supplier
fails to give Performance Bank Guarantee as stipulated in Article
(9) or if he fails to comply with any or all of the conditions of this
Contract, dies or becomes insolvent.

Article 21 No Claim to Compensation

21.1 In the event of the Contract being terminated under any of the
Article of this Contract, the Supplier shall have no claim to
compensation for any loss or inconvenience sustained by him for
purchases or produced materials or entered into any engagements
or made any advances on account of or with view to the
performance of this Contract.

Article 22 Transfer and Subletting

22.1 The Supplier shall not give, bargain, sell, assign, sublet or
otherwise dispose off the Contract or any part thereof or the benefit
or advantage of this Contract to any person without pervious
consent in writing of the Purchaser. In the event of any breach of
this condition by the Supplier, the Purchaser may forthwith
terminate this Contract and shall recover from the Supplier any loss
resulted such termination.

Article 23 Interpretation

23.1 This Contract shall be construed in all respects according to the


Laws of The Republic of the Union of Myanmar in all matters
including Validity, Obligation, Interpretation, Construction,
Performance, and Termination but excluding any other matters.
Article 24 Reproduction and Secrecy
24.1 The Purchaser without formal agreement of the Supplier may
reproduce none of the Stores, Items supplied under this Contract.

24.2 Data and Technical Information supplied by the Supplier to the


Purchaser under this Contract shall not be disclosed except to
authorized persons of the Purchaser and the Purchaser undertake to
comply with the Security guarding related to any classified
information passed to him.

24.3 All parties to this Contract undertake to treat this Contract as


confidential document and not divulge, disclose or in any way
make its contents or any documentation supplied there under
available to any third Party or Person except to the extent required
for Contract implementation and execution of this Contract and
shall oblige their staff and personal to observe this secrecy
conditions.

Article 25 Force Majeure

25.1 The Supplier shall not be responsible in the event of the


performance of this Contract being prevented or delayed by causes
beyond his control such as Act of God, Acts or Enemies, Fire,
Flood, Strike, Lockout, Riot, Civil Commotion, delay in receipt of
proprietary article provided by the third parties due to such cause
unless the Purchaser shall determine the Proprietary Article to be
supplied by the Third Parties are obtainable from other sources in
sufficient time to permit the Supplier’s Manufacturer to meet the
required delivery schedule.

25.2 Should delays attributable to any of the above causes occur, the
due dates for shipment of Stores, Items so affected shall be
correspondingly extended by a period or periods equal to that of
delay caused by Force Majeure.

25.3 The Supplier shall inform the Purchaser promptly about the
beginning and end of the Force Majeure event and also furnish
evidence of occurrences of such Force Majeure to the reasonable
satisfaction of the Purchaser.

25.4 Should delays in delivery occur more than (8) months, owing to
exclusively to any causes of the Force Majeure and such Force
Majeure conditions are considered as Major Problem for the
Supplier to perform the complete or partial obligation of the
Contract, the Purchaser and the Supplier shall discuss termination
of the Contract.

Article 26 Other Provision

26.1 The Propeller shaft line from the center line of ship should be
approximately 3000 mm each and Supplier shall be considered this
design factor during the designing of CODOG propulsion system.

26.2 The propeller shaft from Gear-Box also is apart from Center Line
about 3000 mm each and Supplier shall be taken into account the
one of main factor for design factor during the designing of
CODOG propulsion system.

26.3 Capacity of fuel and lubricating oils amount in tanks for 5000
Nautical Miles running with 18 knots shall be provided by Supplier
during the one week after signing the contract.

26.4 End User requested the Supplier to design the Propeller Diameter
to suit the criteria of Dockyard facilities. According to Dockyards
requirement, Supplier shall be tried to design the lower tip of
Propeller under this line is not more than 1300 mm.

26.5 End User requested the Supplier to give the Enclosure of the Gas
Turbine dimensions.

26.6 End User requested to Supplier to supply the shaft brake type and
shaft turning gear type.

Article 27 Duties and Taxes

27.1 All duties and taxes in relation with this Contract, payable outside
of Myanmar shall be borne by the Supplier.

27.2 All duties and taxes in relation with this Contract, payable in
Myanmar according to the Myanmar Laws, shall be borne by the
Purchaser.

Article 28 Export Permit


28.1 It shall be the responsibility of the Supplier to obtain any necessary
Export Permit from the Department of the Government concerned.
Article 29 Completion of the Contract
29.1 The Terms and conditions of this Contract will be deemed to be
completely fulfilled by the Supplier and only when the Stores
mentioned in Appendix-A and Appendix-F, have been delivered in
full at the Receiving Depot at the entire satisfaction of the
Purchaser, and

29.2 All the Stores mentioned in Appendix-A and Appendix-F have


been installed onboard the ship and sea trials is carried out as per
the Rules requirement of the Classification Society and the End
User entirely satisfy the performance of the Stores, and

29.3 The End User issues the Final Acceptance Certificate of the Stores
mentioned in Appendix-A and Appendix-F, and

29.4 Where the Guarantee Period as stipulated in Article 6, the Terms


and Conditions of this Contract will be deemed to be completely
fulfilled by the Supplier, only after expiry of that Guarantee period.

Article 30 Formation of the Contract

30.1 This Contract is signed in (4) original in the English language. The
Purchaser will receive (1) original, the Supplier will receive (1)
original and User Department will receive (2) originals.

30.2 This Contract contains (31) Articles and the following Appendixs,
which shall form the integral part of this Contract.

1. Propulsion unit control system.
1.1. The propulsion unit control system includes DGTA local control systems (LCS) (two systems,
one system for each DGTA), diesel engine control panels (one panel for each diesel engine), variable
pitch propellers control panels (VPP, one panel for each VPP), control panel in PDCR (Power and
Damage Control Room, as regards the DGTA control), local control consoles (LCC, two panels, one
panel for each DGTA).
The control of the ship systems including the propulsion unit control compatible with the
Integrated Platform Management System, IPMS. Control of DGTA is possible both from PDCR and
from LCC.
1.2. The network interface of LCS of DGTA with IPMS, PDCR and LCC: A redundant Ethernet
network is applied in the control system as a network interface.
1.3. The microprocessor-based LCS of DGTA based on MEGA-GUARD software and hardware
(S&HW), manufactured by Praxis Automation Technology, Netherlands, the elements of which are in
open sale.
1.4.The DGTA LCS is compatible with IPMS. The communication between the DGTA LCS and
the PDCR and LCC equipment is arranged via the redundant Ethernet network. The communication
between the DGTA LCS, diesel engines control panels and VPP control panels is arranged via the
Ethernet network or via serial channels (RS-422/485).
1.5. The DGTA LCS software is complied with open architecture standards. The DGTA LCS is
supplied to the Customer with tested software having the functions of reception, processing and control
of signals, as well as of automatic regulation and control of DGTA.
1.6. The DGTA LCS (2 control cabinets with controllers, remote input/output modules, vibration
control system, 1 cabinet with power supply units), the LCC, the equipment of PDCR control panel as
regards the control of DGTA (panel PCs, trackball keyboards, mode setting levers), GTE starting system
(variable speed controllers, 2 cabinets), set of pressure and temperature sensors, set of ship SPTA is
supplied together with DGTA. The PDCR equipment as regards the DGTA control can be delivered by
SE GTRPC “Zorya”-“Mashproekt” or other supplier (for instance, by the IPMS supplier) according to
specifications developed by LCS supplier.
1.7. The diesel engine and the VPP control panels should be delivered by the diesel engine and the
VPP suppliers respectively.
1.8. SE GTRPC “Zorya”-“Mashproekt” executes the full scope of works concerning the
manufacture, bench testing, mounting, supervised installation on site and commissioning of LCS
together with DGTA, as well as maintenance the DGTA LCS during the guarantee and post-guarantee
periods.
1.9. The DGTA LCS software includes the mathematic (simulation) model of DGTA. The
simulation model uses the standard software package of DGTA LCS. The model will be used for
dynamic simulation of transitional operation modes of the DGTA, which has to reduce the time and the
scope of works during the commissioning. The simulation model can also be used as a model for the
training personnel executing works on DGTA and LCS. Development of the model and testing of the
DGTA LCS with the help of the modeling program should be approved by the Customer.

2 Functions executed by DGTA LCS:


2.1 Control function:
• control of starting, cold cranking and preservation readiness;
• de-preservation, automatic starting with reaching the GTE idle run mode, normal stop;
• GTE emergency stop and cold cranking, preservation / de-preservation of fuel equipment;
• GTE starting, power buildup to nominal mode: normal and emergency buildup;
• engagement / de-engagement the GTE to/from reduction gear;
• starting diesel engine, power buildup to nominal mode: normal and emergency buildup;
• engagement / de-engagement the diesel engine to/from reduction gear;
• possibility of switching off some protections (in case of an emergency situation);

• checking the DGTA protection channels;
• automatic protection by process parameters;
• remote control of actuators;
• prohibiting the execution of operator’s commands during the DGTA operation, unless they are
provided for by the control algorithm;
• automatic control of control commands given by DGTA LCS;
• automatic control (permanent or periodical) of analog sensors’ circuits;
• automatic control (permanent or periodical) of the main DGTA LSC units with indication of
defect / malfunction on the PC display.
2.2 Regulation function:
• automatic HPC speed regulation according to the law nHPC=const, or
• automatic PT speed regulation according to the law nPT=const, or
• automatic fuel flow rate control according to the law GF=const.
The setpoints nPT and nHPC should be changed from LCC or PDCR (with the mode setting lever or
with the screen setpoints). The DGTA LCS should provide two levels of changing the modes of DGTA
operation (at the operator’s discretion):
• normal increase / reduction of power;
• emergency increase / reduction of power;
• automatic limit regulation (restrictive):
- high pressure compressor rotor speed (nHPC);
- low pressure compressor rotor speed (nLPC);
- low pressure turbine outlet temperature (EGT);
- fuel flow rate during the GTE acceleration / deceleration modes;
- reduction gear outlet shaft torque (if necessary).
Transition from an regulated parameter to limit regulation of other parameter should be made
automatically. Should one of the above mentioned parameters exceed the range of limit values, which is
to be determined automatically depending on the mode the aggregate is working in or depending on
environmental conditions, the system has smoothly and automatically to move to limit regulation of the
said parameter;
• control of the fuel control valve position during execution of starting or stopping algorithms by
temporal or parametric dependence with correction by the air temperature at GTE inlet and
thermal condition of the engine;
• stopping the fuel supply to GTE in case of a HW malfunction of DGTA LCS.
2.3 Functions of DGTA LCS parameters control:
• permanent monitoring of process parameters including the measurement and indication of
values of measured parameters on the PC screen;
• calling the controlled parameters (by operator’s command) to the PC screen in the form of
diagrams;
• recording the DGTA operating hours, the number of starts and stops;
• showing the unit mimic diagrams on the PC display with indication of measured parameter
values and positions of actuators;
• permanent indication of the following parameters on the PC display:
- HPC outlet pressure;
- LPC speed;
- HPC speed;
- PT speed;
- LPT outlet temperature (EGT);
- GTE luboil pressure;
• indication and sound signaling of process parameters deviations from the setpoints;

• showing the information of nonfulfillment of starting preconditions;
• indication of the main DGTA modes: “READY FOR START”, “READY FOR
PRESERVATION”, “READY FOR DE-PRESERVATION”, “STARTING”, “IDLE”, “READY FOR
COLD CRANKING”, “COLD CRANKING”, “nHPC CONTROL”, “nPT CONTROL”, “GTE
ENGAGEMENT TO RG”, “DIESEL ENGAGEMENT TO RG”, “GTE DE-ENGAGEMENT FROM
RG”, “DIESEL DE-ENGAGEMENT FROM RG”, “NORMAL STOP”, “EMERGENCY STOP”,
“PRESERVATION”, “DE-PRESERVATION”;
• record of signals initiating an emergency stop, as well as values of the basic process
parameters of the plant, position of actuators when the emergency protection is engaged with
possibility of retrospective analysis of the DGTA condition;
• indication of actuators control commands nonfulfillment (provided the corresponding parts
are present);
• creating packages of current and retrospective data by means of record of continuously
updating data files of measured parameters, operating modes and deviations;
• record of the following parameters:
- the group of parameters, including design parameters, subjected to regular periodic
registration;
- alarm signals;
- warning signals;
- events relating to the change of process equipment conditions.
2.4 Requirements to technical characteristics of DGTA LCS.
2.4.1 The distributed local control system of DGTA is realized based on MEGA-GUARD
software and hardware (Praxis Automation Technology, the Netherlands).
2.4.2 The local control system include the following equipment.
2.4.2.1 Processor units to which the input/output modules are connected over the Canbus digital
network. Each processor unit supports up to 8 input/output modules. Moreover, each processor module
contains 2 ports of redundant Ethernet network.
The process software is developed with use of Programmers Application Language software for
PLC describing programming languages in accordance with international standard IEC61131-3.
2.4.2.2 The MEGA-GUARD package of software and hardware of DGTA LCS is designed to
receive frequency signals (at least 12). The signals is received from “passive” induction sensors of the
GTE and RG rotors speed.
The signals is inputted into the DGTA LCS from the speed sensors over the frequency signal
convertors.
2.4.2.3 The MEGA-GUARD software and hardware package of DGTA LCS is designed to
receive signals from resistive thermal converters (Pt100 calibration). The number of signals is at least
54. The signals is received over the programmable 24-channel analog input/output modules.
2.4.2.4 The MEGA-GUARD software and hardware package of DGTA LCS is designed to
receive signals from thermoelectric converters (K type). The number of signals is at least 28. The
signals is received over the programmable 24-channel analog input/output modules.
2.4.2.5 The MEGA-GUARD software and hardware package of DGTA LCS is designed to
receive signals from pressure and pressure drop transducers (4-20 mA signals), and from transducers
with unified output signal (4-20 mA). The number of signals is at least 56. The signals should be
received over the programmable 24-channel analog input/output modules.
2.4.2.6 The MEGA-GUARD software and hardware tools package of DGTA LCS is designed to
transmit unified signals (of controlling commands 4-20 mA). The number of signals is at least 8. The
signals is transmitted over the programmable 24-channel unit for input/output of analog signals (4
channels of analog signals output and 20 programmable input/output channels).
2.4.2.7 The MEGA-GUARD software and hardware package of DGTA LCS is designed to
receive two-position signals. The signals is received from discrete signals potential-free contact sensor.
The number of signals is at least 160.

The signals from discrete signals sensors is inputted in DGTA LCS over 36-channel modules of
remote signals input or 36-channel mixed input/output modules (18 channels of discrete signals input
and 18 channels of giving discrete commands).
2.4.2.8 The MEGA-GUARD package of software and hardware of DGTA LCS forms discrete
commands of actuators control. The number of signals is at least 102.
The discrete actuators control commands is given over 36-channel mixed input/output modules
(18 channels of discrete signals input and 18 channels of giving discrete commands), as well as over the
power relay modules.
The power relays is provided switching of 24V DC circuits with current up to 5 A.
2.4.2.9 The control of ProAct III actuator (Woodward) of the fuel control valve (FCV) is effected
with a current signal 4-20 mА. The control signal is given over the programmable 24-channel module
for input/output of analog signals.
2.4.2.10 The processors with input/output modules is mounted on a DIN-rail in the cabinet to be
placed (for cable links saving) close to the sensors and actuators.
2.4.2.11 The power supply system.
The LCS power should be supplied from two feeders:
- 1st feeder: 220 V AC (main power);
- 2nd feeder: 220 V AC (guaranteed backup power).
The Customer should be in charge for the guaranteed power supply of DGTA LCS.
Switching-off the both supply circuits is inadmissible.
Power supply of the DGTA LCS equipment U = 24 V DC is arranged from the DGTA LCS power
supply system that has to include the following:
- power supply modules (PS);
- diode modules (DM).
The DGTA LCS power supply system should also be in charge for the work of:
- the plasma ignition system;
- ProAct III actuator (the drive of the fuel control valve);
- actuators of fuelling, lubrication, pneumatic systems of GTE and RG with supply voltage
U=24V.
The DGTA LCS power supply system ensures a bump less switching from the main supply to the
backup supply in case of a main supply failure.
2.4.2.12 The DGTA LCS include the insulation control tools for the circuits of power supply
system U=24 V DC.
2.4.2.13 The connection of DGTA LCS with the diesel engine control panels, VPP, LCC and
PDCR equipment is arranged both via “physical” and via digital communication channels (the Ethernet
network or serial communication channel RS-422/485).
2.4.2.14 The hardware of DGTA LCS is placed in three one-door steel cabinets, LCC and in the
PDCR control panel:
- 2 cabinets with MEGA-GUARD processors, remote input/output units and vibration control
system. The cabinets are mounted in the engine room. The outer dimensions of the cabinets should not
exceed: 1100*600*500mm (height х width х depth, preliminary);
- 1 cabinet with power supply units. The cabinet is mounted in the engine room. The outer
dimensions of the cabinet should not exceed: 1200*600*500mm (height х width х depth, preliminary).
The vibration monitoring system has been realized based on hardware VM600-U1 type
(“Meggitt”, Switzerland) with 5 points of measurement: 3 for GTE and 2 for RG;
- LCC form factor with panel PC, keyboard with trackball, keys and direct control buttons;
- panel PCs with keyboard and trackball, GTE and diesel mode setting levers, keys and direct
control buttons for placement in the structural unit of control panel in PDCR.
The cables are fed to the LCS, DGTA and LCC cabinets through the cable glands.
2.4.2.15 For meeting the requirements to keep the impact and vibration load characteristics, the
LCS, DGTA and LCC cabinets are fixed to the ship structures via the shock mounts being supplied
together with the DGTA LCS.

2.4.3 The LCC is include:

2.4.3.2 Functional keyboard with trackball.
2.4.3.3 Direct control buttons:
- “GTE START”;
- “GTE STOP”;
- two-position self-resetting tumbler switch of changing the GTE mode setting;
- “DIESEL START”;
- “DIESEL STOP”;
- two-position self-resetting tumbler switch of changing the diesel engine mode setting;
- “GTE ENGAGEMENT TO RG”;
- “GTE DE-ENGAGEMENT FROM RG”;
- “DIESEL ENGAGEMENT TO RG”;
- “DIESEL DE-ENGAGEMENT FROM RG”;
- “ACKNOWLEDGE”;
- Control switching “LCC-PDCR”.
The control commands listed above can also be given from the panel PC screen.
2.4.4 The control panel in PDCR is include the following (as regards the DGTA control):

2.4.5 Requirements to operation speed of DGTA LCS HW.
Operation speed of control channels and protections: reaction of DGTA LCS on the input signal
change (regardless of operation speed of the actuators) – not more than 0,2 s.
2.4.6 Requirements to DGTA LCS power supply sources.
The power consumed by each DGTA LCS (including the power consumed by 24 V actuators)
from the 220 VAC is not higher than 3,0 kW.
2.4.7 Requirements to measurement channels accuracy.
The range of basic reduced error of DGTA LCS measurement channels (regardless of the sensors
error) at the ambient air temperature 35±50С, relative humidity from 30 to 95%, atmospheric pressure
from 84 to 107 kPa, is not more than:
- for temperature measurement channels – 0,5 %;
- for pressure and pressure drop measurement channels – 0,5 %;
- for speed measurement channels – 0,2 %.
Additional error caused by change of the air temperature from 35±50С to any temperature within
the working range should not exceed the half range of the basic reduced error for each 100С.

2.5 Operational conditions.


The DGTA LCS executes all functions and provide expected performance in all working modes
under the following conditions:

2.5.1. Temperature.
The working air temperature at place of location of DGTA LCS remote input/output cabinets and
of the power supply cabinet - from 0 to 55°C.
The working air temperature at place of location of PDCR and LCC control panels – from 0 to
35°C.
The DGTA LCS is remain fit for operation after a long shutdown time at temperature from -40°C
to +60°C. The temperature range setting period for work of DGTA LCS after drops of temperature
below -5°C is not take longer than one hour.
2.5.2. Relative humidity.
The upper relative humidity value should be 95% at 55°C and lower temperatures without
condensation of moisture.
2.5.3. Roll, pitch and yaw.
• Slopes with angles up to ±22,5° in any direction.
• Rotation with amplitude up to ±22,5° and interval 10 sec.
2.5.4. Vibration.
The DGTA LCS equipment complies with vibrational loads characteristics within the range of
frequency from 40 Hz to 2000 Hz and acceleration ±10g.
2.5.5. Impact load.
For compliance with the impact load characteristics indicated in requirements specifications, the
DGTA LCS cabinets are installed on shock mounts.
2.5.6. Protection degree.
The protection degree of the control panel in PDCR and LCC is IP54.
The protection degree of cabinets with microprocessors, remote input/output modules and
vibration control system, as well as cabinets with power supply units is IP55.

3 Set of spare parts.


3.1. The scope of DGTA LCS supply is included the set of spare parts necessary for current in-
operation repair of DGTA LCS.
3.2. The DGTA LCS supplier undertakes to supply any unit of DGTA LCS in the form of spare
parts (under a separate Contract) during 20 years.

4 Software.
4.1 The software is designed in accordance with standards of open architecture, with maximum
use of standard programs. The software is included protection against unauthorized access.
4.2 The software of the local control console workstation is designed with use of a licensed
Windows package, as well as the CAMCLIENT operator’s interface design software package from the
set of MEGA-GUARD application software by Praxis Automation Technology.
4.3 The DGTA LCS software and hardware is supplied with recorded and tested programs of
collection, testing and representation of information, automatic control and regulation.
4.4 The DGTA LCS software is based on serial software service tools providing the required
interface for operators and developers, enabling the development of application software (control
algorithms) in engineering language not requiring a special programmer’s training. Furthermore, the
indicated software service tools are provided the possibility of developing the software and hardware
exercising simulator for modeling the work of DGTA in all modes of its operation. Connection of
service tools intended for maintenance or testing of DGTA LCS HW is realized over the Ethernet
network.

System Design and Work Schedule

The System Design and Work Schedule include the following works:

(a) The Supplier will provide the followings design work and related
drawings regarding the Frigate CODOG Propulsion System:
 propulsion plant arrangement plans;
 shaft lines arrangement plan and alignment drawing;
 air intake and exhaust system for diesel engines, gas turbines
and gear box rooms;
 weight distributions of all equipment for propulsion plant and
CG calculation results;
 arrangement plans for main engines supply systems;
 engines rooms’ ventilation system arrangement plans;
 structural construction of the foundation for Gas Turbines,
Reduction Gearboxes and Diesel Engines;
 structural construction of the sea Chests with special rubber
covering;
 construction of foundation with anti vibration devices;
 insulation and GRP/rubber covering schema;
 Resilient mounting.
(b) The Supplier will provide the followings Schematic Diagrams
regarding the Frigate CODOG Propulsion System:
 main engines fuel system;
 lube oil system;

Technical Agreement
Main Propulsion System, Stern Arrangement and Accessories for Frigate

February 14, 2018

From February 7, 2018 to February 14, 2018, Ukraine technical team including
5 members discussed some issues with Myanmar Navy about the main
propulsion system, stern arrangement and accessories for Frigate project.
During the whole discussion, both sides reached an agreement after discussion
and consultation for the concerned issue and make a Technical Agreement as
follows:

1. The guarantee speed is 30+ knots at the displacement of 3500 tons at


ambient temperature 35C by using two numbers of Gas Turbines. Gas Turbines
Model shall be defined either UGT 15000+ or UGT 25000 after finishing the
ship self-propulsion test and confirmation with Myanmar Navy engineers and
Ukraine engineers.

2. The Supplier and Myanmar Navy agreed to carry out the self-propulsion
model test in third party Country. The proposed hydrodynamic towing tank is
SSPA Sweden AB or equivalent well-known hydrodynamic towing tank.

3. If the required power is more than that of UGT 15000+, Ukraine side
shall provide the UGT 25000 Gas Turbines and the respective CODOG gearbox
from other countries according to the engine room configuration of Myanmar
Navy and without changing the delivery period of 24 months after confirmation
of model test results.

4. The Supplier shall provide the brand of CODOG gearbox which is


equivalent or better quality than that of Zorya-Mashproekt, technical
specification and delivery date during one month after signing the contract.

5. After SAT, if the speed is between 29 knots to 29.9 knots, the Supplier
shall pay 10% of the total contract value as penalty. If the speed is between 28
knots to 28.9 knots, the Supplier shall pay 20% of the total contract value as
penalty.
6. If the speed is less than 28 knots, Myanmar Navy has right to terminate
the contract and Supplier shall refund the total amount of contract value not
later than 5 Months.

7. The material delivery schedule must be agreed with the installation


sequence of the propulsion system of the Myanmar Navy.

8. Original Equipment Manufacture of all equipment for propulsion plant


except purifiers shall be of the European Countries. Purifiers should be Alfa
Lava.

9. The certificate for the main machineries (two Gas Turbines and two
Diesel Engines Caterpillar C280 16V, wet sump type or SEMT Piestick
16PA6V-280 made in India) and the equipment of the propulsion system from
OEM will be provided by the Supplier, especially crankshaft and governor.

10. The Supplier shall provide only Original Equipment Manufacturer


(OEM) certificate for the most of the contracted items.

11. Caterpillar Electronic Technician Software and communication adaptor


including Laptop Computer shall be provided by the supplier.

12. The warranties for propulsion system shall be one year from the date of
final acceptance certificate after SAT.

13. The preservation of the all equipment by supplier shall be suitable for a
storage period of 1 year at shipyard site. Should additional storage time be
required, and then user shall arrange for additional preservation measures in the
presence of local representative of the supplier according to the supplier’s
instruction and materials.

14. The Supplier guarantees that the stores to be supplied under this contract
shall be agreed with Technical Specification of the contract. In case the
operating condition of the machineries and equipment do not meet the
Technical Specification of the contract, the Supplier shall provide free of charge
any additional stores required for meeting the Technical Specification of the
contract.

15. The Supplier must provide the following analysis and report:
(a) Resistance and Powering Report at different speed and load
conditions, Appendages resistance analysis report
(b) Resistance at significant wave conditions report
(c) Controllable Pitch Propeller Analysis report
(d) Torsional Vibration Analysis report
(e) Noise and Vibration Analysis of Propulsion Plant Report

16. The Supplier shall carry out the self-propulsion test (model test with
propellers and appendages) after receiving of hull lines with IGES format. Hull
line confirmation shall be done in Myanmar Navy with Ukraine technicians
during 10 days after signing the contract. The self-propulsion test shall be
carried out in Hydrodynamic towing tank of Ukraine witnessing with Myanmar
Engineers during one month after signing the contract.

17. After carrying out the self-propulsion model test and if necessary,
Supplier shall modify the hull lines with minimum modification without
changing the main hull and sequences of construction schedule of Myanmar
Navy.

18. The Supplier shall send the detailed Maker Lists and Specifications for all
equipment within 3 Months after the date of acceptance by Ukraine side 3D
structural drawing and 3D General Arrangement for all equipment which is not
related to propulsion plant in engine rooms and gearbox rooms from Dockyard.

19. Myanmar Navy will check and approve the Maker Lists and
Specifications within two weeks after receiving above data from Ukraine Side.
If the proposed Maker Lists and Specification of equipment do not meet with
Myanmar Navy’s procurement demand No. CONST/D-1-135/2016-2017, the
Supplier shall provide the necessary equipment respectively. Ukraine side shall
start the procurement and production of all equipment after approving from
Myanmar Navy.

20. The foundation design (Foundation Drawings) for main engines and
gearboxes shall be provided by the Supplier three months after the date of
acceptance by Ukraine side 3D structural drawing and 3D General Arrangement
for all equipment which is not related to propulsion plant in engine rooms and
gearbox rooms from Myanmar Navy.

21. Air Intake & Engine room ventilation system for Diesel Engines, Gas
Turbine and Gearbox rooms shall be provided by Supplier. Myanmar Navy
shall provide layout of the equipment and their specifications not related to
propulsion system.
22. Fire fighting system design (principle design) shall be provided by
Supplier.

23. The 3D Pipe Spool drawing for the following sub-systems shall be
provided by the Supplier, after receiving the 3D structural drawing and 3D
General Arrangement for all equipment which is not related to propulsion plant
in engine rooms and gearbox rooms from Dockyard.
(a) Lube Oil Systems for Gas Turbines, Diesel Engines and
Gearboxes.
(b) Main Engine Service Fuel Oil Systems including Fuel Oil
Purifying System (Number of Separators for Fuel Oil -2 Nos
should be included)
(c) Fuel Oil Quick Closing Valve Control Air System
(d) Main Engine Lube Oil System including Lube Oil Purifying
System (Number of Separators for Lube Oil – 1 No. should be
included)
(e) Main Engine & Compressor Sea Water Cooling System
(f) Gearbox & Shafting Sea Water Cooling System
(g) Fuel Oil Transfer System (Principle Diagram only)
(h) Sounding, Filling, Vent Piping System for service tanks of Engines
and Gearboxes
(i) CPP Hydraulic System
(j) Main Diesel Engines Fresh Water System
(k) Starting Compressed Air System and general service air system for
Engines, Gearboxes, etc. for Engine rooms.
(l) Main Engine Exhaust System
(m) Main Engine Pneumatic Control System
(n) Any other necessary piping systems for propulsion system

24. After approval of the pipe spool drawing by Myanmar Navy, the pipe
spool prefabricated in Supplier’s shipyard will be sent to Myanmar Navy at
appropriate time. Myanmar Engineers will be sent to Ukraine for agreement of
drawings for ten days including traveling days. The drawings in AutoCad
format will be sent to Myanmar Navy after coming back Myanmar Engineers
from Ukraine. After receiving the drawings, Naval Dockyard shall approve
those within seven days.
25. All propulsion related piping system must be in accordance with naval
standard material, grade and strength (Rules and Regulations of the
Classification Society for Naval Ship).

26. If the prefabricated pipes are necessary to repair, the repairing cost and
flushing process shall be borne by the Supplier. The machine for flushing must
be supplied by the Supplier.

27. All the prefabricated pipe will be complied with Ukraine Naval Standard
(Rules and Regulations of the Classification Society for Naval Ship).

28. The Supplier has to provide the qualified engineers to supervise the
whole process of propulsion system installation. The Supplier shall arrange the
technical service up to the successful completion of the whole system. The local
cost (Accommodation, food, local transportation) of those engineers shall be
borne by the Supplier.

29. The Supplier shall provide the technical service and supervision for: (a)
installation and alignment; (b) control and monitoring; (c) starting of the
engines and system function checks; (d) sea trails (i.e. speed & endurance
trails). For this purpose the Supplier shall send qualified engineers to Yangon as
and when necessary. This time schedule for sending of engineers shall be fixed
and mutually agreed by both parties. The Myanmar Navy shall inform the
Supplier at least four weeks ahead of each trip.

30. The enough quantity of anti-corrosive chemical in fresh water tank for
one time of two engines shall be provided by the Supplier.

31. Separate Panels showing the Pressure and Temperature Sensors of all the
equipment in the propulsion plant rooms shall be provided by Supplier.

32. The necessary special tools and equipment for the installation of
propulsion system shall be provided by the Supplier.

33. The initial filling of Lube Oil for Main Diesel Engines, Gearboxes shall
be borne by the Supplier. The Lube Oil and Fuel Oil required for flushing
process of the piping system must be supplied by the Supplier.

34. According to planned maintenance schedule, the experts for Gas Turbine
Engine shall visit to Myanmar for supervision purpose and replacement of
defected parts with free of charge either within 2 years from the date of final
acceptance certificate after SAT or 3000 running hours over two years.

35. The Supplier will supply spare parts of main engines for 10,000 running
hours.

36. Two Myanmar Engineers will be sent to Ukraine for checking of piping
system drawings for ten days with the expense of supplier.

37. Four engineers from Myanmar Navy will be sent to Ukraine for witness
for self propulsion test for ten days with the expense of supplier.

38. Four engineers from Myanmar Navy will be sent to Ukraine for Factory
Acceptance Test of Marine Diesel Engines for ten days with the expense of
supplier.

39. Three engineers from Myanmar Navy will be sent to Ukraine for Paraxis
Monitoring and Control System for CODOG aggregate for ten days with the
expense of supplier.

40. Four engineers from Myanmar Navy will be sent to Ukraine for studying
the practical application training of Gas Turbine and Gear Boxes for three
months with the expense of supplier.

41. Four Myanmar Engineers will be sent to Ukraine for Factory Acceptance
Test of CODOG aggregate system for ten days.

42. The monitoring and control system of Diesel & Gas Turbine Aggregate is
based on MEGA-Guard software and hardware (Praxis Automation Technology).
Naval Dockyard and Supplier agreed to install local control system of Diesel
and Gas Turbine Aggregate.

43. The Monitoring and Control System of Diesel & Gas Turbine Aggregate
shall ensure that all components of the Propulsion System are seamlessly
integrated with each other and with the shipboard systems (including IPMS).
The following outline of the materials and services should be provided by the
Supplier:
(a) Main Engine Remote Operation Panel (Bridge Console) is
composing of meters (ME speed meters, Shaft speed meters, Pitch
meters, etc.), control levers, telegraph and facility for automatic
data logging of engine/ propeller orders.
- Console structure with shock mounts -1 no.
- Panel Marine PC -1 no.
(21 inch TFT Display with SSD)

- One guaranteed backup power with 3 hour back up of
DGTA LCS.
(c) Engineer Officer’s cabin
- One Extension Operator Panel with 8.4 inches TFT.
(d) Damage Control Room
- One Extension Operator Panel with 8.4 inches TFT.
(e) Pump and Motor: Motors below 5 kW will be provided with DOL
starter. Motors between 5 and 15 kW will be provided with Star-
Delta starter having protection of over current, single phasing
failure, earth fault, thermister protection and under voltage. Soft
starters to be provided for motors as applicable.
(f) Main Engine Starting and General Service Air Compressor with
the following indicators:
- Remote starting and Stopping with manual interlock
- Running indication
- Alarm / Trip Indications
- Local / Remote status indications
- Pressure status of all air bottles
- Power on indication (MD Compressor only)
- Master fault trip (MD Compressor only)
- Motor running and its fault alarms (MD Compressor only)
(g) Estimated Power Consumption of Propulsion System (kW)
requirement and number of feeders required for each system shall
be indicated (with itemized lists).
44. The Supplier will provide the adequate amount of spares for monitoring
and control system of main engines (Main engines speed sensors, shaft speed
sensor, pressure sensor, lamp, switch, etc.). The following will be included-
(a) Control cable for monitoring system supplied by the Supplier;
(b) PLC for the monitoring and control system should be used
equivalent with Siemens type and the spare parts list for the sensors
and monitoring system will be provided by the Supplier;
(c) All the control console is in English Version;
(d) Extension alarm panel should be 3 Nos., in engineer officer’s
room, Bridge, Damage Control Headquarter.

45. All engine monitoring & control cable and installation will be in the
scope of supply of vendor.

46. Final Drawings shall be supplied in four sets in hard copies and in soft
copy with DWG format and one set of C.D. in AUTOCAD 2010.

47. Special test equipment for term test & repair of system, Calibration of
portable vibration equipment & sensors / system shall be supplied. The Supplier
shall identify, propose, quantify and provide a final itemized list for all Special
Test Equipment and all special tools required on-board for on-board and on-
shore for support. Tools identified in the list shall be delivered to the customer
as part of the delivery. Special test equipment & tools for test & repair of
system shall be supply with itemized list.

48. Software backup used in the system (both on SSD and EPROMs),
software reloading jigs and detailed procedure to reload the software is to be
provided.
49. The warranty period of Monitoring and Control System of Diesel & Gas
Turbine Aggregate system should be for duration of 24 months from the date of
completion of SATs.

50. Spare Parts for Propulsion Monitoring and Control System with period of
one year duration shall be provided by Supplier.

51. The list of spares, special tools and test equipment submitted by the
Supplier shall be finalized with the Myanmar Navy. Spares identified in the list
shall be delivered to the Myanmar Navy as part of the Propulsion System
delivery.

52. Detailed training package of the Propulsion Monitoring and Control


System for onboard installation, exploitation and for maintenance along tools
and test kits should be provided as required with the expense of Supplier. The
training sessions will cover the following as minimum:
(a) Familiarization on design, installation and operation, to be carried out
in Equipment manufacturer’s workshop during production of the each
ship set
(b) Instruction on operation and maintenance will be carried out at a
location as indicted Myanmar Navy for crew operators and base
maintainers
(c) Commissioning training will be imparted at the operator level and
maintainer level for onboard exploitation and maintenance along with
tools and test kit
(d) Factory Training for three engineers from Myanmar side will be sent
to Ukraine for control systems of main diesel engines and gas turbines
for 10 days including traveling days. Training courses designed for the
Myanmar Navy operational and maintenance staff should be provided
(e) Onboard training program will be organized to train the ship crew on
system operation, up keeping, maintenance and troubleshooting of
Diesel & Gas Turbine Aggregate
(f) Training courseware will include the documents and course ware
defined below;
- Syllabus of training
- Training Manuals
- Training aids
53. Each propeller shaft shall be 3 meters apart from centerline of the main
hull. The lowest tip of the propeller blade shall not exceed 1.3 meter from the
base line of the hull.

54. The enclosure for Gas Turbines shall be provided by the supplier on the
basis of the acceptable level of noise and thermal propagation.

55. To start the proper collaboration between the two parties, all necessary
documents, construction drawings especially for the engine rooms and related
equipment arrangement drawings shall be provided by Myanmar Navy after
signing the contract.

The statement of this technical agreement shall be taken into account during the
signing of the Contract of propulsion system.

Commander-In-Chief (Army), on 15 February 2018 for the supply of
Equipment (hereinafter called the Contract ) and in the event the Supplier
becomes liable to pay you any sum or sums of money due to the failure of the
Supplier to execute and perform any terms and conditions and obligations
including delay in delivery as provided for in the Contract, we hereby
irrevocably and unconditionally guarantee to pay you within (45) working days
the amount of sum or sum money claimed by you, on your first written demand
accompanied by your written declaration that the Supplier has failed to execute
and perform any of the obligations under the terms and conditions of the
aforesaid Contract.
Our liability hereunder is not to exceed in the aggregate the sum of US$
5,730,000.00 (United States Dollar Five Million Seven Hundred and Thirty
Thousand) being the ten percent (10%) of the Contract price. This Performance
Bond issued in the form of Bank Guarantee by us, on the account the Supplier,
shall come into force on the date of issue and shall remain valid till (6) months
from the date of issue.
