Scope of the Work:

1). Terms and Conditions:

i) The Bidder shall comply with all the legal requirements for obtaining License under Contract
Labour (Regulations and Abolition) Act, 1970 at his own part and cost.

ii) The Bidder shall maintain all statutory registers under the Law and shall produce the same, on
demand, to the Uttar Pradesh Medical Supply Corporation Ltd. Department or any other
authority under Law.

iii) It is the responsibility of the Bidder to provide manpower for the above listed work. The
manpower has to be segregated, based on their years of experience.

iv) The responsibility of effective and efficient delivery would rest with the Bidder. Thus, the
education qualifications and experience of the manpower deployed would be left to the
subjugation of the Bidder, subject to them meeting the minimum qualifying criteria.

v) The Bidder shall provide the documentary proof for the qualifications and experience of the
manpower deployed by them. The bio-data, qualification and experience of the said manpower
should be certified by the Bidder.

vi) The police verification, character and antecedent's verification of the employees is the whole
and sole responsibility of the Bidder..

vii) The working hours and days of the outsourced employees will be as per the existing applicable
rules of the respective Central/State Government organizations. However, they have to work
on holidays, if necessary and required based on demand of work.

viii) In an event of deployed personnel availing leave, and if required by Uttar Pradesh Medical
Supply Corporation Ltd. suitable substitute(s) shall be provided by Bidder as per mutual
understanding with Uttar Pradesh Medical Supply Corporation Ltd..

ix) Consequent to poor performance of deployed manpower, Bidder shall immediately replace the
deployed manpower thereby maintaining service levels and continuity.

x) Working shifts (includes day and night shift) if any, and daily working hours shall be mutually
agreed upon between Uttar Pradesh Medical Supply Corporation Ltd. and seller prior to
deployment of manpower.

xi) The attendance of the employees will be entered in the register provided by the Bidder and/or
in the Aadhaar based Biometric attendance system at the Uttar Pradesh Medical Supply
Corporation Ltd.'s premises. The persons deployed should be polite, cordial and efficient while
handling the assigned work and their actions should promote good will and enhance the image
of the Corporation or office concerned. The Bidder shall be responsible for any act of
indiscipline on the part of the persons deployed.

xii) The persons deployed shall, during the course of their work be privy to certain qualified
documents and information which they are not supposed to divulge to third parties. In view of

this, they shall be required to take oath of confidentiality and breach of this condition shall
make the Bidder as well as the person deployed liable for penal action under the applicable
laws besides, action for breach of contract.

xiii) Beyond specified leaves as applicable, leave will be treated as leave without pay (LWP) for
which necessary deduction will be made by the Uttar Pradesh Medical Supply Corporation
Ltd. in the billed amount if no replacement is provided.

xiv) The Bidder would be required to provide sufficient and qualified manpower, capable of
supporting the functioning of the project/department in a manner desired by the Uttar Pradesh
Medical Supply Corporation Ltd..

xv) The Bidder should have a legal status, whether it will be a registered Proprietorship
Firm/Partnership Firm/Company under Companies Act having legal entity having all statutory
licenses/registration for carrying out such activity as well has had registration for income tax.

xvi) The Bidder shall ensure that all the relevant licenses / registrations / permissions which may be
required for providing the services are valid during the entire period of the contract; failing so
shall attract the appropriate penalties. The documents relevant in this regard shall be provided
by the Bidder to the Uttar Pradesh Medical Supply Corporation Ltd. on demand.

xvii) No medical facilities or reimbursement or any sort of medical claims thereof in respect of
employees provided by the Bidder will be entertained by the Uttar Pradesh Medical Supply
Corporation Ltd..

xviii) The Uttar Pradesh Medical Supply Corporation Ltd. will in no way be responsible for the
violation of any rules and/or infringement of any other laws from the time being in force,
either by the employee or by the Bidder. The employees as well as the Bidder shall comply
with the relevant rules and regulations applicable at present and as may be enforced from time
to time, for which the Uttar Pradesh Medical Supply Corporation Ltd.'s department would not
be liable or responsible in any manner. The onus of compliance to all the applicable
laws/acts/rules shall only rest with the Bidder.

xix) The Bidder shall be required to keep the Uttar Pradesh Medical Supply Corporation Ltd.
updated about the change of address, change of the Management etc. from time to time.

xx) The Uttar Pradesh Medical Supply Corporation Ltd. shall have the right, within reason, to have
any personnel removed who is considered to be undesirable with proper reasoning or
otherwise and similarly the Bidder reserves the right to remove any personnel with prior
intimation and approval from the Uttar Pradesh Medical Supply Corporation Ltd.,
emergencies, exempted.

xxi) The Bidder shall not be allowed to transfer, assign, pledge or subcontract its rights and
liabilities under this Agreement to any other agency or organization by whatever name be
called without the prior written consent of the Authority.

xxii) The Bidder shall nominate a coordinator who shall be responsible for regular interaction with
the Uttar Pradesh Medical Supply Corporation Ltd. Department so that optimal services of the
persons deployed could be availed without any disruption.

xxiii) For all intents and purposes, the Bidder shall be the "Employer" within the meaning of
different Rules & Acts in respect of manpower so deployed. The persons deployed by the
Bidder shall not have any claim whatsoever like employer and employee relationship against
the Uttar Pradesh Medical Supply Corporation Ltd. Department.

xxiv) The Uttar Pradesh Medical Supply Corporation Ltd. Department shall not be responsible for
any financial loss or any injury to any person deployed by the Bidder in the course of their
performing the functions/duties, or for payment towards any compensation.

xxv) The persons deployed by the Bidder shall not claim nor shall be entitled to pay, perks and
other facilities admissible to regular / confirmed employees during the currency or after expiry
of the Agreement.

xxvi) The Bidder Agency shall also deposit EPF and ESI of both employer and employee share
within 15th day of the month of payment for the support staff engaged from their account and
prefer the bill to the Uttar Pradesh Medical Supply Corporation Ltd. Department for
reimbursement of employer share only.

xxvii) Employers share of EPF & ESI actually deposited to the respective authorities with proof of
deposit of both employee and employer share by the end of the second week of the succeeding
month. Employee share of EPF and ESI contribution shall be recovered from the gross
remuneration & balance amount is to be released to the persons employed.

xxviii) The Service Providing Agency shall furnish statement of amount paid for the month to the
persons deployed along with cheque number and date and Bank account from which the
payment has been made. Service Providing agency is to furnish copy of bank statement in
support of amount paid as and when required by Uttar Pradesh Medical Supply Corporation
Ltd. Departments.

xxix) The Bidder shall be responsible for timely payment of take-home remuneration to the
supporting staff and deposit of EPF and ESI (both employee and employer share), failing
which a penalty will be deducted.

xxx) The Bidder shall submit before the Uttar Pradesh Medical Supply Corporation Ltd.
Department, one copy of the return within 7 days from the date of filing of monthly /
quarterly / half yearly / annual return if any before the EPF and ESI authorities.

xxxi) The payment to the Bidder will be made on monthly and quarterly basis, depending upon the
actual duration of the services rendered as per order.

xxxii) Any violation of contractual obligations by the Bidder/employee shall attract penalties as
mentioned against each obligation. The Bidder confirms and agrees that penalty whenever
becomes payable, the same shall be deducted by the user department from the payments due to
the Bidder.

xxxiii) TA/DA shall be payable directly by the Uttar Pradesh Medical Supply Corporation Ltd. on
production of travel documents in original and approval of appropriate authority of the Uttar
Pradesh Medical Supply Corporation Ltd. for undertaking such travel for the
project/assignment.

xxxiv) All applicable taxes and duties except GST, shall be payable by the Bidder and the Uttar
Pradesh Medical Supply Corporation Ltd. shall not entertain any claims whatsoever with
respect to the same. The Bidder shall pay the GST and the price quoted is inclusive.

xxxv)The Bidder shall ensure payment regularly for the deployed manpower to their entitlements
like monthly salaries/wages etc. and submit the documentary proof of the salary paid as per the
terms and conditions of the contract. Bill for the subsequent month will be paid only after
submission of certificate of disbursement of wages of previous month.

xxxvi) In case the submission of monthly bills is delayed by the Bidder beyond 15 days from the
last day of the month in which the services have been provided, the entire liability towards
payment of interest/penalty to the tax authorities would be borne by the respective Bidder.

xxxvii) Escalation towards payment of salaries / wages of the employees shall not be accepted on
any ground during the contract period.

xxxviii) The Breakup of the components to be provided to the Uttar Pradesh Medical Supply
Corporation Ltd. Department. The Uttar Pradesh Medical Supply Corporation Ltd. Department
will provide Minimum Wage as per the Notification applicable in their area for the category of
Resource they want to procure.

xxxix) The Total Price includes Minimum Wage, ESI, EPF, Admin Charge and GST on the
mentioned components. Bidder will thus quote over and above the following components as a
Service Charge and Special Allowance if any:

xl) Minimum Wage + ESI + EPF + PF Admin Charges + GST (on the Minimum Wage, ESI and
EPF component), which is provided by the Uttar Pradesh Medical Supply Corporation Ltd.
Department and the rest (GST on the component provided by the Uttar Pradesh Medical
Supply Corporation Ltd.) is added by the platform.

xli) In case of any changes in the minimum wages as per the Applicable Laws during the Contract
period, Uttar Pradesh Medical Supply Corporation Ltd. shall pay the Bidder the difference in
wage from the amount mentioned in the contract on pro rata basis.

xlii) The cost of the Contract shall be valid for initial contract period. No price escalation, other
than minimum wages revision, shall be entertained by the Uttar Pradesh Medical Supply
Corporation Ltd. during the period.
xliii) In case of any loss/ theft of Uttar Pradesh Medical Supply Corporation Ltd. property or any
patient property, the representatives of both parties will consider the circumstances leading to
the loss and if the responsibility is fixed on the Bidder, the institute will make good the losses
by deducting the cost of loss from the next month’s bill or performance security deposit in one
if amount is small or more instalments.

xliv) That it will be the responsibility of the Uttar Pradesh Medical Supply Corporation Ltd. to
lodge FIR with the police as and when such need arises/losses reported. The Bidder will
provide all necessary help in lodging the FIR

xlv) Here it is essential to note that while considering the attendance and availability of the staff,
their working hours will also be considered as per need of the Uttar Pradesh Medical Supply

Corporation Ltd. for evaluation and non-compliance with the mentioned hours of work would
be penalized. 

xlvi) The Bidder shall deploy one executive staff at Uttar Pradesh Medical Supply Corporation Ltd.
HQ place for the coordination of daily attendance maintaining, monthly bill coordination and
all statutory compliances of the outsourced employees. The Bidder will bear the salary cost of
executive staff as well as provide a computer & printer to the executive staff. Uttar Pradesh
Medical Supply Corporation Ltd. will provide space for work to the executive staff deployed
by the Bidder.

xlvii) The Bidder will provide uniform to staffs and Bidder will not deduct any amount from their
salaries

xlviii) Bidder will always follow and implement all the Government’s Orders issued on time to
time basis including UP State reservation rule for SC,ST,OBC and EWS category staff

2). Breach of Contract

The following conditions shall specify breach of contract and Uttar Pradesh Medical Supply
Corporation Ltd. shall have right to immediately terminate the contract.
1) Cumulative penalties reach 10% of the contract value.
2) Repeated breach of SLAs (Service Level Agreement) beyond 3 instances in the entire
contractual period shall be treated as breach of contract.
3) Breach of SLA (Service Level Agreement) is defined as performance lower than defined lower
performance in this agreement.
4) In case of major default on the part of the Bidder, the Uttar Pradesh Medical Supply
Corporation Ltd. may provide a 24-hour written notice terminating the contract to the Bidder.
3). Penalties

Penalties for a specific month / period shall be capped at 10% of bill generated for that particular
month / period. If any SLA (Service Level Agreement) is breached beyond 3 instances in any billing
period then same shall be treated as a breach of contract and Uttar Pradesh Medical Supply
Corporation Ltd. will have full rights to terminate the contract after giving a notice of 30 days

i) Penalties for Non-Compliance to Service Level Agreement

Penalties will be levied on the Bidder for the violation of service level agreement of the contract as
mentioned below:

4 If the employee is absent or takes leave Substitute within 2 days failing which, @ 1% per
more than 2 days without informing or day of the total value (excluding service tax etc.) of
taking prior approval. the absent resources up to 15 days.
Beyond 15 days, cancellation of the contract with
cancellation charges @ 10% of the order value
5 If the employee is found responsible for Immediate replacement within 2 days/
adopting illegal and foul methods or cancellation of the contract with cancellation
exercising any corrupt practice in charges @ 10%, as decided by the Uttar Pradesh
collusion with any third party or Medical Supply Corporation Ltd. depending on
officials at the workplace the gravity of the act.
6 Delay in payments of take-home @ Rs 100 per day for each default
remuneration by the Service Provider
and deposit of EPF and ESI (both
employee and employer share)

4) Performance Security:-
i.       Submit to Uttar Pradesh Medical Supply Corporation Ltd. within 07 days from
the issuance of Letter of Award, Performance Security in form of an irrevocable
bank guarantee for a sum equivalent 3% of tender bid value It shall be valid and
remain in force and effect up till 180 days after expiry of the Term or Extended
Term, if any
ii.         Failure of the Bidder / Supplier to submit the above-mentioned Performance
Security shall constitute sufficient grounds for the annulment of the contract and
forfeiture of the Bid Security.
iii.        The Performance Security as mentioned in the sub-para (i) above shall be releases
on satisfactory completion of all rate contractual obligations (liabilities) + 180
days.

5). Payment Terms


i) The payment to the service provider shall be made as per the verified attendances
of section incharges
ii) The bidder shall raise bill with following documents by the 16th of every month.
a.      Bill
b.      Verified Monthly Biometric/Register Attendance reports of all employees  
c.      Salary Register (Current Bill Month)
d.      Overtime Register (if any) (Current Bill Month)
e.      Separate PF’s ECR   (Current Bill Month) of the billing month (TRN Challans
with employee’s wise Provident Fund contribution statement issued by official
website of EMPLOYEES' PROVIDENT FUND ORGANISATION )
working in Uttar Pradesh Medical Supply Corporation Ltd. units

f.       ESI’s ECR Challan  (Current Bill Month) with employee’s wise ESI
contribution 
iii) Disputed amount on which clarification is required may be held up till the time matter
is sorted out. However, rest amount shall be released by due date.
vi) Bidder shall not mix-up the statutory payments of Uttar Pradesh Medical Supply
Corporation Ltd. with another Organization so that there is complete clarity about
the Uttar Pradesh Medical Supply Corporation Ltd. to which the statutory payments
relate. If the Bidder fails to submit the proof satisfactorily, further release of statutory
payments shall be withheld till the matter is clarified

vii)  Bill should be submitted to the Uttar Pradesh Medical Supply Corporation Ltd.
before 5.00 pm. Otherwise bill will be deemed to be submitted on the next working
day.
6). Requirement of personnel:
In order to take proper and adequate care of Manpower Service arrangements as mentioned above,
the Bidder shall employ persons as per the following job specification with priority given to an
employees those are continuously working for Uttar Pradesh Medical Supply Corporation Ltd. through
any Vendor.

7). Duty Hours & leaves:

1. The Bidder shall be required to depute personnel for round the clock duties as per the Uttar
Pradesh Medical Supply Corporation Ltd.’s requirement, which shall be communicated to
the Bidder from time to time in writing.

2. That the personnel supplied to Uttar Pradesh Medical Supply Corporation Ltd. will be
entitled for weekly rest and leave rules of the Uttar Pradesh Medical Supply Corporation Ltd.
applicable on time to time basis.

8). Rate of payment:

In consideration of the services rendered by the Bidder in the manner stated hereinabove, the Uttar
Pradesh Medical Supply Corporation Ltd. shall be entitled to the following payment ( inclusive of
ESI PF, Bonus, Service Charges and Gratuity as applicable on date. In case of any fresh liabilities
levied by the Government in future it will have to be paid by the Bidder) in respect of the Security
personnel provided by it under this agreement:-

NB:

1. These rates are based on the latest rates of Minimum Wages for 8 hrs vide the Ofiice of Labour
Commissioner (Government of Uttar Pradesh) order subject to increase in Minimum Wages by
the Govt. of Uttar Pradesh from time to time.

2. That the service charges @ 4.5% of the Basic Salary of CTC. The purpose of service charges is
for all administrative expenses (i.e, stationary expenses, executive staff for coordination,
training cost, Uniform Cost for staffs.

3. Bidder will not quote below 4.5% for the services charges otherwise bidder will be disqualified.

4. That the GST being, statutory requirement @ 18% of the total amount of the bill will be

charged as GST to be deposited with the Central Excise Department as per present policy. Any
change in rates will be payable from the date effective.

5. This agreement shall be valid for a period of one year from the date of commencement may be
renewed for a further period of one year on the same terms and conditions mutually agreed to
by both parties.

9). Assignments and / or Sub-letting:

a) This agreement shall be on a Principal basis and cannot be transferred or assigned to any one,
by the Uttar Pradesh Medical Supply Corporation Ltd., without the written consent of the
Uttar Pradesh Medical Supply Corporation Ltd.. Personnel employed shall be the sole
responsibility and liability of the Bidder and they will be employees of the Bidder. Hence all
expenses, statutory or otherwise, in connection with their employment shall be borne by the
Bidder on receipt of the same from the Uttar Pradesh Medical Supply Corporation Ltd..

10). Uniforms/ Liveries:

All security personnel shall be outfitted by the Bidder in Smart uniform and protective clothing. The
uniform shall comprise shirts, Pants, boots web belts, lanyards or safari suits and Jerseys/warm jackets
in the winter.

11). Secrecy:

a) The Bidder shall comply with all the instructions issued by the Uttar Pradesh Medical
Supply Corporation Ltd. from time to time and any system applied and records kept thereof,
shall be duly approved by the Uttar Pradesh Medical Supply Corporation Ltd. in writing.

b) The Bidder shall maintain absolute secrecy with regard to all matters relating to the Security of
the Uttar Pradesh Medical Supply Corporation Ltd. and also of other matters that may come
to its knowledge by virtue of this assignment.

12). Termination:

In the event of the performance of the Bidder being found to be unsatisfactory or in any manner
undesirable, the Uttar Pradesh Medical Supply Corporation Ltd. shall be at liberty to terminate the
Agreement with one month’s notice in writing or as per above mentioned breach of Contract/Penalties
Clauses . Similary the Bidder shall have the right to terminate the Contract by giving one months
notice in writing.

13). Resolution of Disputes

1. If dispute or difference of any kind shall arise between the UPMSCL and the successful bidder
in connection with or relating to the contract against such EOI, the parties shall make every
effort to resolve the same amicable by mutual consultations.

2. If, after thirty (30) days from the commencement of such informal negotiations, the UPMSCL
and successful bidder have been unable to resolve amicably a Contract dispute, either the

UPMSCL or the successful bidder may give notice to the other party of its intension to
commence arbitration, as provided by the applicable arbitration procedure and shall be as per
the Arbitration and Conciliation Act, 1996.
3. In the case of a dispute or difference arising between the UPMSCL and a successful bidder
relating to any matter arising out of or connected with the contract, such dispute or difference
shall be referred to a sole arbitrator as mutually decided by the parties. The fees, if any, for the
arbitration including arbitrator fees, if required to be paid before the award is made and
published, shall be borne equally by both parties. The Arbitrator’s award shall be final and
conclusive.
4. Seat of Arbitration: The seat of arbitration shall be at Lucknow, Uttar Pradesh, India. Courts of
Lucknow shall have exclusive jurisdiction.
5. The language of Arbitration shall be English Language and shall be governed, construed in
accordance with applicable Indian Laws.
