SERVICE LEVEL AGREEMENT

FOR
RECRUITMENT PLACEMENT SERVICES

BETWEEN

RELIEF HOSPITAL ( The Relief - Advanced Bone & Joint Clinic)


AND

AUGUSTA CONSULTING

CONTRACT NO: RH / SLA - PP/ 17062021


SERVICE AGREEMENT

This agreement (“Agreement”) is made on the 17th Day of June,2021, between Augusta Consulting
having its works at A-14, Avnee Avenue,Maniasa,Maninagar- Ahmedabad -380008 (hereinafter called
“Agency”)
and
Relief Hospital -The Relief - Advanced Bone & Joint Clinic, having its Clinic Flat No. 001, Building No. F8
Khodaram Baug Near Don Bosco School, Boisar, Thane India ( hereinafter called “Hospital / Clinic”)

WHEREAS
Hospital/Clinic is engaged in providing services in Orthopedics.

Agency represents for Hospital/Clinic and has the necessary infrastructure, resources, and skills to
identify suitable personnel, as required Hospital/Clinic from time to time. Agency wishes to recruit
personnel for Hospital/Clinic .

NOW IT IS HEREBY AGREED AS FOLLOWS


Agency shall provide candidates for selection to Hospital/Clinic on mutually agreed terms and
conditions as follows:

1. Selection Procedure
Agency would receive detailed requirements/search brief from Hospital/ Clini. Agency would be
responsible for short-listing suitable and appropriate candidate(s) for Hospital/Clinic specified in the
requirements/search brief. The methodology for search process will be as specified in Annexure A.

Agency will ensure that it has screened and discussed with the candidate(s) certain details as specified
by Hospital/Clinic in the requirements/search brief prior to sending their profiles.

The candidate(s) referred by Agency will undergo Hospital/Clinic selection procedure consisting of tests
and interviews. Candidate(s) who have been selected through the selection procedure may be offered
employment by Hospital/Clinic .

2. Professional Service Fee


a. Hospital/Clinic shall pay to Agency Professional Service Fee as follows
 6.00 % of the gross total emoluments (total annual cost to Hospital/Clinic whether paid
/ to be paid, i.e. CTC of the selected candidate(s)

 The ‘Annual CTC’ mentioned above shall comprise of all components of salary
(monthly/yearly) being offered to the candidate at his joining time, namely: Basic Pay, HRA,
LTA, Medical reimbursement, Telephone reimbursement, Vehicle Allowance, Educational
Allowance, Conveyance Allowance, Professional Allowance, and such other allowances and
perquisites payable in cash to the employee and shall include Employer’s Contribution to
statutory funds like ESI, PF, Gratuity.
o The above Professional Service Fee is payable only if Hospital/Clinic offers employment
to selected candidate(s) immediately or within a period of six (6) months from the date
of the candidate being referred to Hospital/Clinic by Agency as specified in clause 5
below.
o GST as applicable shall be charged extra on the Professional Service Fee by Agency.

b. Hospital/Clinic will inform Agency regarding the entity which the selected candidate has joined
and Agency shall raise invoice on such entity. Agency shall submit invoices after the candidate
joins Hospital/Clinic as the case may be. The invoices will be paid once candidate completes
Sixty (60) days from the DOJ after adding tax at source (TDS) as may be applicable thereon,
under the Indian Income Tax Act and the rules made there under (as amended from time to
time) and Agency shall be provided with the relevant tax deduction certificates on yearly basis
on completion of financial year.

3. Expenses
All expenses incurred by Agency in course of identifying, processing and selection would be borne by
Agency.

4. Replacement
In the event of a selected candidate leaving/resigning/ having been fired after joining due to
performance or any issue within Fifteen (15 ) days of joining Hospital/Clinic, then that case is not
counted as hiring from consultancy/Agency.

5. `Deferred Hiring Clause


The Professional Service Fee would also be payable to Agency in the event of Hospital/Clinic not taking
the selected candidate immediately, but offering employment within a period of six (6) months from the
date of the candidate being referred to Hospital/Clinic .

6. Non-poach Clause
During the tenure of this Agreement and for a period of 12 months after its expiry or termination,
Agency will not poach or headhunt any employees of Hospital/Clinic and/or its subsidiaries. During the
tenure of this Agreement and for a period of 12 months after its expiry or termination, Agency shall not
solicit the employment of, employ, or contract with, directly or indirectly, any current or former
employee of Hospital/Clinic and/or its subsidiaries.

7. Change in terms of contract


Any change in the terms and conditions of this Agreement, needs to be mutually agreed upon and
thereof confirmed in writing.
8. Term
This agreement will be initially valid for a period commencing from the date written above to 17th
June,2021 and shall automatically renew thereafter from year to year unless terminated in accordance
with this Agreement.

9. Termination Clause
a. Either party may terminate this Agreement due to material breach of the terms hereof by the
other party. Such termination will be effective only if the party gives to the defaulting party, a
written notice stating the breach complained of, and the defaulting party fails to remedy such
breach within a period of fifteen days from the date of receipt of such notice.
b. Either party, without assigning any cause, may terminate this Agreement by giving to the other
one months’ notice in writing. All accrued charges to Agency will survive termination of this
Agreement.

10. The relationship of Hospital/Clinic and Agency is that of independent contractors and neither
party is or shall represent itself as an employee of, agent for, or partner or joint venturer with, the
other.
11. Agency undertakes not to use or permit its personnel, agents, employees and representatives to
use the name, logo, trademark, service mark or any other mark of representation of Hospital/Clinic in
any sales or marketing related publications or advertisements (e.g client list of Agency) or use such
intellectual property in any manner except with the prior written approval of Hospital/Clinic .
12. This Agreement would be governed by the laws of India. Any dispute or differences arise
between the parties in relation to this agreement, then the parties shall promptly and in good faith
negotiate with a view to amicably settle the dispute, which settlement shall be valid only if signed by
both parties. In the event the dispute is not resolved in the above manner, the dispute shall be referred
to binding arbitration under the Arbitration and Conciliation Act 1996 as amended and restated from
time to time and the decision of the arbitrator shall be binding on the parties. Each party shall be
responsible for their Attorneys’ fees associated with the arbitration. The venue for such arbitration will
be Pune.
This Agreement embodies the entire agreement and undertaking between the parties as to the subject
matter and supersedes all other agreements, undertakings, proposals, etc. between the parties,
whether oral or written. In witness whereof, the parties hereto have signed two (2) copies in English of
this Agreement as of the dates written above and below.

Annexure A

METHODOLOGY

 Hospital/Clinic to give Agency the following information


 Client’s background (Hospital/Clinic Profile), including Group information, Divisions, Group and
related turnover, Staff Strength.
 Position Profile including reporting Hierarchy and Span of Control for the prospective candidate.
 Candidate Profile covering, qualification, experience and other specifications
 Remuneration Offered including other Benefits
 Identify the candidates from the database and have the preliminary meeting with them.
 Shortlist 3-5 candidates depending upon the position.
 Submit the report on shortlisted candidates.
 Assist the Client in interview process.
 Once the candidate is shortlisted and offered the position, follow up on joining.
 Once candidate joins, submit the fee note.
