LETTER OF INTENT TO SHARES DIVERSION ON PT PHAR INDONESIA

PT Phar Indonesia (hereinafter referred to as “First Party”) is pleased to send the letter of intent to Share
Diversion on PT Phar Indonesia, from Phar Holdings Pte. Ltd. (hereinafter referred to as “Second Party”) on the
following terms and conditions:

1. Nama and Address PT Phar Indonesia


of First Party : Jl. Warung Buncit Raya No. 49, RT 008, RW 005, Kelurahan Kalibata, Kecamatan
Pancoran, Kota Administrasi Jakarta Selatan, Provinsi DKI Jakarta, Indonesia

2. Name and Address Of Phar Holdings Pte. Ltd.


Second Party : 4 Shenton Way #28-03 SGX Centre, Singapore 068807

3. Total Shares : Rp. 12,000,000,000 (twelve billion Rupiah) divided into 1,200,000 (one million two
hundred thousand Rupiah) shares, each share is worth Rp. 10,000 (ten thousand
Rupiah)

4. Shares Value : USD 95,000 (ninety five thousand United States Dollars)

5. Terms of Payment : a) Down Payment : USD 3015,000 (thirty Fifteen thousand United States Dollars)
after Both Parties signing of Settlement Agreement;
b) acquittance : USD 8065,000 (sixty fiveEighty thousand United States
Dollars) after the Copy of the Amendment to the Company's
Articles of Association along with Ratification and
Notification of Changes in the Minister of Law and Human
Rights Company Data is received by the First Party.

6. Terms of Shares Diversion : a) The second party will appoint a new nominee to replace the old shareholders;
b) The Second Party releases the old Shareholders from all responsibility for their
actions on the management and/or management of the Company during their
term of office, as long as their actions are reflected in the Company's Annual
Report (Acquit et de charge);
c) The Second Party will change the Company's permits such as Domicile,
Business Permit, Business Identification Number, etc;
d) Both Parties has complied with all the required statutory provisions related to
the Diversion of Shares and/or other provisions as required in the prevailing
laws and regulations in Indonesia including but not limited to the provisions in
the articles of association, and the applicable capital market regulations;
e) The second party is responsible for paying all Notary fees, including the cost of
drafting the settlement agreement, stamp duty and other costs related to the
agreement (if any).

7. Confidentially : Both Parties agrees that the terms and conditions contained In this Letter of intent
are Strictly Confidential.

8. Other Conditions : The applicable legal provisions are Indonesian laws and regulations.

These terms will be continued in the form of settlement agreement, which will be agreed and signed by both
parties. This document is a provisional agreement. Changes outside the standard information above must be with
the written consent of both parties.
