University Program Membership Agreement

1. Object

This document describes the terms and conditions for the EMTP University Program
membership. The EMTP University Program gives access to universities to EMTP
licenses for research and teaching purposes only.

3. Definitions

In this Agreement, the following terms will be defined as indicated in this article:
3.1. EMTP means the computer program (including EMTPWorks and ScopeView) known as
the Electromagnetic Transient Program (www.emtp.com) and associated
documentations and modules.
3.2. Software: means EMTP software, including all its modules.
3.3. Agreement: Partnership program agreement between PGSTech and University in
which PGSTech provides 50 concurrent EMTP licenses to University for research and
education. Those versions will be time limited versions (one year version) and will be
renewed as long as this partnership is valid.

4. Preamble

4.1. EMTP Alliance is the consortium composed with PGSTech and POWERSYS companies,
which has the exclusive marketing and distribution rights of the simulation software
EMTP.

5. Terms and Conditions

5.1. University shall provide and maintain up to date contact information for the Primary
Point Of Contact for the Agreement.
5.2. The Software shall not be installed or used on a computer or a laptop which does not
belong to the University, without the express prior written authorization of PGSTech.
This concerns in particular personal computers and personal laptops of University
professors, staff members and students.
5.3. University shall not use the Software for commercial activities. Commercial activity
means any activity or service that produces income for University, including any
activity or service where a fee is required or requested.
5.4. University acknowledges and accepts the EMTP end-user license agreement, provided
within the Software.
5.5. University shall not resell, rent, transfer or export the Software and the Software
licenses, without the express prior written authorization of PGSTech.
5.6. University shall not during the term of this Agreement or at any time thereafter,
directly or indirectly, copy, reproduce, manufacture, reverse engineer, disassemble, or
reverse compile the Software, or disclose or distribute the design, structure, or
operation of Software or part thereof, to any person, corporation or other entity.
PGSTech shall have and retain all rights, title and interest in and to all intellectual
property rights relating to the Software.
5.7. Shall a University member publish a technical paper, a scientific article, any other
publications including results from simulations with the Software, University shall
mention EMTP was utilized.
5.8. Shall a University member publish or give a public presentation comparing the EMTP
or its performance with any other simulation software, University shall present the
work to PGSTech prior to the submission and with a reasonable delay so PGSTech may
provide feedbacks.
5.9. University shall not change or delete the mention of royalties, commercial names,
logos or trademarks as well as other rights of intellectual property.
5.10. University shall not pass on any information about the Software to a competitor
distributor of behavioural power system simulation software.
5.11. University allows PGSTech to communicate on the use University has and makes of
EMTP in the field of their teaching and research work.

5.12. University allows PGSTech to communicate on the existence of this partnership with
Universities.
5.13. University agrees that this agreement cannot be assigned or transferred.

6. Effect and duration

6.1. The Agreement comes into effect as soon as it is signed by both parties and is
concluded for an initial term of 1 year.
6.2. The Agreement shall renew automatically for an additional period of twelve months.

7. Termination.

7.1. Each party may terminate this Agreement by notifying so to the other party by means
of a registered letter sent at least one (1) month before the end of its term. This
termination shall not free the party from honouring their obligations before the end
of the term.
7.2. In the case of one of the parties not honouring their obligations, as described in the
Terms and Conditions above, the other party shall be fully entitled to end this
Agreement at any moment and by all means (registered letter, fax, letter, email) thirty
(30) days after notice has been given and the problem not dealt with.
7.3. In the case of termination of this Agreement for whatsoever cause, University shall
return to PGSTech all material, Software copies and other property of PGSTech they
still have in their possession (free concurrent education versions) other than those
used by University as work tool and paid for.
