The Participant 

hereby explicitly and unambiguously consents to the collection, use and


transfer, in electronic or other form, of the Participant’s personal data as described in this
Agreement and any other grant materials by and among, as applicable, the Company and
any affiliate for the exclusive purpose of implementing, administering and managing the
Participant’s participation in the Plan. The Participant understands that refusal or withdrawal
of consent may affect the Participant’s ability to participate in the Plan. The Participant
understands that the Company and its affiliates may hold certain personal information
about the Participant, including, but not limited to, the Participant’s name, home address
and telephone number, date of birth, social insurance number or other identification
number, salary, nationality, job title, any shares of Common Stock or directorships held in
the Company, details of all awards or any other entitlement to shares of Common Stock
awarded, canceled, exercised, vested, unvested or outstanding in the Participant’s favor, for
the exclusive purpose of implementing, administering and managing the Plan (“Personal
Data”). The Participant understands that Personal Data may be transferred to any Subsidiary
or affiliate or third parties as may be selected by the Company to assist the Company with
the implementation, administration and management of the Plan. The Participant
understands that the recipients of Personal Data may be located in the United States or
elsewhere, and that the recipient’s country may have different data privacy laws and
protections than the Participant’s country.

Data Privacy. (a) Pursuant to applicable personal data protection laws, the collection, processing and
transfer of the Employee’s personal Data is necessary for the Company’s administration of the Program
and the Employee’s participation in the Program. The Employee’s denial and/or objection to the
collection, processing and transfer of personal Data may affect his or her ability to participate in the
Program. As such (where required under applicable law), the Employee:
