BOOKKEEPING AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:


 
This Bookkeeping Agreement (hereinafter referred to as the “Agreement”) is made and executed
on this 1st day of January, 2022 in Plaridel, Bulacan by and between:

CRISOSTOMO L. IBARRA, Filipino, of legal age, married, and with address at


123 Rizal St., Brgy. Poblacion, Plaridel, Bulacan, hereinafter referred to as
“BOOKKEEPER”;

BASILIO N. MANUEL, Filipino, of legal age, owner and proprietor of


CANDYLAND STORE, and with address at Sitio Dulo, Camangyanan, Sta.
Maria, Bulacan, hereinafter referred to as “CLIENT”;

WITNESSETH:

WHEREAS, the Client is in need of bookkeeping services and seeks to hire a bookkeeper to
perform such services; and

WHEREAS, the Bookkeeper agrees to perform such services for a fee;

NOW, THEREFORE, in consideration of the promises and conditions contained herein, the
Parties agree as follows:

1. Term. The Term shall commence upon the Effective Date and shall continue for a period
of _____ years. Upon the expiration of the Term, the Agreement shall continue for _____
renewal terms of _____ years each unless either Party notifies the other Party, in writing,
of its intention not to renew _____ days prior to the expiration of the current Term.

2. Services. The Client requests and the Bookkeeper agrees to perform the following
specific Services (the “Services”):

3. Rate. The Client will pay the Bookkeeper a fixed rate of ___________ (Php
__________) for the Services. Payment shall be made upon execution of this Agreement
and must be paid via check/bank transfer. By signing this Agreement, the Bookkeeper
acknowledges receipt of payment in full from the Client.

4. Standard of Performance. The Bookkeeper acknowledges and represents that the


Bookkeeper has the necessary training, experience, and credentials required to perform
the Services. The Bookkeeper agrees to follow professional standards and expectations
when providing the Services. The Bookkeeper also agrees to follow all applicable laws.

5. Confidentiality & Intellectual Property. During the course of this Agreement, it may
be necessary for the Client to share proprietary information, including trade secrets,
industry knowledge, and other confidential information to the Bookkeeper in order for
the Bookkeeper to complete the Services. The Bookkeeper will not share any of this
proprietary information at any time. The Bookkeeper also will not use any of this
proprietary information for the Bookkeeper personal benefit at any time. The Bookkeeper
acknowledges and agrees that all copyrights, trademarks, and service marks and rights in
the name of or licensed to the Client shall be and remain the sole and complete property

of the Client and the Bookkeeper shall not acquire or claim any right, title, or interest of
any nature in any such copyright, trademark, or service mark. This section remains in full
force and effect even after termination of the Agreement by its natural termination or the
early termination by either party.

6. Termination. This Agreement may be terminated as follows:

6.1. At any time by either party upon written notice to the other party;
6.2. By the Client due to the Bookkeeper’s breach of the Agreement, loss of trust and
confidence, or abuse of authority;
6.3. By the Bookkeeper due to the Client’s breach of the Agreement, insolvency,
bankruptcy, abuse of authority, or liquidation.

Upon termination, the Bookkeeper shall return all of the Client’s financial documents to
the Client at its earliest convenience, but in no event beyond thirty (30) days after the
date of termination.

7. Additional Provisions.

7.1 Entire Agreement. Both Parties acknowledge that this Agreement constitute the
entire agreement between them and shall completely supersede all other prior
understandings, previous communications or contracts, oral or written, between
the Parties relating to the subject matter hereof.

7.2 Binding Effect. This Agreement shall be binding upon, and inure to the benefit
of, the successors, executors, heirs, representatives, administrators and permitted
assigns of the parties hereto.

7.3 Severability. If any provision of this Agreement shall be found invalid or


unenforceable, the remainder of this Agreement shall be interpreted so as best to
reasonably effect the intent of the parties.

7.4 Amendment and Waivers. No amendment or modification of any of the terms


and conditions of this Agreement shall be valid unless evidenced by a written
agreement executed by the authorized representatives of both Parties. No failure,
omission or delay of any of the Parties in exercising any of its right, privileges
and remedies hereunder shall operate as a waiver thereof. No waiver or departure
from the terms of this Agreement shall be valid unless made in writing and signed
by the Party's authorized representative. Such waiver shall be effective only in the
specific instance and for the purpose for which it is given.

7.5 Assignment. Both Parties represent that they are fully authorized to enter into this
Agreement. The performance and obligations of either Party will not violate or
infringe upon the rights of any third-party or violate any other agreement between
the Parties, individually, and any other person, organization, or business or any
law or governmental regulation. The benefit of this Agreement may not be
assigned in whole or in part by a Party without the prior written consent of the
other.

7.6 Time. Parties agree that time is of the essence in this Agreement.

7.7 Governing Law and Attorney's Fees. This Agreement shall be governed by and
construed in accordance with the laws of the Philippines, without regard to its
choice of law principles. Venue of all actions arising from this Agreement shall be
brought exclusively to the jurisdiction of the appropriate courts of
_____________, Philippines. In any action or suit to enforce any right or remedy
under this Agreement or to interpret any provision of this Agreement, the
prevailing party shall be entitled to recover its reasonable attorney's fees, costs
and other expenses.

7.8 Notices. Any notice, demand, or request with respect to this Agreement shall be
in writing and delivered by hand, by personal service, by air courier with receipt
of delivery, or mailed, certified mail, return receipt requested, postage prepaid, to
the address set forth above. Such communications shall be effective when they are
received by the addressee; but if sent by certified mail in the manner set forth
above, they shall be effective five (5) days after being deposited in the mail. Any
party may change its address for such communications by giving notice to the
other party in conformity with this section.
