AGREEMENT TO PURCHASE

KNOW ALL MEN BY THESE PRESENTS:

This Agreement to Purchase, entered into and executed by and between

_______________ (the SELLER), of legal age, Filipino and with


address at #
___________________________________________

-and-

__________________________, also of legal age, and with


address at # ______________________________ (collectively
the PURCHASER);

Witnesseth: That –

WHEREAS, the PURCHASER presently has a leasehold right over a property located in
#26-A & 26-B Grouper St., New East Kalayaan, Subic Bay Freeport Zone,
Philippines, by virtue of a _________________________________ by and between
________________________ and ______________.

WHEREAS, the SELLER and the PURCHASER have mutually come into an agreement
that the SELLER shall convey and transfer unto the PURCHASER the aforementioned leased
property, which shall take effect after the PURCHASER’s 12-months rent of the property on
April _____, 2011 to April _____, 2012.

NOW, THEREFORE, for and in consideration of the foregoing, the SELLER AGREES TO
CONVEY AND TRANSFER to the PURCHASER the aforesaid property covered by the
________________________:

a) That the full purchase price of the property to be paid by the PURCHASER to the
SELLER shall amount to ______________________________ Pesos (Php
_________________________) Pesos, Philippine currency, payable in the
following manner:

i. 50% Down payment after the PURCHASER’s 12-months rent.


ii. 50% Balance payable in one (1) year on equal monthly installments after
the down payment.

b) That upon PURCHASER’s full payment of the purchase price, SELLER shall execute a
Deed of Transfer of Leasehold Rights in favor of the PURCHASER over the property.
However, it is understood that the PURCHASER shall ;

c) That the broker’s commission and 5% SBMA transfer fee charges on the sale of the
property to the PURCHASER from the SELLER shall be for the account of the SELLER,
while other fees on the property shall be for the PURCHASER’s account;

d) That the PURCHASER shall first rent the property to SELLER for 12-months from April
_____, 2011 to April _____, 2011, but the rental payment shall not be credited to the
purchase price;

e) That in the event, for reasons not attributable to the SELLER, of non-compliance with
the conditions herein above set forth, the PURCHASER shall reimburse the SELLER, as
follows:

f) The actual surrender and possession of the leased property shall be delivered by the
SELLER in favor of the PURRCHASER upon actual payment and delivery of the
total amount of consideration. It is understood that all expenses for water, gas,
electricity, telephone, cable television, sanitation, solid waste management, sewerage
and other public utility services and the installation thereof shall be settled and
cleared by PURCHASER before the actual delivery and transfer of the said leased
property.
g) Upon full-payment of the total price (paragraph b hereof), the SELLER shall
deliver any and all documents, including but not limited to the original copy of the
Residential Lease Agreement, and all other documents necessary for the transfer of
leasehold right as required by the Residential Lease Agreement and provided by the
SBMA’s Housing Policy and rules and regulations affecting the transfer of leasehold
right.

h) That all disputes arising from this Agreement to Purchase shall be filed exclusively with
the Olongapo Courts.

IN WITNESS WHEREOF, the parties have hereunto set their hands and affixed their
