PROCESS AND REQUIREMENTS FOR

CONSTRUCTION COMPANY REGISTRATION

1. PRELIMINARY MATTERS:

a. Business Name
- TIP: Prepare 3-5 alternative company names in case your first choice is
unavailable (meaning, it already exists in SEC’s database or has been reserved
with the SEC by another company)

b. Articles of Incorporation

c. By-Laws

d. Permanent Office Address

e. Official business email address for online registration purposes for government
requirements

f. Incorporators
- One Person Corporation; or
- At least two (2) but not more than fifteen (15) incorporators, each must own
or be a subscriber to at least one (1) share of the capital stock.
- Amount of stock subscriptions and payments
- Will there be foreign natural persons/corporate incorporators?
- Will there be incorporators who are non-resident natural persons?

g. Shareholders
- Are there foreign shareholders?

h. Board of Directors
- Number: not be more than fifteen (15), as stated in the by-laws
- Term: not more than three (3) years
- percentage control of the number of seats occupied by foreigners in the
Board of Directors shall not exceed 40%

i. Corporate Officers
- Election of corporate officers should be after election of Board of Directors
- President, who must be a director
- Treasurer, who must be a resident
- Corporate Secretary, who must be a citizen and resident of the Philippines
- Other officers as may be provided in the by-laws:
o Chairman of the Board of Directors
o Vice President
o Compliance Officer, if the corporation is vested with public interest, the board
shall also elect a compliance officer
- The same person may hold two (2) or more positions concurrently, except no
one shall act as president and secretary or as president and treasurer at the
same time.

j. Authorized Capital Stock


- No minimum capital stock is required for stock corporations under
the Revised Corporation Code, except when specifically provided by law.

2. SECURITIES AND EXCHANGE COMMISSION (SEC) REGISTRATION


a. Registration through SEC’s Company Registration System (CRS)

- (5) main steps to register a new company in CRS:

1. Login
- Create an account using existing email address and use it to access and
login.

2. Select Application Type


- Choose “register a new company” among other application types.

3. Verify Name
- Select the company and industry type to verify the proposed company
name.

4. Add Company Details


- Fill up the online application forms that will be displayed. Data entered in
the form/s will be used to generate documents such as Articles of
Incorporation, By-Laws, and other company registration documents.
Download documents to upload them for the next step.
5. Upload Documents
- Upload all required documents listed and shown in the system. Choose
“submit” for processing, review, and approval of SEC

Reminders:
1. Start step 4 AFTER completing Step 3 within four (4) calendar days otherwise the
reserved name will expire.
2. Steps 4 and 5 should be accomplished within 30 calendar days otherwise all data
encoded will be purged by the system.
3. Verified company name will again be available for use after 30 calendar days.

3. LOCAL GOVERNMENT UNIT (LGU) REGISTRATION


- Registration with Local Government Units (LGUs) of the location where you want
to establish your business
- Secure the following clearance and permits:

a. Barangay Clearance 
- from the Barangay Hall
- Fill up application form and pay fee, if any
- Certificate of Business Registration from SEC
- Two (2) valid IDs
- Proof of Address such as Contract of Lease (if rented) or Certificate of Land
Title (if owned)

b. Business/Mayor’s Permit 
- from the Mayor’s Office or Business Permit and Licensing Office (BPLO) of
the Municipal/City Hall
- Fill up application form and pay fee, if any
- Certificate of Business Registration from SEC
- Barangay Clearance Certificate
- Two (2) valid IDs
- Proof of Address such as Contract of Lease (if rented) or Certificate of Land
Title (if owned)

*Process for securing the foregoing permits would depend on the Citizen’s
Charter of the LGU

4. BUREAU OF INTERNAL REVENUE (BIR) REGISTRATION


- Registration with the Bureau of Internal Revenue (BIR) for corporate taxation, Tax
Identification Number (TIN), BIR Certificate of Registration (BIR Form No. 2303)

o Go to the Regional District Office (RDO) where your business is located

- Fill up BIR Form No. 1903 – Application for Registration:

- Submit completed registration form together with the following:


o Certificate of Registration form SEC
o Barangay Clearance
o Business Permit From the Mayor’s Office
o Proof of Address such as Contract of Lease (if rented) or Certificate of Land Title
(if owned)
o Valid IDs, if applicable.

- Fill up and pay BIR Form No. 0605 for payment of Annual Registration Fee:

- Fill up and pay BIR Form No. 2000 for payment of Documentary Stamp Tax (DST)
for: (1) subscription of shares for domestic corporations; (2) payment of lease for
all types of company formation (this requires a notarized copy of the lease
contract of your office address)

- Secure the following:

 Certificate of Registration of Books of Account


 Cash Register Machine (CRM), Point of Sale (POS) Machine or  Authority to
Print Receipt/ Invoices (Manual Receipts)

- Claim your Certificate of Registration (BIR Form 2303)
