To direct and execute all activities of the Company either directly or through delegated authority;
To provide leadership in these and other areas: the creation of vision, strategic, tactical and financial
plans; developing goals and measuring performance to the approved goals; organizational development;
liaison to the public, investment community, government, affiliated organizations and other
stakeholders; and the development of the IITNDT 's management and staff.
AUTHORITY
The CEO operates under the authority granted by the Board members pursuant to the
Mandate set forth below and such extensions of authority as may be granted from time to
time.
The approval of the Board members (or appropriate Board committee) shall be required for
all significant decisions outside of the ordinary course of the IITNDT's business, including major
financings, acquisitions, dispositions, budgets and capital expenditures as set out in the IITNDT's
policies and procedures.

MANDATE
The CEO possesses the highest personal and professional integrity. The CEO shall act honestly
and in good faith with a view to the best interests of the Company and will exercise the care,
diligence and skill that a reasonably prudent person would exercise in comparable
circumstances.
The CEO avoids potential or actual conflicts of interest with the Company or other interests
which are incompatible with the position of CEO. The CEO will comply with applicable policies
and procedures of the Corporation, including the Disclosure Policy and the Code of Business
Conduct and Ethics, and authority limitations established by the Board.
The CEO is fundamentally responsible for managing the Company business affairs, acting in
the best interests of the Company and its securityholders.
The CEO shall have full responsibility for the operations of the Company in accordance with
the strategic plan and the current year’s operating and capital expenditure budgets as
approved by the Board members.
Meets regularly and as required with the Chair of the Board members to ensure they are
provided with all information in a timely manner and have access to management to permit the
Board to fulfill its statutory and other obligations.
Keep the Board aware of the Company’s performance and any events affecting its business,
including opportunities in the marketplace and adverse or positive developments.

LEADERSHIP
Maintain a positive and ethical work climate that is conducive to attracting, retaining and
motivating top-quality employees at all levels.
Work with key executive officers to promote a culture of ethical business conduct
throughout the company and establish standards and oversight structures that are
reasonably designed to promote integrity and deter wrongdoing.
Continually challenge executive officers and all employees of the Company to think
strategically.
Seek to ensure that all employees of the Company have their responsibilities and

FINANCIAL PLANNING
Develop annually, for consideration by the Board, sound business plans and budgets to meet
the Company's goals and objectives.
TACTICAL
Direct and monitor the activities of the Company in a manner which seeks to ensure that strategic,
business and operational plans are met and that the assets of the Company are safeguarded and
optimized in the best interests of the Company and its securityholders.
Develop and implement operational policies to guide the Company within the limits prescribed by
applicable laws and regulations and the framework of the strategy approved by the Board members.
Define the strategic direction for safety, establishing performance targets for the operating businesses
and ensuring adherence to established policies and standards.
Establish, monitor and maintain appropriate management systems to provide effective internal control
of operations.
Identify, to the extent possible, all significant risks to the Company business and consider and
establish, where appropriate, procedures to mitigate the impact of the risks.
Oversee the compensation, performance assessment, leadership, talent development and succession
planning of senior management.

Uphold the Company commitment to providing timely, accurate and balanced disclosure of
all material information about the Company in accordance with the Disclosure Policy and
applicable securities laws.
Ensure effective relationships are established and maintained with investors and other
external stakeholders, including governments, the financial community and the public.
Provide quarterly and annual certificates addressing the accuracy of the financial statements
and accompanying management's discussion and analysis.
SUCCESSION PLANNING
Develop and maintain a continuous plan for the development and performance management
of senior executive officers, including the appointment, training, mentoring and monitoring of
such officers
. Identify and develop potential successors who can now or who will in the future be able to
fill the position of CEO and other key senior executive positions. These recommendations are to
be reviewed annually with the Corporate Governance and Nominating Committee and the
Board members.

The General Manager shall support and co-ordinate all works by staff, sub-contractor, and serve
as the primary contact with the company and shall be attending co-ordination of all progress
review meeting.
Seek out opportunities for expansion and growth by developing new business relationships
HSE policy and strategy at non venture level.
Custodian of the all-activity Implementation Plan and Resource management.
Shall have Overall responsibilities for establishment of detailed overall, procurement and
Services, Training &certification program with resources plan and implementation of the same.
Shall be responsible for monitoring the progress of works and authorized to updating the
programs and mobilizing planned/additional resources to ensure the adherence or progress to
the project schedule and completion of the project by contractual completion date.
Provide guidance and feedback to help others strengthen specific knowledge/skill areas
Shall be responsible in conjunction with Procurement/material controller, equipment
maintenance in charge and administration to ensure availability of materials, machines and
manpower as planned/as required.
Shall be responsible for immediately advising the company’s team leader and Client
management at head office of any factors adversely affecting, likely to affect the services,
training &certification works
Shall be responsible and will be authorized for timely rising of invoice to Client and certification
of all invoices of vendors and subcontractors and all expenses incurred of the works.
Shall be responsible/authorizes to replace any key-personnel in consultation with senior
management at Head Office and Company Management.

The Business Development Manager shall prepare a business plan for every year and submits it
to GM. Upon approval, Business Development Manager works towards achieving the targeted
goals of the year. The progress of the Business Plan is discussed with the GM On a quarterly
basis.
The Business Development Manager shall prepare a Key plan for every year with
parameters like Opportunities & Business Concept, KPIs, Financial features and financial
requirements.
The Business Development Manager shall promote, develop, sales and marketing of
NDT &Training Certification services and introduce new technique to achieve more
opportunities from the business world.
The Business Development Manager shall participate in the preparation of tender documents
and he shall maintain the IITNDTs ISO documents, and also work as Management Representative
(MR) in the system
The Business Development Manager shall take a leadership to maintain the client list and
update on quarterly basics, and schedule weekly meeting with client and in-house to analyses
the progress

The Business Development manager should arrange meeting with existing and new
clients for business opportunities and maintain a good relationship with client.
Business Development Manager shall meet customers to understand the following:
Current Operational needs, future plans, present products/services of principles, R&D
activities, Capturing feedback about any running projects.
This information shall be used to update the company’s business plan. This will help to
improve the company’s position in the market.
All enquiries received from various potential companies for partnerships by the business
development team or top management are received and feasibility checked by Business
Development Manager. The latest company profile and Introduction letters is sent to
the potential Customer or Partners on need basis.
Business Development Manager and his team prepares and maintains the Company
Profile and other marketing tools (including website, linked in, etc.) for the purpose of
branding and promotion. This has to be updated quarterly.
Business Development Manager participates in events for the branding of the company
in the Indian market.

reports to GM and his Duties & Responsibilities, major roles define as below:
The Finance manager should Produce accurate financial reports and information
Finance manager shall able to develop cash flow statements.

Overall management of the NDT Departments and projects, and shall act with all
authority for Controlling, monitoring, at all times during the works from commencement
until handover of the project.
An Operations Manager NDT &Inspection develops, implements, and maintains
programs, methods, and Procedures to ensure that NDT examinations meet quality
standards.
The operations Manager shall Support BDM in tendering & commercial Quoting Process
The operation manager shall support HR for hiring of technical persons for IITNDT.
The operation manager shall conduct the Training of CSWIP & BGAS.
The operation manager shall coordinate with Radiation regularity authority
(AERB/BARC/DRP) for obtaining approval/permission for source pit, and Isotopes .
Provide Services management support and shall co-ordinate all works by the staff and
serve as the primary contact with the company and shall be attending co-ordination &
project progress review meeting.
HSE policy and strategy at non venture level.
Custodian of the Project Implementation Plan.
Integrated NDT Services schedule.
Resource management.
Shall have overall responsibility for the works performed in the Client site considering
quality, safety schedule and budget.
Shall have Overall responsibilities for establishment of detailed overall, procurement
and Services programs with resources histogram in conjunction with Project
management team implementation of the same.

the programs and mobilizing planned/additional resources to ensure the adherence or

Administrative and Human resources responsibility which are Hiring, Placing, De-
mobilizing and evaluation of IITNDTs employees
The HR& Admin Manager shall have the responsibility of hiring technical persons for
IITNDT.
Developing, reviewing, and improving administrative systems, and procedures
Ensuring offices is stocked with necessary supplies and all the office equipment’s are
working properly and maintained.
Shall make sure that office is functioning properly and having a good working
environment
Make sure that all the Training rooms are functioning properly and should be maintain
properly
The HR&A manager Shall be coordinate with management team to set budgets,
monitor spending, and processing of Pay roll and control of expenses
HE/ She shall plan, schedule and promoting office events, such as internal external
meeting, co -ordination of on line and off line classes, webinar and seminars, Training
sessions.
Collecting, organizing, and strong information using computers and filing systems.
Overseeing special projects and tracking progress towards company goals.
Building new and expanding existing skills by engaging in educational opportunities.

the QHSE Manager of the IITNDT reports to GM and his Duties & Responsibilities, major roles define as
below:
The QHSE Manager shall have the responsibility of overall management of the IITNDTs Quality
control and Quality assurance, and he shall act with all authority for Controlling, monitoring and
execution of all the activity related to QA/QC.
The QHSE Manager shall have the responsibility of hiring technical persons for IITNDT.
Developing, reviewing, and improving QA/QC systems, and procedures
Authorized to review Quality plans of the manufacturers of equipment’s and materials being
procured for incorporation into the facilities and shall review their inspection & test certificate.
Shall ensure that the site organization is adhering to the acceptable quality standard by
monitoring the quality of their works.
Shall ensure all inspection & field test required by project procedures and specification are
carried out in conjunction with the Project Engineer.
Shall be authorized to advice & give guidelines to QC supervisors to strictly adhere to the
client/company standards and to maintain proper documentation throughout the project.
Shall ensure that the Non-Conformity reporting system is being implemented correctly by work
execution personnel and those responsible parties are correcting all identified deficiencies.
Shall be authorized to perform Quality Audits and surveillances to ensure satisfactory
implementation of the Quality Program and Quality Plans.
