Both Parties have agreed to Service Contract for the Seminar on May 24th 2017 with
the following contents:

Article 1: Party B is providing to Party A meeting services as Agenda below:

1.1 The total estimated cost is USD 4,411 (Four thousand, four hundred and eleven
US dollars.)
1.2 The rate above includes:
a. Meeting room
§ Use of function room with professional set-up of five star hotel
§ One (1) reception table in front of the seminar rooms
§ One (1) sound system with 02 wireless microphones
§ Stage with podium
§ Note, pen, mints, mineral water during the meeting
§ 02 Time Tea and Coffee with a selection of Danish pastries and fresh fruits for
70persons
§ Daily buffet lunch will be served at Hotel restaurant with International Buffet
Style (Vietnamese, Japanese, Korean, Chinese, European Cuisine) for
40persons
§ Fresh flower for U-shape & podium
§ Technical staff standby

Article 2: Term and Condition:

§ Party A will start and finish their event and vacate the designated hotel space
at the scheduled times as shown in the final program. In case a function goes
beyond the agreed upon finishing time, Party B reserves the right to impose a
labor charges for each hour or part thereof the hotel space is occupied.
§ Party A is responsible to ensure the orderly behavior of their guests, and Party
B reserves the right to intervene in such circumstances, as it deems necessary
to do so.
§ Party B will not be held responsible for the loss or damage to any equipment,
property or merchandise in the hotel prior to, during or after the event. It is the
Party A’s responsibility to arrange insurance should it is deemed necessary.
Private security can be arranged, and will be charged accordingly. Fireworks,
fire crackers or any other explosive or fire-hazardous materials are strictly
prohibited.
§ Party A is responsible for the control of the music sound system in conjunction
with the hotel’s regulations. Party B reserves the right to reduce the volume at
its discretion.

Article 3: Confirmation & Payment Terms:

§ Once both Parties have agreed to sign this contract, Party B will require Party
A to make the payment as below:
3.1 Payment Method:
 § Party A will settle the payment by cash, credit card or transfer to amount to
Party B by the information as below:

3.2 Due Date
§ Party A will make the payment in two (02) times:
1.3 A/ Party A will make a non refundable deposit payment of USD4,411 (Four
thousand, four hundred and eleven US dollars) to Party B after both Parties
agreeing with this contract within 02 working days
B/ Any extra costs will be settled right after the conclusion of the event by
cash or credit card.

Article 4: Decrease in Number of Guaranteed Guests and Cancellation:

§ In case of Party A reduce the guaranteed number of guest, Party A should
inform to Party B three (03) days before the event take place. Party B only
agrees with at least 10% reduction of guests comparing to the guaranteed
number of guest.
§ Party B requests the final number of guaranteed guests two (02) days prior to
the event. Should there be a decrease in the number of guaranteed guests
within two (02) days to the events commencement the hotel reserves the right
to still charge the full number of guaranteed guests as stated in Article 1
(“Agenda”) of this agreement. The hotel will cater and charge for the number
of guaranteed guests as per event agreement. Guests in excess of this figure
will be charged accordingly.
§ Event cancellation two (02) days prior to the event is subject to a non
refundable cancellation fee of 100 % of the estimated total amount (as per
Contract).

Article 5: Responsibilities of both Parties:

§ Party B is committed to ensure the services that provide to Party A
§ The two parties undertake to comply with the terms stated in this contract
§ All disputes occurred during function execution shall be settled through
discussion on the mutual benefit. Should relevant discussion to resolve the
issue the dispute shall be referred to the Hanoi People Court and the court
decision shall be final for both parties.
§ It is mutually agreed and understood that the performance of this agreement is
subject to government regulations, natural disaster, civil disorder, curtailment
of transportation facilities and other events beyond the control of either party.
Any one or more of the foregoing reasons may substantiate grounds for
termination of the agreement. In the case that any of the aforementioned
 should occurs the hotel will return any deposits applicable to the event back to
the client.

Both parties have agreed to and have executed this agreement by their authorized
representatives as of the dates indicated below. This contract will be made into 04
copies, each Party will have two and they have the same value
