TERMS AND CONDITIONS OF PAIRING A PRIVATE PAYMENT CARD WITH A SODEXO CARD
1. These terms and conditions of pai-
ring a private payment card with a So-
dexo card (“Terms and Conditions”)
regulate some of the rights and obliga-
tions of Sodexo Pass Česká republika
a.s., Company ID: 61860476, registe-
red office: Praha 5 – Smíchov, Radlická
2, postcode 150 00, registered in the
Commercial Register administered by
the Municipal Court in Prague, file num-
ber B 2947 (“Sodexo”), and of a holder
of Gastro Pass CARD, issued by Sodexo
(“User” and “Card”), related to the
payments made by the User with the
Card to pay for food/meals provided,
in accordance with the law on income
tax, as non-monetary considerations
by the employer to the employee (“Be-
nefits”).
2. Pursuant to these Terms and Con-
ditions, Sodexo is to enable the User
to pair their Card with a payment card
issued to the User’s name by a party
authorized to provide payment servi-
ces in an EU member state or in a sta-
te which is a contracting party to the
Agreement on the European Economic
Area (“Payment Card”).
3. The User may use the paired Pay-
ment Card in those cases where lack
of funds on the Card renders using the
Card for making payments for Benefts
impossible. In such a case, the paired
Payment Card will cover, in accordance
with these Terms and Conditions, the
difference between the cost of the Be-
nefits and the funds used from the Card
to cover the cost of the Benefits (“Dif-
ference Payment”).
4. Sodexo will enable pairing its Card
with a Payment Card by means of the
PayU payment gateway, run by PayU
S.A., registered office: Grunwaldzka
182, 60-166 Poznań, Polish Republic
(“PayU”). The User can pair the Pay-
ment Card with the Card in their Sodexo
Personal Account, under Settings, whe-
re the User, upon entering the contact e
mail address and agreeing to these Ter-
ms and Conditions, is redirected to the
PayU payment gateway. Pairing the
Payment Card with the Card is conclu-
ded as per the PayU payment gateway
instructions and conditions, including
making an initial registration payment,
which is necessary for verifying the fun-
ctionality of the Payment Card and for
the essential technical pairing. Before
concluding the pairing of the Payment
Card with the Card, the User is obliged
to acquaint themselves with relevant
terms and conditions regulating the
use of the PayU payment gateway.
5. The Difference Payment will be
made as follows: If it is necessary
to make a Difference Payment when
paying by Card (i.e. if there is a diffe-
rence between the cost of the Benefit
and the User’s available funds on the
Card when using the Card to pay), then
(i) Using the PayU payment gate-
way, Sodexo is to instruct that funds
amounting to the difference be trans-
ferred from the Payment Card to the
Sodexo account for the purpose of co-
vering the Difference Payment to the
provider of the Benefit, to which the
User grants their consent (cf. Article
6 below); and
(ii) Sodexo is to ensure that the pro-
vider of the Benefit accepts the pay-
ment for the cost of the Benefit made
by the Card in full, and is to refund the
provider, pursuant to the contractual
arrangements with the provider of
the Benefit, for the full price of the
Benefit, including the difference.
6. The User has made a verification
payment using the PayU payment ga-
teway, thus granting Sodexo their con-
sent to file, as the recipient, payment
orders to transfer funds from the User’s
account to which the Payment Card
was issued (consent to collection).
7. The funds drawn from the Payment
Card by means of the payments made
by the Card may only be used to pay
for services from the “Food and Meals
and Non-alcoholic Beverages” Benefits
section.
8. The Difference Payments covered
from the paired Payment Card are not
subject to tax limits or daily limits
applicable to the Card.
9. The Payment Card cannot be paired
with different types of cards issued by
Sodexo (e.g. Flexi Pass CARD or Active-
Pass).
10. In case an order gets cancelled (e.g.
a service is not provided), the funds
from the Payment Card are returned to
the account from which they were dra-
wn, i.e. pecuniary funds get returned to
the bank account to which the Payment
Card paired with the Card was issued,
and credit gets returned to the benefit
account, following the order in which
the funds were drawn.
11. The User acknowledges that in rela-
tion to the Card or to the Payment Card,
Sodexo provides no payment service to
the User. Only PayU and the party that
issued the Payment Card provide pay-
ment services to the User.
12. Sodexo is responsible solely for the
acceptance, by the contractual partner,
of the payment made by the Card for
the cost of the Benefit. Sodexo is not
responsible for the quality of the pro-
vided Benefits, nor is it responsible for
the provision of payment services by
the PayU payment gateway or the par-
ty that issued the Payment Card. The
User represents that they are aware of
that fact and they will turn directly to
the contractual partner, the PayU pay-
ment gateway or the party that issued
the Payment Card to deal with any
complaint or claim related to the qua-
lity of the provided Benefit or payment
service.
