Subject – Undertaking regarding utilization of Loan to be granted by UGRO Capital Limited

(“UGRO”).

I/We acknowledge that UGRO has sanctioned loan amount of Rs. ___________ (“Loan”) to
_____________ subject to the terms and conditions as mentioned in the Sanction Letter dated
_____________ (“Sanction Letter”). The Loan has been sanctioned by UGRO, inter alia, on
the basis of my/our representation that we/I are/am engaged in the business of ________ and
the Loan will be utilized only for the purpose of _______________.

I/We hereby solemnly confirm and certify that Loan shall be utilized only for the aforesaid
purpose and no other purpose. I/We will never utilize the Loan or any part thereof for any
speculative, illegal and prohibited activity (prohibited under any applicable
laws/rules/regulations). Any breach or violation of the representation made herein, and other
documents executed in relation to Loan will be my/our responsibility solely.

I/We shall extend necessary support and co-operation to UGRO for any matter in connection
with this letter and Facility Agreement.
