NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement (the “Agreement”) is agreed to by Jerwin Dicayman Mercado, a

Filipino resident of Lot 1b Blk 198 Lirio St ., Pembo, Makati, 1218, hereinafter referred to as
“Employee” and DIVERSIFY ISS BGC INC., with business office at the 27 Floor, Twenty-Four Seven

Mckinley Building, 24 street corner 7 Avenue, Bonifacio Global City, Taguig City, hereinafter referred

to as “Employer”. In consideration of the commencement of Employee's employment with Employer

and the compensation that will be paid, Employee and Employer agree as follows:

1. That all information stipulated in the employment agreement, including but not limited
to the type of employment, remuneration and benefit arrangements shall be referred to
as confidential information.
2. That any time during his employment with the company, he shall treat all information
confidentially and shall use only for authorized purposes;
3. That said information shall not be disclosed for any reason to any unauthorized recipient
within the company or any outside third party;
4. That said obligation not to disclose confidential information will be binding on the
employee even after his separation from the company either through termination or
voluntary resignation;
5. That failure to comply with this non-disclosure agreement will give rise to a cause of action
on the part of the Employer to bring an action for damage against the employee.

The employee has carefully read and understood all of the above aforementioned terms and agrees
that all of the restrictions set forth are fair and reasonably required to protect Employer's interests.
Employee has received a copy of this agreement as signed by the parties.
