INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement (“Agreement”) is made effective as of 07/18/2022, by

and between The Vida System Inc. and Ivan Lohr. In this Agreement, the party who is
contracting services shall be referred to as “contracting party,” and the party who will be
providing the services (independent contractor) shall be referred to as “Contractor.”

1. DESCRIPTION OF SERVICES
Beginning on or after, 07/18/2022 , Contractor shall provide the following services:
Recruitment Process Outsourcing administrative duties, tasks, etc. Contractor will
provide an email and phone number for the contracting party to reach for task delegation
and instruction, as well as return call/email within 48 hours.

2. DOCUMENTATION
The contractor is required to complete an invoice for services rendered to be paid. The
contractor is required to document the hours worked to complete the task assigned.

3. PAYMENT FOR SERVICES

The contracting party will pay compensation to the contractor for the services in the
amount of $500 USD base salary per month for full-time 40 hours + per week.This
compensation shall be payable once a month to the Contractor in a lump sum upon
completion of services.

Please note that additional commission can be earned based on placement, retention, and
training for VA.

4. TERM/TERMINATION
The Contractor may terminate this agreement at any time within the period of its duration
upon no less than thirty (30) days written notice by the Contractor to Vida System, Inc.,
or immediately for cause. The Vida System, Inc. may terminate this contract upon no less
than thirty (30) days written notice to the Contractor.

5. RELATIONSHIP OF PARTIES. It is understood by the parties that Contractor is an

independent contractor with respect to the Vida System, Inc., and not an employee of the

 Vida System, Inc., who will not provide fringe benefits, including health insurance
benefits, paid vacation, or any other employee benefit, for the benefit of Contractor.

6. CONFIDENTIALITY
The contractor will not at any time or in any manner, either directly or indirectly, use for
the personal benefit of the Contractor, or divulge, disclose, or communicate in any
manner any information that is proprietary to the Vida System, Inc. The Contractor will
protect such information, abide by HIPAA law, and treat it as strictly confidential. This
provision shall continue to be effective after the termination of this Agreement.

7. INJURIES
The Contractor waives any rights to recovery from the contracting party for any injuries
that the contractor may sustain while performing services under this Agreement.

8. INDEMNIFICATION
Contractor agrees to indemnify and hold harmless the contracting party for all claims,
losses, expenses, fees, including attorney fees, costs, and judgments that may be asserted
against the Vida System, Inc. that result from the acts or omission of Contractor and or
Contractor’s task and or clients.

9. ENTIRE AGREEMENT
This Agreement contains the entire agreement of the parties, and there are no other
promises or conditions in any other agreement whether oral or written.

10. SEVERABILITY
If any provision of this Agreement shall be held to be valid or unenforceable for any
reason, the remaining provisions shall continue to be valid and enforceable. If a court
finds that any provision of this Agreement is invalid or unenforceable, but that by
limiting such provision would become valid and enforceable, then such provisions shall
be deemed to be written, constructed, and enforced as so limited.

11. APPLICABLE LAW

This Agreement shall be governed by the laws of the state of California.

12. PERMITS AND LICENSES The contracting party shall hold valid permits, licenses,
certificates required by the County of Los Angeles, and other documents as required by

 the state, city, and other governmental or regulatory body to legally engage in and
perform the service to be provided under this Agreement.

13. AMENDMENTS TO AGREEMENT

Any change in the terms of this Agreement, including changes in the services to be
performed by the contractor and any increase or decrease in the amount of compensation,
which is agreed to by the Contractor, shall be incorporated into this Agreement by a
written amendment properly executed by both parties.
