1. BACKGROUND
The Township of Ramara is a lower tier municipality providing a wide range of services to
the community. The Township possess digital records stored on a cloud and a vast
inventory of physical records dating back to early part of last century. These physical
records occupy a large amount of space in multiple facilities, making access to this
information difficult and time consuming. Currently, the Township of Ramara is utilizing
Sentry File as a document management system and utilizing TOMRMS (The Ontario
Municipal Record Management System) as a complete file classification system.
The Township of Ramara is seeking proposals from qualified solution providers
demonstrating that they possess the organizational, functional and technical capabilities
to provide an Electronic Data Records Management Systems (EDRMS) Solution and a
Records Digitalization Services package that meets the Township’s needs. The provider
will implement a technology solution, recommend business processes and provide
training, project management services and post-implementation support.
The EDRMS solution will need to integrate department’s documents into one database
for multiple end users to continually update, archive and access. Many of these
documents are critical records that, by regulatory mandate and municipal best practices,
needs to be controlled via a records lifecycle process. As well, the Township needs to
store and manage additional content including but not limited to photos, videos, audios
and engineering plans/drawings.
2. PURPOSE
The Township of Ramara is seeking qualified proponents to supply an Electronic
Records & Document Management System (EDRMS) and Records Digitalization
Services package, with implementation services and training services, as well as provide
maintenance and support.
3. FORM OF PROPOSAL
All proposals must include the forms provided and clearly marked with “Proposal for
Electronic Records and Document Management System and Records Digitalization
Services – File ADM – 01 – 2022”
Important: Award of the RFP is conditional upon the Township securing the
Modernization Part 3 approval of funding from the Government of Ontario. No
compensation will be paid to any Proponent for the costs associated with
submitting a Proposal should an award not be made.

1. DEFINITIONS
The following definitions apply to the interpretation of the Request for Proposal;
2. FREEDOM OF INFORMATION
All submissions to the Township become the property of the Township and such
are subject to the “Municipal Freedom of Information and Protection of Privacy
Act.”
3. BRIBERY/FRAUD
Should any Proponent or any of their agents give or offer any gratuity or attempt to
bribe any employee of the Township, or to commit fraud, the Township shall be at
liberty to cancel the prospective Proponent’s submission or contract.
4. PURCHASING PREFERENCE
No preference will be given to any business for goods and/or services provided to
the Township and/or Commission.
5. INSURANCE
The Successful Proponent(s) shall maintain and pay for Comprehensive General
Liability Insurance with an insurer acceptable to the Township. The coverage shall
include premises and all operations liability to be performed by the Proponent.
This insurance coverage shall be subject to limits of not less than Two Million
Dollars ($2,000,000.00) inclusive per occurrence for bodily injury, death and
damage to property including loss of use thereof for any one occurrence.
The Proponent(s) shall be entirely responsible for the cost of any deductible that is
maintained in any insurance document.
The Insurance Policy shall not be altered, canceled or allowed to expire or lapse,
without thirty (30) days prior written notice to the Township.
The Liability Insurance shall not contain any exclusion of limitations in respect of
shoring, underpinning, rising or demolition of any building or structure, pile driving,
caisson work, collapse of any structure or land from any cause.
Where applicable the Proponent(s) shall carry standard automobile and non-
owned automobile liability insurance and shall protect them against all liability
arising out of the use of owned or leased vehicles, used by the Proponent(s), its
employees or agents. The limits of the liability for both owned and non-owned
vehicles shall not be less than Two Million Dollars ($2,000,000.00) per
occurrence.
Effective January 1, 2013, Bill 119 legislates that all Contractors and Sub-
Contractors categorized under class G: construction, shall have WSIB account
and clearance coverage prior to commencing any contract.
The Proponent(s) acknowledges and agrees that the Township is not hiring an
employee(s) to perform the work associated with this Tender. As such the
Township reserves the right to terminate all Contracts associated with this Tender
if all appeals have been exhausted and the Proponent(s) are determined by WSIB
or court or tribunal of competent jurisdiction to be an employee. Any and all
monies to be paid to the Proponent(s) shall be returned regardless of the extent of
work that has been completed to that point, and all material and documents
associated with the Tender, as well as Township property, shall be returned to the
Township. The Proponent(s) acknowledges and agrees that any work completed
to the date the appeal process has been completed, and an unfavorable
determination is made will be provided to the Township for free and without any
expectation of compensation. The risk associated with completing any work while
there is an appeal process underway is entirely born by the Proponent(s).
7. ACCESSIBILTY
The Proponent(s) shall comply with the provisions of the Accessibility for
Ontarians with Disabilities Act 2005, S.O. 2005, chapter 11 and the Regulations
with regard to provision of the goods and/or services contemplated herein,
including, without limitation, section 6 of Ontario Regulation 429/07, Accessibility
Standards for Customer Service, as amended. The Proponent(s), when
applicable, shall ensure that its employees, agents, volunteers and
representatives receive training regarding the provision of the goods and services
to person with disabilities. The Proponent(s) acknowledges that the Corporation of
the Township of Ramara, in deciding to purchase goods or services through its
procurement process, is required to consider the accessibility for persons with
disabilities, when applicable and practical to do so.
Unless otherwise stated, the successful Proponent, for the purposes of the OHSA,
shall be designated as the ‘Constructor’ for this project. The constructor has
complete control of the work on behalf of the Township and is responsible for
regulatory compliance and safe work procedures on the job site.
The Constructor further acknowledges and agrees that any breach or breaches of
the OHSA, applicable Regulations, Standards, Environmental Protection Act
(EPA), other legal requirements, and/or their own Health & Safety Policies and
Procedures whether by the Constructor or any of its subcontractors may result in:
• The termination of the contract,
• The immediate removal of the Constructor and/or sub-contractor’s equipment
from the site,
• The forfeiture of all sums owing the constructor/or sub-contractor by the
Township.
10. SCHEDULE

(C) Recommendation of Award: March 14, 2022
(D) Notification of Award: March 30, 2022
(E) Signing of Agreement: April, 2022
(F) Commencement of Services: April/May 2022

The Township reserves the right to alter the scheduling of items “C” to “F.”
Proponents are asked to designate one contact person to whom any additional
information deemed to be relevant to the proposal may be communicated.
11. TERM OF THE PROPOSAL
The term of this contract will be from Commencement of Services around April
2022 to December 2022 (also includes time for ongoing training).
Please note that the Award of the RFP is conditional upon the Township
securing the approval of funding from the Government of Ontario.
1. SCOPE OF SERVICES
The successful Proponent shall exercise their expertise and engage appropriate
resources to provide the Township with;
• an Electronic Records and Document Management System that provides a
centralized method of managing both our physical (paper records & files)
and our electronic records (word-processing files, spreadsheet files,
emails, electronic maps, records contained within multiple software
systems (see Appendix A, for a list of Current Software Tools in use within
the Township) and so on;
• Professional services for project management, installation, configuration of
the system, implementation, file and records data conversion and
inclusion, training and go live transition;
• Physical record scanning and OCR, importing and entering metadata and
retention information into EDRMS.
• Providing collaboration and version control tools which allow easy and
logical tracking of multiple versions of the same document in different
stages of work.
• Reducing the ongoing and rising costs of departmental redundancies by
duplicated business processes.
• Reducing storage costs by eliminating document duplication in directories
and e-mail attachments. With an ERDMS there would be no email
attachments, only links to documents sent between staff.
• Providing a single window and search capabilities for the document based
information needs of all Township employees.
• Providing an opportunity for reducing reliance on paper documents and
records, and reducing the Township’s environmental footprint.
• Facilitating the development of e-government services for citizens.
To Protect Corporate Memory by:
• Reducing the loss of information assets by ensuring that records are locked
to prevent tampering, and are therefore reliable and trustworthy evidence of
the business they document.
• Guaranteeing both staff and citizens reasonable access to records in all
media, subject to protection of privacy and authorized restrictions.
To Mitigate Corporate Risk by:
• Ensuring that records are retained for a period of time and in a manner
prescribed by legislation and/or the Township’s Retention Policy.
• Ensuring that records are destroyed at a time and in a manner prescribed
by legislation and/or the Township’s Retention Policy.
• Providing enhanced document and record security and thereby ensuring
the maintenance of the integrity of records throughout their life cycle in
order to ensure their admissibility into evidence, if required, and their ability
to produce legal effect. In short, guaranteeing the authenticity of the
Township’s electronic and physical records.
3. PROPOSAL EVAULATION
The evaluation of Proposals will be conducted by the Township in three stages.
Stage three may not be necessary. A Proposal must meet the requirements of
each phase in order to proceed to the next phase. Note that the evaluation of
Proposals by the evaluation team will be conducted on the basis of the members
of the evaluation committee arriving at a consensus.
The Township will endeavor to complete the evaluation process within a
reasonable period. The Township reserves the right to contact Proponents to seek
clarification of the proposals, as submitted, to assist in the evaluation process.
Interviews may be required.
The Township reserves the right, in its sole and absolute discretion to select a
preferred Proponent with which to negotiate a final contract, terminate the
proposal call or reject any and/or all proposals.
Stage 1 – Mandatory Submission Requirements
Stage 1 will consist of a review by the Township to determine which Proposals
comply with the mandatory document submission requirements as listed in
Section 4 below. Proposals that do not include the mandatory requirements may
be disqualified.
Stage 2 – Evaluation
Each Proposal will be scored based on each of the following categories with their
corresponding score weights:

All proposals will be scored from 0 to 100 points.
Stage 3 – Demonstration & Clarification Presentations
If necessary, the Township may request a demonstration of the software for the
purpose of obtaining more detailed information or clarification in support of their
Proposal. It is expected that only a ‘short list’ of proposal finalists will be asked to
make a formal presentation.
4. PROPOSAL REQUIREMENTS
Proposals shall include but not be limited to:
1. Proponent's relevant past experience on similar projects. Proposals should
include details and provide relevant references (minimum of 3) including
Contact Names.
2. Proposal must include a detailed work program methodology – include
processes and analyses to be undertaken.
5. PAYMENT OF SERVICES
Payment shall be made based on detailed invoicing and completion of the project.
Proponents must complete this form and include with their submission.

Ideally, the scanning of physical records should occur onsite to ensure sensitive
information is protected and to reduce the likelihood of damaged or misplaced
records. The implementation of an EDRMS will help the Township significantly
reduce the number of physical records created on a day to day basis, however the
Township is still required to keep some physical files.
In addition to the software tools listed in Schedule “A”, the Township also currently
uses Microsoft Exchange.
There are electronic records stored in many of the Software Systems listed (including
Citywide, Keystone, iCompass, Cloud Permit, Sentry File etc.) that the Township
would like to be incorporated into the ERDMS. TOMRMS coding is used wherever
possible. The estimated total storage of electronic file on the Township’s server (not
including records stored in the Software Tools listed in Schedule “A”) is
approximately 1 TB.
