ARTICLES OF GENERAL PARTNERSHIP

OF JARED CLOTHING SHOP BOUTIQUE

KNOW ALL MEN BY THESE PRESENTS:

That we, the undersigned partners, all of legal age, residents and citizens of the
Philippines, have on this day voluntarily associated ourselves together for the purpose of
forming a general partnership under the following terms and conditions and subject to existing
and applicable laws of the Republic of the Philippines:

AND WE HEREBY CERTIFY THE FOLLOWING:

ARTICLE I. Partnership Name:

The name of this partnership shall be: JARED Clothing Shop and Boutique and shall transact
business under the said company name.

ARTICLE II. Business Purpose:

The purpose for which this general partnership is formed is to provide clothes,
accessories and personalized items to the people of the Province of Iloilo, and the nearby
provinces and foster business in the clothing industry and similar undertakings.

ARTICLE III. Principal Place of Business:

That, the principal place of business of this partnership shall be located at General Luna Street,
City Proper, 5000 Iloilo City, Philippines

ARTICLE IV. Term of Existence:

That, this partnership’s existence shall commence on July 18, 2022 and it shall continue until
dissolved either by mutual agreement or by operation of law.

ARTICLE V. Partners’ Circumstances:

That, the names, positions, nationalities and complete residence addresses of the partners are
as follows:

ARTICLE VI. Capital Contributions:

That, the capital of this Partnership shall be the amount of FIFTY MILLION PESOS
(P50,000,000), Philippine Currency, contributed in cash by the partners, as follows:

ARTICLE VII. Sharing Ratios:

The profits and losses of this partnership shall be divided and distributed as follows: the share of
Edgielyn, Raindelle and Jairah shall be 18% of the total profits each and the share of Ana
Katrina shall be 20% of the total profits and Deseree shall be 26% of the total profits . This
sharing shall apply in case the partnership incurred losses.

ARTICLE VIII. Dissolution:

That, this partnership shall terminate upon the death, bankruptcy or incompetency of any
partner. Thereupon the remaining partner shall act as trustees for the partner and shall promptly
wind up the affairs of the partnership. If the partners decide to terminate the partnership,
Desiree Alegria, shall act as the liquidating partner.
