Terms of Service and End-user License Agreement

DEFINITIONS

o The software titled Synapse X®.
† Device, Computer
o A 64-bit computer capable of running the software. Virtual machines, cloud-based
devices and 32-bit devices are not included in our definition of device.
† Staff
o Users responsible for the maintaining the viability and safety of our communities. They
can also be responsible for the enforcement of the Terms of Service.
† Credited time
o The amount of time remaining for the customer to use the product. Credited time can
be bought at any given time by the individual, up to a total of 12 months per account.
† Subscription
o An automatic purchase of credited time over a regular period.
† License
o An individual authorization to use Synapse X and participate in its related communities
as issued by Synapse Softworks LLC after formally and officially purchasing credited
time. The license expires when credited time runs out.
† Community Terms
o Rules governing communication and regulation in our partnered communities, such as
the ‘Discord’ server, e-mail communications, and other forms of public or private
person-to-person communication.
† Individual
o Sanctioned: Possesses a license.
o Unsanctioned: Does not possess a license or received any blacklist.
o Absolved: Reobtained a license after receiving a weak blacklist.
† Blacklist
o The revocation of an authorization to use Synapse X. Weak blacklists only revokes a
sanctioned individual’s credited time, allowing him to obtain more time if desired,
whereas strong blacklists permanently bars an individual from interacting with the
software regardless of credited time.
† Borrowing, Sharing
o Explicit: Providing a non-client with the coordinates to a licensed Synapse X account.
o Implicit: Letting a non-client make active use of the software’s functionality without
possessing or accessing the software itself.
DEFINITIONS

I. LICENSING
(1) The client’s obtention of the software and subsequent use serves as evidence of their agreement
with the contract in its entirety. As to preserve their use of the software, the client agrees to
respect the clauses inscribed within the contract and uphold his personal responsibility of
regularly consulting this document to keep himself up to date on usage policy.

(2) The client may only acquire credited time and use the software insofar he is aged over 18 years
or older. As improper use of the software may lead to unexpected consequences, a decent
amount of responsibility and self-awareness is expected from the client during his use.

(3) The client may only use the software for the period allocated to him by the credited time in his
account. He is free to extend his period by acquiring more credited time at any time.

(4) The client may choose to opt into automatic payments when acquiring credited time. This
establishes a subscription. If the client establishes a subscription, then the client accepts
responsibility for all recurring charges until he cancels his subscription. The client may cancel his
subscription at any time, subject to the terms of our cancellation policy.

(5) The client acknowledges and agrees to Synapse Softworks LLC automatically processing the
subscription fee every 90 days starting from the date of his initial payment until he cancels the
subscription or alters his payment schedule in a manner authorized by the terms of this policy and
provided by Synapse Softworks LLC. This does not apply if no subscription has been established.

(6) The client may choose to suspend his subscription at any given time through the freezing process
provided by Synapse Softworks LLC, which temporarily deactivates his account but ceases the
consumption of credited time. During this freeze, the client will not be able to access the product
but retains his credited time. The client then becomes free to thaw his subscription and regain
access to his account at any given time, after which another 14 days must be awaited until the
freezing process can be undertaken again.

(7) The client may choose to pay for credited time using cryptocurrencies. When paying with these
alternative currencies, the client is not eligible for automatic payments, but remains bound to his
pecuniary obligation towards Synapse Softworks LLC to renew his subscription on the scheduled
date provided during purchase. The client’s account will be automatically suspended if he misses
a scheduled payment.

(1) All credited time is considered irrevocably paid, unless Synapse Softworks LLC and the staff
personally determines your condition warrants reimbursement, in which case a partial refund of
credited time can be granted. You may have certain refund and exchange rights under your local
law. Nothing in these terms is intended to affect those rights if they are applicable.
I. LICENSING

(8) The client is expected to comply with orders given by staff during investigations or digital forensic
operations as to preserve their continued usage of the software.

(9) Breaching the clauses inscribed within the contract can lead to blacklist unless staff grants
situation-dependent leniency.

(10)Staff have the right to blacklist at will and without warning, preferably (but not obligatorily) while
providing reasonable justification backed by the Terms of Service.

a. The staff issuing a blacklist must inform the client of the reason why they have been
blacklisted within twelve hours of the blacklist’s issue.

i. Such reason must be immediately internally documented for staff access.

b. Offenses committed under the Community Terms are not considered grounds for
blacklisting unless an equal term exists in the Agreement.

c. The client may appeal a blacklist reversal if he deems his blacklist reason to be unfair,
incorrect, biased or if a reason wasn’t provided in the delay prescribed in Clause 1.5A.

(11)It is in the client’s right to repurchase credited time after receiving a weak blacklist – the client is
then considered an absolved individual.

a. Licenses will not be granted when an unsanctioned individual (or the client) purchases a
serial key to the product after receiving a strong blacklist.

b. As per our zero-tolerance policy for repeat offenders, the staff may issue immediate and
uncompromising weak blacklists for any offense committed by an absolved individual
regardless of severity.

(12)Licenses are not transferable, borrowable, or shareable unless approval has been granted by
Synapse Softworks LLC.

a. An individual license may be shared between devices permanently connected to the same
domestic (household) network.

b. Clause 1.7A does not apply to non-residential networks, such as workplaces.

c. Implicit borrowing, as defined above, is considered borrowing, and remains prohibited.

d. It is up to staff to investigate and issue blacklists if they detect that the sharing of the
client’s license may be against the License Agreement.

(13)Licenses are prohibited for resale. Any resale attempt is to be considered a transfer as defined in
Section 1.7.

II. ARBITRATION
(1) All claims and disputes arising under or relating to this License are to be settled by binding
arbitration in a location mutually agreeable to the parties.

(2) The arbitration shall be conducted on a confidential basis pursuant to the arbitration rules and
guidelines of the Chartered Institute of Arbitrators.

(3) Any decision or award because of any such arbitration proceeding shall be in writing and shall
provide an explanation for all conclusions of law and fact and shall include the assessment of
costs, expenses, and reasonable attorneys' fees.

(4) Any such arbitration shall be conducted by an arbitrator experienced in computer science and
software distribution and shall include a written record of the arbitration hearing.

(5) The parties reserve the right to object to any individual who shall be employed by or affiliated
with a competing organization or entity.

(6) An award of arbitration may be confirmed in court of competent jurisdiction.

(7) Claims must be filed within a month. Any claim related to the License Agreement must be filed in
arbitration within a month of the date you could first file the claim unless your local law requires
a longer time to file claims.

III. WARRANTIES
(2) Synapse Softworks LLC and its affiliates make no warranties, express or implied, guarantees or
conditions concerning the client’s use of the product.

(3) The client understands that the use of the software is at your own risk and that we provide the
software on an “As is” basis “With all faults” and “As Available.”

(4) Synapse Softworks LLC doesn’t guarantee the accuracy or timeliness of the software.

(5) You may have certain rights under your local law. Nothing in these terms is intended to affect
those rights if they are applicable.

(6) You acknowledge that computers and telecommunication systems are not fault-free and
occasional periods of downtime occur. We do not guarantee the software will be uninterrupted,
timely, secure, or error-free or that content loss won’t occur, no do we guarantee any connection
to or transmission from computer networks.

(7) To the extent permitted under your local law, we exclude any implied warranties, including
merchantability, satisfactory quality, fitness for a particular purpose, workmanlike effort, and
non-infringement.

IV. OWNERSHIP
(1) The client is prohibited from reselling his account or any of the digital resources made available
to him by Synapse Softworks LLC, including, but not limited to the account associated with the
client, and the digital files associated with the software.

a. All license keys and credited time purchased after March 4, 2022, through our official

points of sale may be freely resold, transferred or given to unsanctioned individuals.

(2) The client is prohibited from reverse engineering, digitally analyzing or otherwise attempt to gain
insight into the inner workings of the software to the extent provided by local law. Our solutions
are proprietary and considered trade secrets.

(3) The client is prohibited from encouraging the competition and other antagonist entities to reverse
engineer or analyze the software, its functionality, its associated communities, or scripts
published within the software’s associated communities.

(4) The client is prohibited from using the software to engineer detection mechanisms that can
directly or indirectly detect the software, its functionality or scripts written for the software.

(5) The client is prohibited from attempting to phish or otherwise commit any form of harm towards
other clients of the software, including, but not limited to:

a. The distribution of malware, “trollware”, cracked, or fraudulent scripts with the intent to
do harm as appropriately measured by the staff.

b. Releasing, disclosing, or sharing personal information about a client without his consent
with the intent to do harm as appropriately measured by the staff.

c. Sharing and distributing content illegal to other users, publicly and privately.

(6) The client is prohibited from disclosing another client’s ownership of the software with intent to
do harm if he isn’t granted explicit permission from the concerned individual.

(7) Unless his specific situation is accounted for in subclause B, C or D, the client is prohibited from
using the software for commercial or otherwise any profitable purpose(s).

a. It is prohibited for the client to lend the software’s active functionality to an unsanctioned
individual for profitable purposes insofar the desired effects or material resulting from
the aforesaid functionality isn’t intrinsically bound to the presence or doing of the client
and does not dissipate when the client ceases the use of the software.

b. (In relation to Clause 4.7A) If the client profits from providing a desired effect or material
to an unsanctioned individual and the desired effect or material persists beyond the use
of the software and does not dissipate when the client ceases its presence or use of the
software, then it is not barred, and the client may freely profit.

c. The sale of scripts, themes, and custom interfaces written for the product are allowed to
be sold without restriction insofar they do not harm users or property.

d. Unless previously prohibited in Clause 4.7A, a client may use the software for commercial
purposes in these other specific situations:

i. The software is thoroughly and sufficiently advertised through the commercial


activities’ postings, advertisements and distributed (publicly available) material.

ii. If the client is using the software in a publicly available video, and the client
generates revenue from platform-sanctioned advertisements or sponsors.
IV. OWNERSHIP

(8) The client is prohibited from committing fraud towards other clients, Synapse Softworks LLC, or
staff.

(9) The client is prohibited from forcefully obtaining a refund, or otherwise threaten to.

(10) The client is prohibited from using the software for illegal or unreasonable use. Synapse
Softworks LLC strictly condemns the use of the software for malicious, dishonest and/or illegal
purposes, and reserves itself the right to contact law enforcement authorities if such activity
is detected and requires legal action.

(11) The client is prohibited from using the software to intently breach any legal obligations (such
as, but not limited to, end-user license agreements) they have towards third party software.

(12) The client takes full responsibility for any consequences stemming from the unsanctioned use
of the software and relieves Synapse Softworks LLC of any responsibility or consequences
should the client and his use of the software bring himself, others, or Synapse Softworks LLC
into legal, social, or technical trouble.

(13) The client is responsible for their log-in credentials to the software, as well as maintaining their
confidentiality. He is responsible for all activities and actions resulting from the use of their
log-in credentials or other activity on their account.

(14) The client is responsible for notifying staff immediately if they believe the confidentiality of
their log-in credentials has been compromised or if they suspect unauthorized use of their
account. The client agrees that Synapse Softworks LLC will not be held liable for any loss or
damage arising from unauthorized use of their credentials.

V. CONTEXT
(1) This section and all previous sections whose terms apply after these Terms end will survive any
termination or cancellation of these Terms.

(2) To the extent permitted by applicable law, we may assign these terms, subcontract our obligations
under these Terms, or sublicense our rights under these Terms, in whole or in part, at any time
without notice to you.

(3) You may not assign these Terms or transfer any rights to use the software.

(4) This is the entire agreement between you and Synapse Softworks LLC for your use of the software.

(5) This License Agreement supersedes any prior agreements between you and Synapse Softworks
LLC regarding your use of the software.

(6) In entering these Terms, you have not relied on any statement, representation, warranty,
understanding, undertaking, promise or assurance other than as expressly set out in these Terms.

(7) All parts of these Terms apply to the maximum extent permitted by relevant law. If a court or
arbitrator holds that we can’t enforce a part of these Terms as written, we may replace those
terms with similar terms to the extent enforceable under the relevant law, but the rest of these
Terms won’t change.

(8) These Terms are not for any other person’s benefit, except for Synapse Softworks LLC’s successors

and assigns.

(9) Section headings are for reference only and have no legal effect.

VI. FEEDBACK
(1) Except as expressly provided under these Terms, Synapse Softworks LLC does not grant you a
license or any other rights of any type under any patents, know-how, copyrights, trade secrets,
trademarks or other intellectual property owned or controlled by Synapse Softworks LLC or any
related entity, including but not limited to any name, trade dress, logo, or equivalents. To the
extent permitted by applicable law, we may assign these terms, subcontract our obligations under
these Terms, or sublicense our rights under these Terms, in whole or in part, at any time without
notice to you.

(2) Suppose you give to Synapse Softworks LLC any idea, proposal, suggestion, or feedback, including
without limitation ideas for new products, technologies, promotions, product names, product
feedback and product improvements ("Feedback"). In that case, you give to Synapse Softworks
LLC, without charge, royalties or other obligation to you, the right to make, have made, create
derivative works, use, share and commercialize your feedback in any way and for any purpose.

(3) You will not give feedback that is subject to a license that requires Synapse Softworks LLC to
license its software, technologies, or documentation to any third party because Synapse
Softworks LLC includes your feedback in them.

VI. FEEDBACK

PRIVACY POLICY
It is Synapse Softworks LLC's policy to respect your privacy regarding any information we may collect
while operating our website. This Privacy Policy applies to x.synapse.to and the Product (hereinafter,
"us", "we", or "x.synapse.to"). We respect your privacy and are committed to protecting personally
identifiable information you may provide us through the Website and the Product. We have adopted
this privacy policy ("Privacy Policy") to explain what information may be collected on our Website and
Product, how we use this information, and under what circumstances we may disclose the information
to third parties. This Privacy Policy applies only to information we collect through the Website and
Product and does not apply to our collection of information from other sources. This Privacy Policy,
together with the Terms and conditions posted on our Website and Product, set forth the general rules
and policies governing your use of our Website and Product. Depending on your activities when visiting
our website, you may be required to agree to additional terms and conditions.

What we store
The only data we store on our servers is your Email address, a password hash, your IP address, your
Discord account ID, hardware specifications (such as your processor model, your GPU model, your
operating version system, et cetera), a signature containing computer information and the name of your
computer device for diagnostics, troubleshooting and authentication.

Website Visitors
Like most website operators, Synapse Softworks LLC collects non-personally identifying information of
the sort that web browsers and servers typically make available, such as the browser type, language
preference, referring site, and the date and time of each visitor request. Synapse Softworks LLC's
purpose in collecting non-personally identifying information is to better understand how Synapse
Softworks LLC's visitors use its website. From time to time, Synapse Softworks LLC may release non-
personally identifying information in the aggregate, e.g., by publishing a report on trends in the usage of
its website. Synapse Softworks LLC also collects potentially personally identifying information like
Internet Protocol (IP) addresses for logged in users and for users leaving comments on x.synapse.to blog
posts. Synapse Softworks LLC only discloses logged in user and commenter IP addresses under the same
circumstances that it uses and discloses personally identifying information as described below.

Security
The security of your Personal Information is important to us but remember that no method of
transmission over the Internet, or method of electronic storage is 100% secure. While we strive to use
commercially acceptable means to protect your Personal Information, we cannot guarantee its absolute
security.

Protection of Certain Personally identifying Information


Synapse Softworks LLC discloses potentially personally identifying and personally identifying information
only to those of its employees, contractors, and affiliated organizations that (i) need to know that

information in order to process it on Synapse Softworks LLC's behalf or to provide services available at
Synapse Softworks LLC's website, and (ii) that have agreed not to disclose it to others. Some of those
employees, contractors and affiliated organizations may be located outside of your home country; by
using Synapse Softworks LLC's website, you consent to the transfer of such information to them.
Synapse Softworks LLC will not rent or sell potentially personally identifying and personally identifying

information to anyone. Other than to its employees, contractors, and affiliated organizations, as
described above, Synapse Softworks LLC discloses potentially personally identifying and personally
identifying information only in response to a subpoena, court order or other governmental request, or
when Synapse Softworks LLC believes in good faith that disclosure is reasonably necessary to protect the
property or rights of Synapse Softworks LLC, third parties or the public at large.

If you are a registered user of x.synapse.to and have supplied your email address, Synapse Softworks LLC
may occasionally send you an email to tell you about new features, solicit your feedback, or just keep
you up to date with what's going on with Synapse Softworks LLC and our products. We primarily use our
blog to communicate this type of information, so we expect to keep this type of email to a minimum. If
you send us a request (for example via a support email or via one of our feedback mechanisms), we
reserve the right to publish it to help us clarify or respond to your request or to help us support other
users. Synapse Softworks LLC takes all measures reasonably necessary to protect against the
unauthorized access, use, alteration, or destruction of potentially personally identifying and personally
identifying information.

Aggregated Statistics
Synapse Softworks LLC may collect statistics about the behavior of visitors to its website. Synapse
Softworks LLC may display this information publicly or provide it to others. However, Synapse Softworks
LLC does not disclose your personally identifying information.

To enrich and perfect your online experience, Synapse Softworks LLC uses "Cookies", similar
technologies and services provided by others to display personalized content, appropriate advertising,
